The monthly debit answers fewer questions than the Dallas merchant expects. Defense begins with the agreement as written, the ledger behind it, and the remedies the funder has already selected.

Five capabilities separate review that protects cash flow from review that describes it.

The Funding Agreement and Reconciliation Record

The label on the first page decides almost nothing about the obligations inside it. Counsel reads the funding agreement for substance, testing whether repayment was absolute or contingent under the screen a 2020 opinion from the Second Department supplied: a reconciliation provision, a finite term, and recourse should the merchant enter bankruptcy. The opinion is New York authority, extremely narrow beyond its facts, and never national law. A Dallas lawyer must translate it into local motion practice, and the full Second Department opinion on absolute repayment rewards reading before it is cited.

The contract ran to fourteen pages, most of them devoted to remedies rather than price. The reconciliation clause was, if precision matters, a procedure for requesting an adjustment rather than a promise that any adjustment would arrive. That distinction decides whether the merchant breached or waited unanswered, a point defenders of the industry will call a complete answer to every hardship in order to preserve every remedy.

Where receipts declined, counsel measures each reconciliation demand against the contract procedure and the payment ledger. Texas now requires specified cost and payment disclosures for certain covered offers under $1 million under Finance Code Chapter 398, effective September 1, 2025, with coverage assessed agreement by agreement. The enrolled text of the Texas sales based financing law states the disclosure duties in full.

The ledger, not the label, controls the next decision.

Read the payment record before arguing the purchase price.

Simply bring every version of the agreement, each amendment, and the full record of reconciliation requests with dates and responses, and ask the candidate to review and analyze the three factors against the actual paper before discussing price. Most funders understand the ledger better than the merchant does. They prefer the discussion to remain on the balance.

Confession of Judgment and Filing Posture

On September 1, 2025, one Texas defense changed shape. Section 398.055 of the Finance Code declares a confession of judgment or similar provision in a covered contract void and unenforceable, a protection without a private right of action under Section 398.102, so enforcement runs through the designated channels rather than a direct suit for damages. Counsel tests whether the agreement falls within the covered class, when it was executed, and which forum the funder has chosen.

Often we see the loudest letter answered first. Counsel identifies each filing, catalogs the remedies already invoked, and answers the earliest deadline before the loudest letter. Whether a funder holding paper signed before the effective date will press it with the same confidence after that date is a question worth carrying into the first conference.

The objective is to ensure no deadline passes while the parties debate characterization. Counsel calendars the response date first and argues substance second.

Debit Pressure and Bank Posture

Daily debits create urgency that the contract may not authorize. Some agreements schedule debits in order to empty the account before other obligations clear, and counsel distinguishes the payment obligation from the collection method before instructing anyone to act.

Return codes tell their own story. R01 signals insufficient funds and R09 uncollected funds, while R10 and R11 concern authorization in forms that differ for business accounts. Each debit drawn against the account needs its own authorization in the file. The debits were authorized by the paper. They were also, at that pace, fatal to the account that paid them. The debits do not pause while the lawyers correspond. The Nacha explanation of return reasons deserves a full reading before any instruction reaches the bank, and no statement about the debt, even casually, should reach the funder without counsel present.

Most owners call counsel after the second failed debit. The delay is understandable.

Resist the urge to move funds or invite returns to manufacture room. The bank record outlives the tactic, and debits accumulate the way sediment accumulates in a pipe, with complete indifference to flow and no notice before the blockage.

UCC Liens and Settlement Negotiation

A filed financing statement changes negotiation before it changes title. Counsel compares each collateral description against the signed security agreement, treating the lien as an extremely durable bargaining fact.

Texas permits possession after default without judicial process only where it can occur without a breach of the peace. Threats of seizure issued with a peculiar confidence reveal more about the collector than about the debt, and the Texas statute on post default possession states the boundary in plain terms. Threats of seizure that ignore that boundary reveal more about the collector than about the debt.

Settlement trades a discounted payment for writings, and the writings matter more than the discount: a release of the claimed balance, a release of each lien, and a release of the personal guaranty where one exists, always in writing, and counsel should ensure each release is executed before funds move rather than promised for later. Canceled debt can produce taxable income, with bankruptcy and insolvency exceptions subject to strict requirements, and the federal explanation of canceled debt income belongs in the file before any settlement figure is celebrated.

Delancey Street, a business debt settlement company rather than a law firm, states a focus on merchant cash advance debt and offers a free confidential initial review, with independently licensed counsel handling legal questions. The Delancey Street account of its settlement focus states the scope in its own terms. A first conversation costs nothing and assumes nothing; it is the beginning of a diagnosis.

Records, Fees and Scope

Bring bank statements showing each debit, the merchant ledger, tax filings the owner will disclose to counsel, and every collection letter with its dates preserved. What the owner discloses, or withholds, in the first conference shapes the defense more than any statement made later.

Ask what the fee covers, which forum the lawyer will enter, and the point at which settlement authority must be sought. The engagement letter should answer each question before funds move, and coverage for any single account requires direct confirmation.

Paper signed in haste governs for years. Counsel engaged at the start reads it before it reads the business.
