The Phoenix owner facing stacked debits needs reconciliation before sympathy. Funders negotiate with owners who can prove what the business earned, and counsel exists to assemble that proof before the account closes.

An MCA defense attorney converts daily pressure into documented positions. Counsel tests the reconciliation clause, challenges the collector, reads the agreement for what it allows, measures Arizona shields, and prices a settlement the business can survive.

Reconciliation Rights and Payment Demands

Reconciliation is the only clause that can reduce a payment without anyone agreeing to a settlement. Most MCA agreements promise an adjustment where receipts fall, and the promise matters only where the owner invokes it with records. Counsel opens the file by demanding and cataloging the funding ledger, the payment history, and the merchant bank statements showing daily receipts set against daily debits, then presents a written reconciliation demand before discussing any other term.

The pattern holds in most matters we see, though no dataset supports a stronger claim. Where the funder ignores a documented demand or answers with a form denial, counsel treats the silence as evidence about the clause rather than as an answer, and the later negotiation proceeds on the footing that the contract price was never reconciled. Reconciliation clauses admit exceptions, though in practice the exceptions confirm the burden.

A New York appellate decision often cited in these disputes measures an MCA by economic reality, including absolute repayment, genuine reconciliation, finite term, and recourse in bankruptcy. The LG Funding appellate opinion on MCA characterization supplies the controlling insight: a reconciliation clause proves little until counsel examines its operation. The clause functions the way a rain gauge functions in a desert city: precise, present, and beside the point unless someone reads it.

Whose Name Is on the Collection Letter

Pressure arrives in the mailbox under letterheads the owner has never seen. A servicer, a collector, or an unknown company demands payment on the funder account, and the owner asks the obvious question: whether the sender owns the debt, services it, or holds no interest in it at all. Counsel answers by demanding assignment and payment direction documents before any substantive response leaves the office.

Arizona gives that demand statutory weight. Operating a collection agency without an Arizona license is unlawful, and licensees face trust account, remittance, and recordkeeping duties. The Arizona collection agency licensing statute makes licensure the first question about any unfamiliar collector. Often the license check ends the discussion. Most collection operations understand the requirement. They prefer to discuss the balance first.

Federal consumer protections are extremely narrow for business owners. The Fair Debt Collection Practices Act covers specified consumer debt collection while business debts fall outside its scope, so a guarantor cannot assume consumer validation or cease contact rights apply. The federal explanation of collection limits describes protections written for consumer debts, and counsel measures the MCA account against that boundary before promising any particular response. The defense, reduced to its elements, is paper against pressure.

Reading the Advance Agreement

The agreement decides which defenses exist. Counsel reviews and analyzes the purchase price, the factor rate, the reconciliation procedure, the stacking restriction, the personal guaranty, the consent to UCC filing, and the forum and arbitration provisions, since what each term opens, or closes, decides the later argument. Arizona law allows parties to contract for interest in writing without a hard commercial ceiling, with ten percent as the default, so rate attacks carry less weight than disclosure and fraud theories. The Arizona interest rate statute sets that framework; counsel builds around misrepresentation rather than usury.

Deception law supports that construction. Arizona declares unlawful any deception, unfair practice, or material omission in connection with the sale of merchandise, whether or not deception succeeded, with courts directed to follow federal interpretations of the FTC Act. Hidden factor costs and mischaracterized funding products fit within that language. The funder points to the authorization the owner signed. The contract permitted this.

After default, or sooner where the agreement allows, a secured party may notify account debtors to pay the secured party instead of the merchant and redirect controlled deposit balances, which lets a funder intercept customer payments in order to control cash before negotiating the balance. The Arizona secured party collection statute states both the power and its limits, and counsel tests notice and good faith compliance before conceding any particular redirection.

Homestead and Earnings Protections

Negotiation posture depends on what a judgment could reach. Arizona shields up to $400,000 in home equity from attachment and forced sale, with the exemption attaching to identifiable cash proceeds for eighteen months after a sale (proceeds tracing is extremely technical and county practice varies enough that counsel verifies rather than assumes). The Arizona homestead exemption statute states the scope, and counsel ensures the owner understands the shield before settlement numbers are discussed.

Earnings receive measured protection rather than absolute shelter. Where a writ reaches a garnishee owing the debtor earnings, the court orders turnover of nonexempt withheld earnings and imposes a continuing lien on future nonexempt earnings, with objection and hearing rights preserved. Counsel reviews the pay structure at the outset, since what a creditor can capture from an owner operator paycheck shapes every later offer. The first conference call tells counsel most of what the paper later confirms.

Whether the legislature intended the homestead shield to protect business guarantors or accepted that result as the price of a generous exemption is a question worth weighing.

Records, Fees and Scope

Counsel will ask for the signed agreement and every amendment, the ACH authorization, broker messages, the demand letters in the mailbox, and any suit papers received. The same conference covers fees, costs, and scope. Resist the urge to answer the next call without preparation: counsel ensures no statement goes to a funder without prior review. Delancey Street describes itself as a business debt settlement company, not a law firm, offering MCA account resolution with a free confidential initial review, coordinating with independently licensed counsel for legal work. The Delancey Street account review request starts that commercial conversation. A first call costs nothing and assumes nothing, and documentation outlasts pressure.
