4 Decisions That Keep the Cycle Going
The MCA Debt Trap
The MCA debt trap is a sequence of four decisions, each reasonable on the day it was made. Attention at any of the four points changes what follows.
Attorney-founded MCA defense firm serving businesses nationwide. Freezes daily ACH withdrawals, challenges confessions of judgment, removes UCC liens, and negotiates settlements at 40-60% reduction.
The advance that covers payroll arranges the next shortage, and the sales call never mentions the arrangement. Owners remember the trap as a rate or a funder. The bank records remember it as four decisions, each reasonable on the afternoon it was made.
Four choices recur in these files with enough regularity to name. Each exchanges a durable correction for another deposit. What the owner corrects, or declines to correct, at any of the four points decides whether the cycle continues.
Treating the Deposit as Revenue
The balance improves on the morning the money arrives, and that improvement answers no question about the business underneath it. Before forecasting from the new balance, remove the proceeds from the calculation and ask whether customer receipts cover labor, rent, and existing withdrawals without them.
A company can suffer a timing gap between profitable jobs. It can also spend more than it earns in most months, a condition financing conceals rather than cures. The response that fits the first condition starves the second, which is why the distinction precedes any new signature.
Simply asking which dollars came from customers answers the question. An accountant can review and analyze the position from the statements. The deposit is real. The improvement may be temporary.
Renewing Before the Balance Is Known
Six weeks after the first advance, the renewal offer arrives with a smaller debit and an extremely short conversation. The offer deserves a slower reading than the sales call allows, because a reduced withdrawal can accompany a larger total collection, a longer schedule, or an old balance that survives beside the new one. The new balance sits in the account the way fresh paint sits on damp wood: bright for a week, and unrelated to what lies beneath.
Ask whether the new provider retires the old account at closing and demand the payoff letter that proves it. Where collections continue under both agreements, the owner now services two obligations that were described as one. That explains most second defaults.
Include the destination of every dollar of new proceeds, the charges added at funding, the term measured in withdrawals rather than months, the fate of any guaranty that survives the transaction, and whether the broker disclosed compensation for placing the renewal, since an agreement that leaves the old guaranty alive while adding a new one has multiplied the exposure it claimed to consolidate.
The renewal conversation is short, which tells its own story about what it needs from the owner. Most brokers understand the schedule they sell. They prefer the owner not to read it.
Rarely does a renewal reduce what the schedule demands. Reconcile the agreements against current statements before signing. The number of deposits the company remembers receiving is not the schedule it owes.
Leaving Reconciliation Unused
In LG Funding v. United Senior Properties, a New York appellate court weighed reconciliation practice, finite term, and bankruptcy recourse when testing whether repayment was absolute. The opinion binds no New Jersey account, and I am less certain than the citation suggests about how another court would apply its factors. The contract on the desk still deserves the same three inquiries.
Where receipts have fallen, the agreement may provide a process for adjusting withdrawals, and that process has deadlines, forms, and proof requirements that reward early attention. Retain the revenue records, the requests sent, and the answers received. The existence of a clause and the way it operates are related questions.
Resist the urge to stop payment on the strength of a general claim that the advance is unlawful. The lending party will assert default in order to pursue remedies against the company and any guarantor, and a conclusion about legality requires the governing law applied to the actual terms. Counsel should ensure the owner understands the response and its cost before anything is withheld, even briefly. The owner should ensure no new signature is added while that review is pending.
The clause exists on paper. The paper answers only when asked.
And the broker who recommends another advance to cover the disputed withdrawals earns from the recommendation. That compensation belongs in the record beside the advice.
Postponing Outside Review
A 2022 federal enforcement settlement barred named MCA providers from the industry after findings of abusive collection. The order proves one enforcement record. It supplies no defense to any other borrower.
A review becomes useful when the owner names the recurring decision with dates and amounts from the records. The pattern may be borrowing before payroll, applying customer funds to old debits, or a renewal accepted on a Friday afternoon because the account stood nearly empty and no other option had been examined.
Keep one dated list of obligations, receipts, and deadlines. The list does not solve the shortage. It prevents the next decision from being made blind.
The Account After the Borrowing Stops
A business whose receipts support its work borrows for a purpose and repays from the return. Borrowing that preserves the appearance of repayment serves a different purpose. The statements show an outlandish calm in weeks when nothing was earned. The distinction is extremely easy to miss in a week when payroll is due, and recognizing it is itself a decision, the one on which the other four depend.
Delancey Street offers a free confidential initial review for owners caught in this sequence, and its settlement services provide a setting where negotiation can be examined with eligibility confirmed in writing rather than assumed. The company is not a law firm and coordinates legal matters with independently licensed counsel. Counsel can review the terms, identify the deficiencies, and construct a response that addresses both the contractual claims and the practical demands of the coming payroll, while federal court guidance describes reorganization as a separate court process with its own stay, subject to exceptions. Protect and preserve the records on which any path depends.
Most owners call when the fourth decision has already been made. I understand the delay. The schedule that holds at the end is seldom the one the borrowing was meant to protect.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
