7 Laws That Alter Your Creditor Negotiations (2026)
Business Debt Restructuring in Michigan
A Michigan restructuring turns on the public record as much as the private contract, from lien survival to return codes to credit reports. These seven rules decide which one controls.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The lien outlives the handshake.
A Michigan owner who sells the business, settles the balance or changes banks without clearing the public record negotiates against a creditor who no longer needs to call.
Lien Survival After a Business Sale
The buyer acquires the equipment, the inventory and the customer list and, unless counsel intervenes before closing, the funder's continuing interest in everything named. A security interest continues in collateral despite sale, lease or other disposition unless the secured party authorized the disposition free and clear, and it attaches to identifiable proceeds, with tracing rules supplying the method where proceeds mix with other property (a corner I will not pretend to summarize in full here).
The uniform text of Article 9 organizes disposition, proceeds and termination in one place, and New York's enactment states the continuation principle in those terms, so counsel confirms the Michigan version before the owner warrants clear title. Most buyers insist the debts stay with the seller. Most liens disagree.
The sale conversation drifts from price to prorations to representations, and somewhere past them the question of who holds a filing against the receivables surfaces, where the discount the buyer demanded meets the balance the funder never released. Counsel reviews the schedules, tests the authorization and builds a record that the release covers the collateral, the proceeds and the guarantee as one file. The buyer wires funds. The lien rides along.
Termination of the Financing Statement on Demand
After payoff, one task remains, and funders complete it at their own pace. For nonconsumer collateral, the secured party must send or file a termination statement within twenty days after a signed debtor demand, where no secured obligation or commitment remains or where the filing was never authorized, and the debtor may file as authorized only where the secured party failed its statutory duty.
The demand letter, if we are being precise, is not a negotiation. The New York termination statute supplies the procedure in an enacted form counsel can adapt, since the uniform rule travels while the office, the fee and the form belong to the state of filing. I reviewed one such file on a Friday in February, which may account for my impatience with stale records. The filing is public. It is also invisible, which is why the demand goes by certified mail, with proof retained, before the closing dinner is ever scheduled.
Business Credit Reports and the Public Record
Consider a hypothetical supplier reviewing a new account before extending terms. The supplier opens the business report, where bureaus compile creditor, vendor, public record and collection data, and the report shows judgments, UCC filings and tax liens against the company alongside collection accounts, at least among the files that cross this desk, which are not a random sample.
The report functions the way a bulletin board functions in a county clerk hallway the owner has never visited: strangers read it and decide. The bureau account of business credit reports confirms that recent liens, judgments and bankruptcies weigh on the score, which affects credit, leases and trade terms without a single phone call being placed. Clearing the underlying debt without clearing the record leaves the board unchanged.
Payment Return Codes and Business Accounts
The debit fails on a Tuesday morning. The bank assigns a code, and the code part matters and should be gotten right, because each return reason carries its own window and its own meaning.
The payments association guidance on return reasons distinguishes the unknown originator from the defective authorized entry, reserving one code for debits the receiver never authorized and another for entries that depart from the terms of an existing authorization. Short funds and uncollected funds carry their own designations. Two banking days closes the nonconsumer path, against sixty for the consumer one, which is why the classification requires a same-day call to the bank rather than a borrowed consumer deadline that does not apply. I have yet to see a bank reverse a debit out of sympathy, though the phone representatives are unfailingly polite.
A peculiar confidence settles over owners who discover the return system, as if a code could cancel a contract. Never mislabel an authorized debit as unauthorized, even casually, since the return code decides nothing about whether the underlying debt is valid. Bank mechanics, contract default and legal remedies remain separate inquiries.
The Automatic Stay in a Michigan Filing
Filing creates quiet under section 362. Judgments, collection activity, foreclosure and repossession on prepetition claims suspend automatically, with stated exceptions counsel maps in advance. The federal court account of Chapter 11 reorganization calls the interval a breathing spell for negotiation. Secured creditors may seek relief for cause. Motions for relief, cash collateral contests and lease litigation test the quiet within weeks. The company operates. The docket governs.
Canceled Debt and the Taxable Discount
There are exclusions, though in practice they tend to narrow under examination. A forgiven business balance counts as ordinary income, unless the discharge occurred in a bankruptcy case or while the taxpayer was insolvent, each within its own requirements, and excluded amounts reduce tax attributes rather than vanishing.
The Internal Revenue Service discussion of canceled debt sets out the exceptions and the exclusions in order, with the information return arriving after year end and the reporting duty attaching regardless of the accuracy of the form received. Most owners learn about the tax bill in April. I wish they learned it at settlement. Counsel models the consequence before the owner accepts the discount. A settlement that ignores the tax code misstates its own price.
Collector Contact and the Commercial File
The collector calls the owner because the statute permits the call. The federal collection law covers household purpose debts, which excludes the commercial advance, and the original funder stands outside its reach in any event.
The federal bureau explanation of collection limits confirms that no federal validation or cease contact right accompanies a business file, while state practices statutes may supply what federal law withholds. The statute protects the household. It does not protect you, where a signed guarantee supplies the bridge.
Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street account of its settlement work describes a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure the filings, the reports and the returns are reviewed and analyzed as one file, and to ensure no payment decision is made without counsel present.
Resist the urge to cure the report before curing the debt. Simply demand, document and confirm. A first call costs nothing and assumes nothing; it begins with the public record, and consultation is where the cleanup starts.
The handshake ends. The filing continues.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
