7 Laws That Change Your Leverage (2026)
Business Debt Restructuring in Hawaii
Hawaii controls a business debt negotiation through seven rules on direct collection, collector registration, interest caps, deception standing, treble damages, homestead and exempt property.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The collector who cannot show registration negotiates from an empty chair, whatever the balance claims.
Hawaii gives a restructuring business seven rules that decide who may collect, at what price, and through which courtroom door, and each rule rewards the owner who reads the paper before answering the letter.
Direct Collection and the Reasonableness Duty
After default, or sooner where the agreement permits earlier action, the secured party may notify account debtors to redirect payment to the secured party, take entitled proceeds, enforce the rights of the debtor against obligors, and apply or redirect controlled deposit balances.
The published Hawaii collection power for secured parties states that grant in the same frame as other commercial states, then adds the phrase that changes the negotiation: where the debtor faces recourse, the enforcing party must proceed in a commercially reasonable manner.
Before counsel has gathered and organized the statements, before the reasonableness of any collection step has been tested against the correspondence log, the customers redirect payment and the operating account empties through a mechanism the agreement authorized in an exhibit the owner approved at signing, a sequence orderly on the ledger and chaotic where payroll is due.
The notice lands on the customer desk with the subtlety of a process server at a wedding. Counsel should identify and quantify the exposure from each redirection before discussing terms.
Registration Before Collection
Only registration answers the threshold question.
The published Hawaii registration rule for collection agencies bars collection from residents and businesses without prior registration, with application, good standing, fees, bond, an office inside the state, and a designated principal collector. Court notes give the term collection agency a broad reading that reaches even subrogation recovery activity, so a distant servicer collecting in Hawaii must prove an exemption or register. Suppose a servicer collects from two island merchants without registering; the defense writes itself.
This decides who answers the first letter.
Interest Caps and Pricing Freedom
Twelve percent is the ceiling the statute prints for consumer credit and home business loans, one percent per month, with regulated institutions permitted double that figure.
The published Hawaii interest caps then grant pricing freedom everywhere else: for any other transaction, any rate not otherwise prohibited is lawful. A funder prices the advance in order to keep it outside consumer credit, and the small business negotiation turns on whether the deal is truly commercial paper or a disguised loan of another type. Exceptions exist, though in practice they confirm the pricing freedom rather than limit it.
Little in the statute helps the funder once the characterization fails. The line between consumer credit and commercial purpose is less clear than any summary admits.
The Deception Ban and the Standing Limits
Unfair methods of competition and unfair or deceptive acts in trade or commerce are unlawful, construed with due consideration to federal interpretations of the Federal Trade Commission Act, which gives Hawaii merchants a federal anchor inside state court.
The published Hawaii deception ban then narrows the doorway: only consumers, the Attorney General, or the consumer protection director may bring claims under the deception prong, while a business plaintiff proceeds under the unfair competition prong open to any person, or under another statute. The standing limits are extremely narrow and extremely consequential, and counsel who files under the wrong subsection learns the distinction at the cost of the filing fee.
The merchant with the grievance is not always the party with the claim.
The advance funded within the law. Collection of it broke the rules that governed the collector.
Treble Damages, Fees, and Injunctions
Persons injured in business or property by anything the chapter forbids may sue for the greater of treble damages or one thousand dollars plus fees and costs, with injunctions available and a parallel consumer track carrying an elder alternative of five thousand dollars.
The published Hawaii private remedy provision states that arithmetic before any argument about liability (class actions lose the one thousand dollar floor and gain pass on defenses with apportionment of the treble excess, a set of adjustments counsel must price before filing any representative claim).
Funders who sell certainty at signing litigate ambiguity after default. What the merchant reports, or omits, in the application returns at the settlement table.
The Homestead Shelter
But the shelter is modest by national standards.
The published Hawaii homestead provision exempts one parcel of real property up to thirty thousand dollars of fair market value over prior liens for heads of family and owners past sixty five, and up to twenty thousand dollars for others, with carve outs for mortgages, tax liens, improvement district liens, and earlier encumbrances. What does a modest shelter protect. Enough to matter and too little to rely upon.
Counsel measures the liens before promising protection.
Trade Tools, Vehicles, and Thirty One Days of Pay
Exempt personalty includes necessary household goods, jewelry to one thousand dollars, one vehicle to two thousand five hundred seventy five dollars over liens, trade tools and equipment of the debtor, burial plots, six months of traced proceeds, and all compensation for personal services earned in the thirty one days before the proceeding.
The published Hawaii personal property exemptions state that inventory in full. The trade tools clause with the thirty one day wage shield does the operative work for owner operators, which surprises no practitioner who has sat through the document exchange. I have yet to see a thirty one day shield asserted without a fight over tracing, though the tracing rules reward the owner who kept records.
Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street account of its settlement work describes a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure no admission reaches the other side without counsel present, and to ensure the registration file and the rate analysis are reviewed and analyzed together with the exemption inventory that decides what the collector cannot touch.
The advance funds on Friday and the trouble starts on Monday. Resist the urge to answer the collector, even casually, before counsel has read the file. Simply direct every inquiry to counsel.
Seven rules cannot pay a balance, but they price the negotiation with knowledge rather than fear, and consultation is the beginning of this pricing.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
