The funder arrived in court holding a financing statement that named the wrong debtor, and the entire collection action rested on a filing that had never perfected anything.

Wyoming law furnishes seven rules that decide such contests, and each one rewards the party that read the public record before asserting rights under it.

Perfection by Filing and the Financing Statement Test

A financing statement perfects nothing unless it names the debtor and the secured party and indicates the collateral, and a funder that cannot satisfy that test holds an unsecured promise dressed in secured language.

The published account of the Wyoming perfection rule adds the further requirements for fixtures and extracted collateral, where a qualifying recorded mortgage can double as a fixture filing.

Often we see collection files in which the statement misnames the entity, omits the collateral description, or was never filed in the office the statute designates, and each defect converts a secured threat into an unsecured request.

Counsel should test the filing before conceding the status, in most of the files we have seen though no dataset measures the practice. The lien the funder asserts may exist only in the demand letter. We review the statement, identify the defects, and construct a response that addresses both the asserted lien and the practical reality of the cash position.

Possession After Default Without Suit

After default, the secured party may take the collateral without judicial process, provided the taking proceeds without breach of the peace, and may require the debtor to assemble the goods at a reasonably convenient place.

The published statement of the Wyoming possession rule preserves the same boundary that governs every self help seizure in the state, and the boundary is narrower than the collection correspondence admits.

A seizure that provokes confrontation exceeds the grant, and the excess transforms the collector into a trespasser with paperwork.

Resist the urge to yield the equipment, even briefly, before counsel confirms that default occurred and that the proposed taking can proceed peacefully.

Collection From Account Debtors and Deposit Accounts

The notice to customers arrives on letterhead, instructing redirection of payment to the funder, and the merchant reads it as a court order though no court has issued anything.

The published enforcement text for Wyoming secured parties grants the redirection power after default, or sooner where the agreement allows, with rights to take entitled proceeds, enforce obligations against account debtors, and apply balances where control was perfected.

The grant carries conditions of default, agreement, and control that the notice never mentions, and those conditions supply the audit checklist that converts a redirection from a show of force into a disputed act.

There is a particular quiet in an office after the receivables have been redirected, a silence composed of payroll arithmetic that no longer resolves.

Steps the owner takes, or does not take, in the first seventy two hours after the notice decide the cost of the dispute.

The Consumer Protection Definitions and the Scope Fight

Consumer transactions receive the shelter of the Wyoming Consumer Protection Act, and business purpose advances generally stand outside it, which makes the characterization of the transaction the whole contest, and an extremely consequential one (the reported decisions applying the statute to commercial advances are few, and the sample is not scientific).

The published definitions behind the Wyoming consumer statute set the vocabulary of merchandise, advertisement, enforcing authority, and cure, and a funder that sold a commercial advance cannot be judged under a consumer standard it never entered.

Whether the advance served a household purpose or a business purpose is a question the file answers before the statute can be invoked, and the answer is rarely found in the label the agreement chose for itself.

Unlawful Deceptive Practices in Consumer Transactions

Where the consumer standard does apply, the statute enumerates the practices it forbids with a specificity that leaves little room for creative relabeling.

The published catalogue of unlawful deceptive practices reaches knowing misrepresentation of source, quality, availability, price and price reductions, warranty rights, and rebates, with advertising without intent to supply among the further enumerated wrongs.

A funder that quoted a factor rate as if it were an annual price in order to secure the signature, or advertised funds it never intended to advance on the stated terms, faces exposure under this section (which defenders of the industry will insist was drafted for retailers, though the text contains no such limitation).

The misrepresentation at signing matters more than the remedy invoked after default. This much the cases establish beyond serious dispute.

Attorney General Restraint Actions

Public enforcement backs the private claim, and the backing matters most where the individual merchant cannot fund a lawsuit alone.

The published grant of restraint authority to the enforcing authority permits suit in the public interest to restrain and remedy the practice, including orders compensating identifiable persons with actual damages or restoration of money or property.

The state moves at its own pace. The debits do not pause for it, which is extremely cold comfort to the merchant watching both. Whether this restraint practice reaches every species of commercial advance is a question this desk cannot answer.

Private Remedies, Class Actions, and the Settlement Posture

After cure is offered and refused, or never offered at all, the private action accrues, and the statute expressly contemplates its prosecution as a class proceeding under the civil procedure rules.

The published private remedy provision allows recovery of actual damages with time based attorney fees upon a finding of loss, a structure that makes modest individual claims viable in the aggregate though no single merchant could fund them alone.

I drafted a response to such a notice on a Tuesday in January, and the cold light through the conference room glass made the factor rate table look exactly like what it was.

The home solicitation cancellation right stands among the further protections the verified file did not fully develop, and counsel should examine it before advising that every avenue is exhausted, since an owner signed at the kitchen table holds a three day right the collector will never mention.

Delancey Street extends a free confidential initial review to businesses under debt pressure, and the Delancey Street description of its settlement practice identifies a settlement company rather than a law firm, with legal analysis reserved to independent counsel under separate engagement. The purpose is to ensure the filing record and the characterization question are reviewed and analyzed as one file before any response issues.

Simply state that counsel will respond after review of the file, and ensure no paperwork leaves the office without counsel approval. The seven rules above settle no account by themselves.

They fix the ground on which accounts are settled. Consultation is the beginning of that survey.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
