The signature binds first and the reading happens later, which reverses the order the law intended.

California answers that reversal with paper of its own, disclosure duties, exemption arithmetic and property rules that change what a restructuring can demand before anyone reaches a courtroom.

Disclosure Metrics Before Signature

California requires specified cost and payment disclosures for covered commercial financing offers, and the regime reaches merchant advances and factoring alongside loans by its terms. The state account of the disclosure regulations effective December 9 2022 lists the metrics that must appear, funding provided, finance cost, annual percentage rate information and payment terms, so the owner can compare the price of money across products that call themselves by different names.

The disclosure packet works the way a flashlight works in a room the owner refuses to enter, accurate, available, and useless until carried inside, and later rules added a prohibition on unfair, deceptive or abusive commercial financing practices with an invitation to businesses to file complaints, which gives counsel a record to cite, a timeline to reference, and a regulatory audience beyond the funder, though the complaint itself cancels no debt and suspends no lawsuit.

A disclosure regime does not reclassify every advance as a loan. Counsel reads the actual agreement against the regulation before asserting a violation, since coverage, timing and remedies turn on facts the marketing never states.

Homestead Arithmetic

The exemption for a principal residence follows a formula rather than a flat number. The statute sets the protected amount as the greater of the countywide median sale price for a single family home in the prior calendar year, capped at six hundred thousand dollars, or a floor of three hundred thousand dollars, with annual inflation adjustment running from 2022 and amendments effective at the start of 2025. Counsel confirms the current adjusted figure before any equity analysis relies on it, since the number moves while the file sits.

Equity above the liens is the only equity the exemption protects.

What a guarantee can reach is decided house by house, through questions of residence, equity above liens, lien priority and the exemption in force on the relevant date. No national answer covers the inquiry.

Community Property and Separate Income

A spouse who signed the guarantee owes on the contract by signature, and no property analysis rescues that signature. The remaining questions belong to regime law.

California stands in the group of community property states where income from separate property remains separate for tax purposes, and the federal publication naming those states places California in clear terms. The income was, if we are being precise, separate only for the tax classification the publication addresses, which is not the same as saying the funder cannot reach it, since management and control rules and creditor reach principles live in state law that the publication never purports to state.

The distinction decides discovery. Counsel traces title, control and signature before advising which accounts stand exposed.

The Stay and the Small Business Case

Filing suspends judgments, collection activity, foreclosure and repossession on claims that arose before the petition, under the automatic provision of the Code, with stated exceptions that counsel maps before promising quiet.

The small business provisions keep the debtor in possession, install a trustee to guide the plan and require complete reporting on an accelerated calendar. Only the debtor may file a plan.

Speed is not mercy. It is a shorter fuse.

Forgiveness and Its Tax Shadow

Canceled debt can count as taxable income, with exclusions for bankruptcy case cancellations and insolvent taxpayers under their own conditions. The Internal Revenue Service discussion of canceled debt states the frame, and entity classification alters the result.

There is a particular quiet in an office after the daily debits post and before counsel calls back. Settlement posture improves extremely early when the tax effect is modeled first.

Price the shadow before accepting the discount.

The California Filing Portal

Every restructuring needs the public record before the negotiation. California runs its lien search inside the secretary of state filing application, a system that renders as a live application rather than a plain page, and counsel searches the debtor name there before drafting payoff or release terms.

Termination fees and processing queues change without notice. Confirm both with the office as they stand now.

Search first. Settle second.

What the Complaint Can and Cannot Do

The state advisory invites small businesses to speak up about merchant advance practices, and the state advisory to small businesses means a complaint lands where patterns are tracked. A federal court upheld the disclosure regime against constitutional and preemption challenge in December 2023, which settled the validity question without settling any individual balance.

The missing disclosure (which the funder will describe as a technicality) still travels to counsel, to the regulator and into the negotiation, where it supports defenses and counterclaim analysis rather than self help. Simply bring the agreement, the statements and the disclosure packet to the first meeting, and let counsel measure each against the regulation as written.

Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street account of its settlement work describes a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure the disclosure record, the exemption arithmetic and the lien search are reviewed and analyzed together, and to ensure no filing issues without counsel present. Outlandish paperwork errors surface in these files with surprising regularity, and the regulator cannot act on a complaint the owner never files, which is where an extremely practical engagement begins rather than ends.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
