7 Laws That Set Your Bargaining Power (2026)
Business Debt Restructuring in Texas
Texas community rules move income before negotiation starts. Seven laws on marital property, stay, control, tax, liens, records and forum set a Texas restructuring range.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
Texas answers the property question differently from most states, and the difference reaches the tax return before it reaches the negotiation.
A Texas owner who restructures business debt meets seven rules that reward preparation, and the marital rule comes first because it colors income itself. Community classification, stay, continued control, taxation, lien survival, record clearing and forum law fix the bargaining range before counsel returns the first call, and the freeze ends only on paper.
Community Income and the Texas Guarantee
The Internal Revenue Service publication on community property places Texas among the nine states where its rules apply: in Idaho, Louisiana, Texas and Wisconsin, income from most separate property counts as community income, while Arizona, California, Nevada, New Mexico and Washington take the opposite approach. The classification comes first because every later calculation assumes it.
Spouses filing separate returns divide the community income and allocate the deductions between the returns, a division the publication addresses through Form 8958, and the arithmetic changes the insolvency picture below. The personal guarantee (which funders describe as standard language, as if standard language were ever neutral) binds the signer in every state regardless of regime, so the community question concerns the spouse who signed nothing and the accounts in that name.
Community income belongs to the marriage. The guarantee belongs to the signature. Collection follows the second, not the first, unless state law says otherwise.
The publication states federal tax treatment only. Management and control rules, creditor reach and exposure of household accounts belong to Texas property law, confirmed by counsel on the actual returns. The sample in our files is small, and I claim nothing beyond it. I am less certain about Fifth Circuit application than the federal text suggests.
Three filings appeared in the search, two older than the debt they supposedly secured.
The Stay Behind the Petition
Filing creates the protection; no motion is needed to start it. Section 362 halts judgments, collection suits, foreclosure and repossession on claims that arose before the case began, and the Chapter 11 basics published by the federal courts calls the pause a breathing spell for negotiation. The petition was proper. The protection was partial.
Creditors keep the right to seek relief for cause including inadequate protection, operating cash draws fights over its use while the case pends, and a suit against a guarantor walks a separate path the company filing does not block. The paperwork arrives in a box. I understand why the box stays closed for a month.
Time is gained while nothing is forgiven.
Possession and the Trustee
The business keeps operating under its own management while the case proceeds. A trustee joins to guide the plan, investigate where warranted and ensure creditors receive payment, and supervision replaces replacement as the model. Only the debtor files a plan, no disclosure statement is required unless ordered for cause, and no committee forms as a matter of course.
The combined debt ceiling moves with the years, so counsel verifies the figure in effect on the filing date. Often we treat eligibility as victory, though the calendar that follows defeats the unprepared. Reporting stays complete and deadlines stay short.
Possession is a tool, not a prize.
Tax on the Forgiven Balance
And the discount returns in April wearing a different name. Canceled debt can count as taxable income, with exclusions for debt discharged in bankruptcy and for debt canceled during insolvency, each with conditions that punish reconstruction after the fact. Because Texas community rules already moved income between spouses, the insolvency arithmetic here differs from the version an owner from a separate property state expects, and counsel fixes the characterization on the actual returns.
The Internal Revenue Service topic on canceled debt frames the inquiry as taxability of the amount forgiven, and entity classification decides whether company level relief ends the matter. A residue at the personal level proves extremely expensive to discover by mail.
Settle the tax question before signing the settlement, or the settlement signs it for you.
Proceeds and the Surviving Lien
The New York text of the proceeds and disposition rule continues the security interest in collateral despite sale, lease, license, exchange or other disposition, unless the secured party authorized a transfer free of it, and carries the interest into identifiable proceeds subject to stated exceptions. The docket moves the way cattle move through a gate: packed tight, then all at once, and never backward.
Counsel confirms the Texas version before assets move or the operation changes hands, since the buyer searches records the seller never read. A lender structures the agreement in order to survive exactly this moment, and the lien outlives the handshake that supposedly cleared it.
Produce the agreement, the statement, the written authorization and the release before warranting anything to a buyer.
Clearing Dead Filings
Paid debt leaves unpaid paper. The New York text of the statement termination rule requires the secured party to send or file a termination within twenty days after signed debtor demand when the stated conditions hold.
Two of the three filings in the search should have died years ago. Simply demand each termination in writing and keep the receipts.
Forum Law and the Closing Review
The written arbitration term in commercial paper stands enforceable under federal law, defeated only by defenses that undo contracts as a class, and the federal arbitration provision states the command in plain terms. A lender who buries the forum clause on the last page has already told the owner how the relationship ends. Formation, scope, delegation and waiver still invite review, and the forum answer never reaches the merits of the advance.
Delancey Street offers a free confidential initial review for Texas owners facing stacked business debt, and the Delancey Street overview of its business debt practice presents a settlement company rather than a law firm, so legal conclusions belong to independent counsel under a separate engagement. The objective is to ensure the community return, the lien record and the guarantee stack are reviewed and analyzed as one file, and to ensure debts disclosed, or omitted, in the schedules are corrected with counsel before filing, even casually. Resist the urge to answer collectors without that review.
The freeze ends while the file remains. Counsel should see it before the next signature.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
