The smallest debts make the largest files.

A Utah owner facing business debt negotiates without a map of the seven rules, and the counterparty across the table has memorized every road. Control, stay, lien survival, household exposure, taxation, forum and the public record decide what the owner keeps, and each rule rewards the side that prepares first on a specific agreement.

Control of the Business in a Small Case

Management stays in place while the case moves forward. The small business provisions keep the debtor in possession, add a trustee to guide the plan and monitor payments, and remove the automatic committee that slows larger cases. Only the debtor files a plan, and no disclosure statement is required unless ordered for cause.

The debt ceiling for these cases changes over the years, so counsel confirms the number in force at filing rather than the number in an old article. Thirty days after filing, the first reports come due and the first relief motions land, and the owner who prepared before petitioning meets both without panic. Seldom does a filing arrive complete.

Control continues, and scrutiny continues with it.

Scope of the Automatic Stay

The petition itself stops collection suits, judgments, foreclosure and repossession on claims that arose before filing. The federal judiciary overview of Chapter 11 reorganization gives the pause its traditional name, a breathing spell for negotiation, and the name fits only where counsel has charted the exceptions in advance.

Relief for cause including inadequate protection stays available to creditors, disputes over operating cash absorb attention while they pend, and actions against a guarantor proceed because the shield covers the debtor rather than those who signed beside it. Whether Tenth Circuit panels read each exception identically is beyond what this article can settle, and counsel answers it on these facts.

A pause is not a pardon.

Sale of Collateral and the Lien

The New York disposition and proceeds statute provides that a security interest continues in collateral despite sale, lease, license, exchange or other disposition, unless the secured party authorized a transfer free of it, and the interest follows identifiable proceeds subject to stated exceptions. The debt was discharged. The lien remained.

Before the owner sells equipment, before the receivables are assigned, before a buyer relies on a handshake promise of clear title, counsel confirms the Utah version of the rule and orders the lien search the seller skipped, because the buyer will discount the price for every filing discovered late, and the discount always exceeds the cost of clearing the record early, which is why written authorization from the secured party matters more than any verbal assurance given across a desk, and why the payoff letter must state the release in words rather than imply it in tone.

There is a particular quiet in an office in January when the holiday mail stops and the demand letters resume. I understand why owners stop opening the mail. I would not advise it, but I understand it.

Utah Households and the Guarantee

A guarantee signed is a guarantee owed, and no household analysis alters the signature. The open questions belong to the spouse who signed nothing: which accounts, which title, which funds.

The signer answers on the contract. The household answers where Utah law extends the reach, and nowhere else.

The Internal Revenue Service publication addressing community property covers married taxpayers domiciled in nine named states, and Utah is not one of them. Tax sorting and creditor reach are separate inquiries, and only the second decides what a collector can take.

Counsel traces ownership, control and signatures under Utah law before giving household assurances. A collector seeks household accounts in order to enlarge recovery past the business, and the effort tests documents rather than devotion. Title papers and statements enter the file first, in our count informal, though the direction is consistent.

Income From Canceled Debt

Forgiveness can arrive as income. Debt canceled in bankruptcy and debt canceled during insolvency fall under exclusions with conditions of their own, and the conditions punish owners who reconstruct records after signing. The case file sits the way snow sits on a fence line: evenly, heavily, and melting from underneath.

The Internal Revenue Service guidance on canceled debt measures taxability of the forgiven amount, and the measurement shifts with entity form, so company level relief can leave a personal balance that proves extremely expensive to meet unprepared. A collector who answers questions with more questions is negotiating, not informing.

Compute the tax consequence before accepting the discount, or accept both together.

Arbitration Terms in Funding Agreements

The funding agreement often contains a forum term that outlives the funding itself. Written arbitration provisions stand enforceable under federal law apart from contract defenses of general application, as the federal law of arbitration provides. The result was not tragic. It was sordid, a small debt made large by neglect.

Scope, formation, delegation and waiver get tested in turn. The forum ruling never reaches the merits of the advance.

The Last Filing in the Drawer

Payment ends the debt but not the record. The New York termination statute directs the secured party to send or file a termination within twenty days after signed debtor demand when the stated conditions are met (counsel dates the obligation on the signed papers), and a filing left to linger clouds the next loan.

Delancey Street offers a free confidential initial review for Utah owners working through business debt, and the Delancey Street description of its business debt services presents a settlement company rather than a law firm, so legal work belongs to independent counsel under a separate engagement. The trustee (who, it bears noting, answers to the court rather than to either side) sets the tone in the first meeting, while the settlement table sets the price months later. The objective is to ensure the lien record, the guarantee file and the tax position are reviewed and analyzed together, and to ensure relief granted, or denied, on the papers is met with a plan made with counsel, even briefly. Simply bring every page, and resist the urge to filter.

The map is public, and counsel reads it best.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
