Bankruptcy is the last exit worth pricing, not the first. Federal court guidance itself names agreements with creditors reached outside any courtroom among the alternatives a business may pursue, and several documented mechanisms exist for owners who act before the docket fills. The federal court account of reorganization and its alternatives belongs at the start of this discussion, and no verified ranking compares these routes, so what follows is a map rather than a recommendation.

A Private Workout With Documented Terms

Private talks create no stay, and that single fact governs the entire negotiation. A creditor that keeps collecting while discussing terms acts within its rights, so the owner negotiates against a clock the other side controls. We ensure no deadline passes unnoticed.

Most brokers who propose a workout intend to sell the business a new loan. They prefer the term workout to cover both. An extremely lopsided negotiation begins when refinancing solicitation is mistaken for debt relief.

The workout tackles the balance, the rate, and what happens when revenue misses the forecast for a second quarter. Negotiate and document each answer in writing, because memory of a phone call binds no one. Delancey Street operates on this side of the table as a settlement company, not a law firm, with a free confidential initial review while independent counsel guards the litigation posture. No verified savings rate exists for any route.

An Assignment Under State Law

The assignment ends the business. It settles nothing by itself. Under Florida Chapter 727, the assignor transfers assets to an assignee who liquidates and distributes under court supervision, with power to approve sales, settle controversies, and fix distributions under the Florida assignment court powers statute.

The shield is extremely narrow: the statute bars actions against the assignee except as the chapter provides, and bars levy against estate assets apart from stated exceptions, under the Florida assignment shield statute. Only a bankruptcy discharge releases personal liability.

Creditors must file proofs of claim within one hundred twenty days of the petition to share in any dividend, and the assignee needs court approval to operate past forty five days. Whether any state gives the assignor a residual discharge is a question counsel in the filing state must answer.

Delaware and California run different versions of the same idea, and counsel must confirm the filing state statute before promising any timetable.

A Negotiated Payoff With Written Releases

A payoff without a release is a gift with paperwork. The security interest generally continues in the collateral despite disposition unless the secured party authorized a transfer clear of the lien, and it attaches to identifiable proceeds, under the lien continuation statute. Money sent without addressing the filing leaves the lien alive.

Simply assemble the file before requesting the payoff figure.

  • Gather the agreement with every amendment and side letter that changed its terms.
  • Reconcile the payment ledger against bank records.
  • Print the lien search results showing each filing against the business.
  • Collect the demand correspondence.

After full payment, the secured party generally must send or file a termination within twenty days after a signed debtor demand where specified conditions are met, under the termination procedure statute. The filing office question is one I leave to counsel in the filing state. Demand the releases the creditor signs, or withholds, in writing: the lien termination, the account satisfaction, and the fate of the guarantor obligation.

An SBA Compromise After Collateral Is Liquidated

In August 2026 the SBA restated the compromise rule. A compromise may resolve a deficiency only after collateral liquidation where the obligor cannot pay in full, and each party seeking relief submits the offer form with financial statements. Form 1150 begins the process.

But the program forgives nothing automatically. COVID era disaster loans cannot be forgiven through this channel, and a charge off that precedes Treasury collection is an accounting entry rather than a release. The program rewards patience more than optimism.

The SBA compromise form page identifies the required submissions. Lender participation, servicing stage, and obligor identity shape the outcome.

An IRS Workout for the Tax Component

Payroll and income tax balances answer to a different office with different patience. The IRS offers installment agreements and qualifying compromises rather than automatic discounts, and the IRS compromise guidance for businesses conditions relief on filed returns, current estimated payments, and required deposit history.

An open bankruptcy blocks compromise eligibility. An accepted compromise demands continuing compliance across generally five years, and default can restore the original liability less credits applied. Employers face the trust fund inquiry as a personal matter distinct from the company contract debt.

That is the paragraph owners skip while calculating the monthly amount. Tax compliance is not a section of the workout; it is the floor beneath it.

A Forgiveness Plan Before Cancellation Posts

The canceled balance returns in a different envelope: canceled debt can count as taxable income, with bankruptcy and insolvency exceptions subject to requirements, as the IRS canceled debt guidance explains. Entity structure and tax classification change the analysis.

Calculate and reserve the tax effect before accepting the discount. Whether this holds for every entity classification is beyond this article.

A Wind Down That Preserves the Paper Trail

Seldom does a wind down fail for lack of effort. It fails for lack of sequencing: assets distributed before releases signed, guarantees unaddressed, records scattered among people who already left. The guarantee exposure survives the company resolution unless separately released, and a creditor that delays release does so in order to preserve its bargaining position.

Resist the urge to pay the loudest creditor first. Preferential payments can invite later challenge, and ad hoc payoffs carry weight their makers never intended. No private signature stops a pending suit the way a filed petition does, a distinction worth holding until the final distribution.

Most owners wind down alone. They should not have to. Any reaffirmation type promise, even briefly worded, deserves counsel review, and old balances deserve no admission without advice. The objective is to ensure every release is captured in writing while independent counsel confirms what remains. Consultation is where this conversation begins. The ledger outlives the lease.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
