Denial enforces the contract rather than breaking it in most files, and each of the eight causes below describes a different term the request failed to satisfy.

Missing clauses, defective notice, thin proof, discretionary language, contradictory records, disavowed estimates, guarantor confusion, and the wrong body of law form the complete catalogue. What each means for the next attempt follows the cause it explains.

No Clause in the Agreement

LG Funding gave reconciliation its legal weight as a characterization factor, and the lesson cuts both directions. Fixed debits with no true up look like absolute repayment loans, while genuine reconciliation supports purchase treatment, so the clause’s absence weakens both the request and the borrower’s larger position (the clauses I have seen vary more than the marketing suggests, and memory smooths the edges).

Some advances contain no adjustment right, and no letter compels a recalculation the contract never promised. Counsel must read the agreement before drafting anything, since invoking a right the paper does not grant tells the funder the owner has not read the file.

Review and analyze the definitions first, because a percentage of receipts without a true up is a fixed obligation wearing variable dress. The owner who understands this before writing stands on firmer ground than the owner who learns it from the denial.

Defective Notice

What did the clause require for delivery? Notice provisions multiply like keys on a janitor’s ring, similar and unlabeled, each opening a single door, and the request that arrives by email under a clause demanding overnight courier has not arrived at all.

The request was timely. The method was wrong.

Cite the section, set a response date the clause allows or ten days where the clause stays silent, and keep proof of the request and response dates. Often the denial letter quotes the clause the owner never read. Counsel ensures the notice matches the clause before it leaves the office, and match the method, not just the deadline. Simply follow the clause’s delivery term to the letter.

Missing Financial Proof

Take a hypothetical retailer whose bookkeeper sent summaries while the clause demanded statements, since the illustration is invented to isolate the error. The receipts existed. The submission did not contain them.

We cite the section, attach the evidence, and calendar the response date the clause allows. What the merchant sent, or failed to send, with the request decides the outcome more often than the merits behind it, so assemble and attach the statements rather than forwarding the wobbly stack of summaries.

Owners assemble the proof after the denial. The order of operations defeats them, and the statements matter more than the summary. That is what the affidavit rule punishes.

Sole Discretion Language

The Bridge majority opinion credited reconciliation provisions that required adjustment on request and found them not illusory, because no sole discretion and no consequences language appeared. The reasoning cuts the other way with equal force, and a clause the funder alone may honor invites the opposite holding.

A clause the funder alone may honor is a description, not a right.

One historical specimen states that slowdown alone is not default subject to stated reconciliation conditions, though pages of that capture remain image only and the term stays transaction specific. The filed future receivables exhibit proves only what one funder once accepted, and how often bilateral language survives contact with actual slowdowns the opinions do not say. Funders draft sole discretion for the funder’s comfort, and comfort is the entire purpose.

Contradictory Records

Arguments raised against the clause fail fastest when the merchant’s own numbers disagree with each other. The appellate court denied summary judgment in part because the manager’s damages affidavit conflicted with the complaint’s verified figure with no explanation offered, and an underwriter reads the same conflict the same way.

You sign the papers and then the papers remember what you signed. No call to the underwriter, even briefly, without the books open in front of you, because inferences drawn against the merchant from inconsistent figures harden before counsel can soften them. Never explain without exhibits. Resist the urge to explain the gap before the documents do.

Whether the underwriter even read the submission is unknowable from this side of the exchange. The file must persuade without knowing its reader.

Disavowed Revenue Estimates

Statements that concede the revenue estimate was fictional feed the attack the dissent sketched. The dissent asked whether the estimate was reasonably grounded in prior receivables and whether the procedure was practically usable, pointing to a fourteen thousand dollar daily estimate beside twelve hundred thirty two dollars and one cent in stipulated revenue.

There are cases where the estimate was negotiated line by line, though the file seldom shows it in practice. A funder that inflated the estimate in order to justify the advance size created the mismatch the merchant now explains, yet the merchant who disavows the number adopts the mismatch as a personal admission.

The estimate binds both signatures until a court says otherwise. The extremely wide gap between estimate and receipts helps no one once both sides have sworn to it.

Guarantor Confusion

The guaranty stands apart. The majority treated it as separate and distinct from the business contract, so statements blurring the two misstate the law of the forum.

Delancey Street debt relief services open with a confidential review as a settlement company rather than a law firm, while independent counsel briefs the guarantor’s position on a separate track. The underwriter reviewing the business file never sat on the guaranty track.

The Law Cited for the Wrong Account

Consumer statutes do not reach the business account. Federal consumer protection guidance addresses specified consumer debts, while business obligations travel under the agreement and the bank’s business account rules. The LG Funding substance test and Credibly reconciliation procedure notes both confirm the point from opposite sides, since procedure lives in the contract rather than in statutes written for household accounts. Counsel ensures the authorities cited in the letter govern business accounts.

Every denial teaches the shape of the next request. The owners who read all eight causes before writing again file once, while the rest file until the calendar teaches them.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
