Business Debt Consolidation in Practice
A replacement payment earns its place only when exact payoff figures, the path of funded money, and any new guarantee all fit the budget the business already has, with settlement reviewed beside the loan offer.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
One payment can still drown a company that could have carried three.
Consolidation earns its place in practice when the replacement obligation fits the operating budget that already exists, rather than the budget the owner expects to assemble after the closing date. The examination is arithmetic before it is psychological, and the arithmetic must include every balance the new money leaves behind.
Assemble Exact Payoff Figures Before Comparing Offers
The closing figure governs the transaction. A balance shown on a statement almost never equals the sum required to end the obligation on the funding date, because fees, pending withdrawals and whatever conditions the agreement attaches to release accrue in the interval between the quote and the wire, a gap that widens whenever daily collections continue during the wait.
LG Funding, LLC v. United Senior Properties of Olathe, LLC, decided by a New York appellate court, weighed reconciliation, finite duration and the question of recourse in bankruptcy when deciding whether repayment under an MCA agreement was absolute. The Second Department decision in LG Funding belongs at the start of any consolidation review that includes advance balances, because replacing an advance with a loan can alter the legal structure in ways the payment comparison never displays.
The payoff letter was, if we are being precise, a moving figure rather than a fixed sum.
Simply build a schedule that pairs each old account with its payoff figure and the evidence that will prove closure. Whether every financing party computes that figure by the same method is a question worth carrying into the meeting.
A funded loan is not a closed debt. The wire is the beginning of the proof, not its end.
Trace Where the Funded Money Travels
Money that never reaches the old creditor changes nothing. The owner should establish whether the lending party transmits proceeds to each counterparty, or deposits the advance into the operating account and leaves the business responsible for every payoff, because the second arrangement adds a new withdrawal while preserving every collection.
Before the first payment under the new schedule, before the relief of a single withdrawal settles the conversation, the owner should hold written confirmation that each designated account stands closed. That confirmation names the account, the amount applied and the full identity of the party whose claim the payment ends.
One payoff letter arrived nine days after the quote, if memory serves, with a fee the dashboard never displayed. There are exceptions, though in practice they tend to confirm the rule.
The statement showed a zero balance. The obligation remained enforceable.
The owner keeps the old agreements after funding. The papers explain later demands and later confusion about collateral records.
We review the terms, identify the deficiencies, and construct a response that addresses the contractual claims and the practical limits of the company cash position. Until each confirmation arrives, until the issuing office records the closure, the old withdrawal authority should be treated as live. A single extremely busy sales day can trigger a duplicate collection against the account the new lender just funded, which is why the first statement under the replacement schedule deserves reconciliation against the accepted offer, line by line. The lending party may approve enough to retire some accounts while leaving another active, and the owner should evaluate that partial result as the actual proposal rather than assume the word consolidation covers every debt.
Measure the Security and Guarantee Exchange
Lower payments should not distract from the rights exchanged at closing. A replacement agreement can expand the collateral claimed, add a personal guarantee where none existed, or redefine the events treated as default, and each change survives long after the relief of the first smaller payment fades.
Counsel should compare the original and replacement instruments line by line. The funder presents the new terms as simplification. The creditor retains the enforcement rights the signature grants.
Whether the same characterization analysis controls outside New York is a question no honest adviser answers from this desk. In most of the files we have seen, though the sample is not scientific, the guarantee language drew less attention than the payment figure, which is part of the problem.
The file drawer keeps both sets of papers.
Test the New Schedule Against a Weak Period
A longer term can reduce the periodic payment while increasing the total repaid, and that tradeoff deserves an express decision rather than a quiet assumption. Build the forecast from the collection pattern the records support, then test a period when customers pay late, because an estimate drawn from the strongest recent month will flatter any proposal placed beside it. When the weaker period breaks the schedule on paper, it will break the company in fact, and that extremely unwelcome result is cheaper to read than to live through.
Most replacement loans are priced for the month the owner signed, not the month that follows. Steps the owner takes, or does not take, in the first three days after funding determine whether duplicate withdrawals and incomplete payoffs compound into a second crisis.
Resist the urge to sign while assuming someone else will finish the payoffs. Interest gathers the way moss gathers on a stone wall, with no regard for the plans beneath it, and a peculiar comfort settles over the office once the single payment begins, even where the old accounts remain open.
Place a Settlement Review Beside the Loan Offer
Delancey Street offers an MCA centered settlement review, including a free confidential initial conversation. The company is a debt settlement company and not a law firm, and it describes coordination with independently licensed counsel for legal matters, which is where questions of guarantee scope and release language belong.
A negotiated resolution is a different proposal from consolidation financing. Ask the reviewer to ensure the budget separates creditor payments from service charges. The objective is to ensure no legal position is conceded before counsel has examined the file, even briefly, since any communication with a financing party, even casually, can alter the posture of the case against the company.
Where cancellation of part of a balance enters the plan, the IRS guidance on canceled debt notes that a canceled amount can constitute taxable income, subject to exceptions and exclusions. Most owners call after the maturity notice arrives. I understand the delay.
The purpose of consolidation was never a cleaner statement. It was an obligation the company can carry through ordinary disruption, documented as closed on both sides and still affordable when receipts fall short of hope.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
