Florida Commercial Financing Disclosures

The restructuring of a Florida business debt begins before the first missed payment, in the disclosure the provider owed at signing.

Section 559.9613 of the Florida Statutes requires a provider that consummates a commercial financing transaction to furnish a written disclosure of its terms at or before consummation, with only one disclosure owed for each transaction and none owed when a consummated transaction is later modified or forborne. Counsel can review and analyze that single document against the funded amount, the withheld fees, and the payment schedule before any call.

For a financing facility, the provider may satisfy the duty with an example built on accounts receivable carrying a total face amount of $10,000, and no fresh disclosure is owed each time receivables change hands under the facility. What a creditor discloses, or withholds, in that example often decides whether later collection conduct matches the paper.

Violations surface years after funding, usually when counsel reads the file in order to build a defense. The disclosure sits in the drawer the way winter coats sit in Florida closets, present and cut for another climate.

Whether the duty reaches every purchase of future receivables is a question the text leaves for counsel to argue. The retrieved portion states the duty and its timing (the enforcement provision sits outside the retrieved text, so counsel confirms the remedy before anyone treats a gap as a defense).

The Automatic Stay

Collection stops the morning the petition is filed, and everything the funder planned for that week must wait.

Chapter 11 of the Bankruptcy Code provides for reorganization in which the debtor usually remains in possession with the powers and duties of a trustee, continues to operate the business, and proposes a plan over which affected creditors may vote.

The stay suspends judgments, collection calls, foreclosure suits, and any plan the funder made for that month’s debits, though the list of actions that proceed despite the petition is extremely short. The stay pauses collection; it cancels nothing.

A secured creditor may obtain relief where the debtor holds no equity in the property and the property is not necessary for an effective reorganization, which means the stay changes the order of events without deciding their outcome.

Canceled Debt and Insolvency

A forgiven balance returns as taxable income, often in the same year the owner finally feels solvent.

The Internal Revenue Service guidance on canceled debt treats debt discharged for less than the full amount owed as taxable, requires reporting in the year of cancellation, and instructs recipients of an incorrect Form 1099-C to contact the creditor while still reporting the correct amount on the return.

The exclusions for bankruptcy and insolvency change the arithmetic, though insolvency is measured immediately before the discharge and attribute reduction follows through Form 982, a sequence that rewards owners who document and preserve the balance sheet before celebrating the settlement.

The full restructuring is, in the end, an exercise in sequencing protections rather than locating a single shield.

Recourse and nonrecourse treatment diverge where property secures the obligation, so counsel and a tax adviser review the note before the figure is finalized.

Florida Wage Exemptions

The guarantor signs for the business and answers with the household, which is why the wage exemption matters more than most guarantors suspect.

Section 222.11 of the Florida Statutes exempts all disposable earnings of a head of family at or below $750 a week from attachment or garnishment, conditions collection above that line on a signed written waiver meeting the statutory form, and bounds the earnings of others by the federal measure in 15 U.S.C. 1673.

Most owners learn these thresholds after the restraint lands. I understand the delay.

Exempt earnings deposited in an account keep the exemption for six months where the funds can be traced and identified.

Before judgment the funder holds no garnishment power at all. Whether judges apply the head of family test the same way in every county is a question I cannot answer from this desk.

The Consumer Playbook Stays on the Shelf

Which federal collection protections follow a commercial guarantee into the collector’s file?

The Fair Debt Collection Practices Act governs debts incurred primarily for personal, family, or household purposes, which leaves business debts outside its coverage. State statutes may still reach the conduct. This is not protection. It is procedure.

Whether a given call crossed a line the collector was not permitted to cross is a question the federal text leaves open.

The Bureau points readers toward the state attorney general for state law detail. Steps taken, or not taken, in the first month after default shape everything that follows.

The Arbitration Clause

Often we see the arbitration provision treated as a footnote, though it decides the forum before the merits are ever addressed.

Section 2 of the Federal Arbitration Act gives covered written arbitration agreements enforcement as a rule, subject to revocation on generally applicable contract grounds and to statutory exceptions. Counsel ensures the forum fight is priced before it is filed.

The provision is, if we are being precise, a direction to courts rather than a right of funders.

An enforceable clause proves nothing about the balance of the advance, and the protection it offers a funder is extremely thin.

Substance Over Labels at the Settlement Table

In LG Funding, LLC v. United Senior Properties of Olathe, LLC, a New York appellate court tested a merchant agreement by its substance, asking whether repayment was absolute and weighing reconciliation, a finite term, and recourse in bankruptcy. The opinion denied dismissal of defenses built on that test while granting dismissal of the counterclaim.

New York authority does not decide Florida transactions as a matter of course, though the published MCA decisions concentrate there in a pattern the sample suggests without proving. There are exceptions, though in practice they tend to confirm the posture counsel already holds.

Funders price certainty, and disclosure gaps, exemption limits, tax costs, and a forum contest they would rather not fund each move the number.

A settlement file with every protection mapped is worth more than a dispute filed in anger.

Delancey Street is a debt settlement company, not a law firm, and it reviews merchant cash advance balances for owners seeking negotiated reductions; consultation is where the mapping of these protections begins, and independent counsel handles the legal work. Resist the urge to answer the next demand letter before that review; simply bring the funding agreement, the disclosure, and the bank record, and the objective is to ensure no statement is made without counsel present, even casually. The agreement comes out of the drawer and statutes change the negotiation before it starts for the owner who reads them first.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
