Business Debt Restructuring in Washington
7 Laws That Decide the Price of a Workout (2026)
Washington adds a voidable transfer statute and community property status to the federal restructuring toolkit, and each planned move must survive both before anything changes hands.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The transfer the owner made to protect the equipment is the transfer the funder names in its opening papers.
A Washington company restructures under one state voidable transfer statute, one federal tax classification that names the state outright, and five federal doctrines that reach every commercial borrower. Counsel measures each planned move against the specific agreement before anything changes hands. Intent, marriage, forum, enforcement history, taxation, record clearing and timing decide the result.
Transfers a Creditor Can Unwind
The inspected text of the Washington voidable transfer statute provides that a transfer made or obligation incurred without reasonably equivalent value is voidable as to creditors where the debtor was engaged in business with unreasonably small remaining assets or incurred debts beyond the ability to pay as they became due, and it lists eleven nonexclusive factors for inferring actual intent: insider status, retained possession, concealment, threatened suit, bulk transfer, absconding, removal, inadequate consideration, insolvency, proximity to new debt and conveyance through a lienor to an insider.
Consider a hypothetical owner who titles the delivery van to a cousin in November. The van stays in the company lot, payments continue from the company account, and the cousin takes no delivery.
Whether counsel blesses the next transfer before it happens decides whether the restructuring survives its first challenge, since the creditor carries the burden by a preponderance of the evidence and eleven factors give the creditor eleven doors. Session laws of 1987 and 2017 stand behind the section, which tells the owner this is settled ground.
Nothing moves without a memo to the file.
Marriage and the Guarantee Radius
A signature on a personal guarantee creates liability on the contract in every state. The remaining questions concern the spouse who signed nothing, and here Washington gives a different answer because the federal publication on community property names Washington among the nine community property states, a tax classification mistaken by owners for a creditor rule.
Tax classification does not purport to state which accounts answer for a commercial guarantee. The distinction between joint taxation by the revenue authority and separate seizure by a funder is the daily work of these files, and management and control rules, which live in state law, decide it before any negotiation begins.
A funder pursues the guarantee in order to reach beyond the business, and tests these boundaries with extremely predictable paper served on Friday afternoons. Ownership papers join the payment records in the first file counsel reviews.
Filing for Time Under Chapter 11
The federal court account of Chapter 11 reorganization describes the mechanism. Filing manufactures time that correspondence cannot. The stay suspends judgments, collection suits, foreclosure and repossession on claims that arose before filing. Exceptions exist (which defenders of aggressive collection practice prefer to discuss at length) and the exceptions decide how much of the breathing spell the owner keeps.
A filing by the company leaves suits against guarantors in place unless the court extends protection. Counsel files, serves notice, and calendars the first hearing before negotiating anything further. Collectors count on owners who file and then wait.
Relief delayed by confusion costs more than relief delayed by strategy.
Enforcement History the Owner Can Cite
In January 2022 the Federal Trade Commission announced a settlement barring RAM Capital Funding and its owner from the MCA and debt collection industries over charges of deceptive seizures from small businesses, and the Commission account of that MCA enforcement action remains the clearest public statement that collection misconduct carries consequences beyond the contract.
The order bound its parties. It voided nobody else's ledger.
An enforcement action against particular providers does not make every advance fraudulent. Counsel invokes the precedent for conduct, not for cancellation of the debt. Three findings cross state lines intact: deception documented, industry exit ordered, redress directed. You sign the contract and then you discover what the contract means.
The Discount and Its Tax Shadow
Every forgiven dollar is a dollar the revenue authority may count. The Internal Revenue Service discussion of canceled debt treats the forgiven amount as income unless an exclusion applies, and the bankruptcy and insolvency exclusions carry requirements that counsel verifies rather than assumes.
Consider a hypothetical restaurant balance reduced by $45,000 in settlement. The owner who budgets the savings without the tax line has budgeted a fiction, and the files we see, though not a study, repeat the omission with extremely consistent timing about six months later. I understand why the tax line gets skipped. The cost arrives regardless.
Entity classification alters the result, since a settlement at the company level can leave the guarantor holding personal income from the same transaction. That shadow falls on every settlement.
Clearing Stale Filings From the Record
Paid debts leave peculiar filings behind. The inspected New York text of the termination procedure requires action within twenty days after signed debtor demand when the stated conditions are met, and payoff without demand starts no clock.
Whether the Washington enactment matches the New York text on these facts is a question worth carrying into the call with counsel. The demand goes out by a trackable method to ensure the clock starts. Keep and file a copy of everything sent.
Forum Clauses and the First Review
Forum fights consume money before the merits are ever reached. Often we see files where the forum fight consumed the settlement itself. The federal text of the arbitration provision enforces covered written agreements subject to defenses available against any contract, so formation, scope, delegation and the waiver question all require review before the owner chooses a battlefield.
Resist the urge to answer the collection suit by calling the collector. Simply state that counsel will respond.
Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street description of its debt relief work presents a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. Counsel ensures the transfer history, the guarantee stack and the complete filing record of the company are reviewed and analyzed, to ensure no statement reaches the funder without counsel present, even briefly.
Paper outlives intent. The transfers and filings of this year will be read in a later year by a stranger.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
