Can I Combine MCA Loans?
Combining advances can enlarge the obligation it replaces. Owners should inventory every agreement, test net proceeds against dated payoffs, compare the new terms honestly, and consider negotiation where refinancing does not fit.
Attorney-founded MCA defense firm serving businesses nationwide. Freezes daily ACH withdrawals, challenges confessions of judgment, removes UCC liens, and negotiates settlements at 40-60% reduction.
Combining several advances can leave the business carrying a larger obligation than the stack it replaced.
One payment instead of many exerts a pull that arithmetic does not always support. The transaction deserves consideration only after the owner knows which accounts will close, what the replacement payment requires from actual receipts, and which new undertakings arrive with the funds.
What Combination Actually Means
A combination loan retires existing balances and installs a single obligation in their place. That description flatters the transaction. In practice the new funds must first survive origination charges, then reach each counterparty in full, and only then does the single payment describe reality, and only after payoffs are confirmed.
Resist the urge to treat the first quote as the final shape of the deal. The debits the owner authorized in writing, or tolerates by silence while paperwork moves, continue until a payoff is confirmed in writing. A business that counts relief from the funding date can pay twice in the same month: once to the old advance by inertia, and once to the new lender by contract.
One agreement ran to thirty one pages, most of them devoted to remedies. The lesson is unglamorous: combination is a purchase, and purchases require an inventory. What follows is the work that makes the purchase honest.
The Inventory Before the Application
Simply list every advance with its agreement, amendments, and current statements. An MCA is often structured as a purchase of future receipts. The label on the offer should not prevent examination of the terms. A later advance may not have retired the earlier one even where its proceeds helped meet earlier payments.
In LG Funding v United Senior Properties of Olathe, 181 A.D.3d 664, a New York appellate court weighed reconciliation practice, finite duration, and bankruptcy recourse when asking whether repayment was absolute. The LG Funding opinion illustrates why the underlying contracts deserve review before replacement financing is treated as a routine balance transfer. Whether the same analysis governs an advance signed under another state's law is a question for counsel under that law.
Identify each funding party (who, it should be noted, may have advanced additional sums under amendments the owner no longer distinguishes from the original agreement) and record the withdrawal amount for each advance on its own line. The governing documents and the applicable law decide what is owed, not the trade name on the monthly debit. A missing amendment can cost more than a missing statement.
Proceeds Arithmetic
A lower payment can accompany a larger obligation.
Obtain written payoff figures tied to the anticipated funding date and compare the total with the net proceeds available after charges. If the new financing falls short, name the remaining obligation instead of describing the transaction as complete. The quote was accurate. It was also incomplete. Determine whether the lender controls the payoffs or the business must transmit them, and assign responsibility for confirming closure of each account.
That approval budgets nothing.
Review total repayment, frequency, duration, fees, guarantees, and collateral with the same attention given to the old stack. A smaller periodic amount can reflect a longer obligation or additional security, and counsel can assess legal changes the cash comparison does not capture. Most consolidation pitches describe the old advances with precision. The new obligation receives less attention.
Refinancing Through an SBA Backed Loan
The SBA 7(a) loan program provides guarantees to participating lenders, and permitted uses can include working capital and refinancing of current business debt subject to eligibility. Lenders in these cases tend to sharpen their pencils once another term sheet appears, a tendency worth noting before accepting the first. Eligibility, debt purpose, underwriting, and current program rules decide whether any particular advance qualifies.
The federal guaranty protects the lender under its terms without erasing borrower liability or promising any particular rate.
When Combination Does Not Fit
Delancey Street offers a free confidential initial review for businesses whose advances resist consolidation. The company is a settlement company, not a law firm, and it coordinates legal matters through independently licensed counsel. Rarely does a consolidation quote survive contact with the full stack of amendments, which is why the review begins with documents, with estimates deferred until the file is complete.
Compare negotiation and refinancing on the same cash calendar, including fees and the obligations excluded from either proposal. What the lender discloses, or withholds, about charges deducted at closing changes the proceeds available for payoffs. Ask the reviewer to ensure the comparison states net disbursement with the deductions itemized, and ensure counsel examines any guarantee or lien the replacement introduces. This is the comparison that matters.
An extremely wide gap between the quoted payment and the affordable payment should end the application, not extend it. The lender approved the amount. The business must approve the payment. An outlandish promise of relief without document review deserves the same response as an extremely confident demand for immediate signature: further questions, asked in writing, before funds move.
