How MCA Payments Are Structured in Practice

The debit amount never states the full obligation. Separate the funded sum from the purchased total, test the collection method against weak months, and read the reconciliation clause before relying on it.

The debit amount never states the full obligation.

A cash advance must be read through the amount funded, the amount claimed, the method of collection and the procedure that permits the payment to change. Most owners compare the deposit with the daily withdrawal and stop their review at that point, which leaves the provisions that decide the true burden unexamined.

The Funded Sum and the Purchased Total

Before the cost of an advance can be weighed, before counsel can assess the file, the owner should separate three figures that offer materials tend to compress into one.

In LG Funding v. United Senior Properties of Olathe, a New York appellate court examined an agreement that advanced $100,990 against a purchased total of $129,267.20, collectible at 15 percent of daily revenue capped at $2,499 per week, and the opinion judged the transaction by its real character rather than its label, weighing the presence of reconciliation, the finiteness of the term and whether any recourse survived the merchant's bankruptcy, without treating a single clause as decisive under New York law.

That is the figure the illustration omitted.

Ask how the quoted factor relates to the complete obligation. A pricing shorthand does not convert into an annual rate, and it says nothing about duration. Simply retain the offer beside the executed agreement and compare the two line by line.

The deposit that reached the operating account was, if the record is read with precision, often smaller than the figure the offer emphasized. Steps the owner takes, or does not take, in the first weeks after funding decide whether that gap is documented or discovered months later in a dispute.

Record the funded sum, any withheld charges, and the purchased total as stated in the executed agreement. Keep the offer, the agreement and the bank record of the deposit in the same place. Later questions about cost or duration refer to these pages, and the caution reflects files that reached counsel rather than the market as a whole.

Collection Method and Timing

But the schedule on paper is not the schedule in the account.

The agreement may call for debits on fixed days or for a percentage of receipts remitted as sales clear. The difference decides whether a slow week reduces the payment or leaves the obligation to accumulate while the owner waits for customers who pay on their own calendar. The schedule was drafted in order to secure the funder's recovery before the merchant's remaining obligations mature.

A peculiar feature of the fixed debit is its indifference to the sales it claims to follow. The meter runs whether the door opens, and most funders grasp this mismatch before the owner does. They prefer the discovery to arrive later.

Counsel usually asks for the bank statements before the agreement, because the statements show which schedule the business lived under.

You sign the schedule and then you learn what the schedule costs.

The payment is automatic. It is also adjustable only through procedures the owner must invoke in writing.

Consider what follows a debit the account cannot cover. The bank entry, the contractual consequence, and whatever legal response the financing party elects after reviewing its own ledger are separate inquiries. The owner should assume neither that a returned item erases the balance nor that it proves misconduct. Duration projected from the debit amount alone is extremely unreliable.

Other collection methods exist, though the files that reach review tend to show the familiar ones.

Map each withdrawal against expected receipts for the same week, including every financing payment from the same account. A monthly total can hide a weekly shortfall.

Reconciliation and Adjustment Terms

A reconciliation clause is tested only when receipts fall. The response that arrives, when the owner seeks relief under its terms, shows whether the provision was a right or a courtesy.

Read what the business must submit to request an adjustment and how the financing party must respond. Often we see the clause invoked only after the account is already strained. I understand the delay.

Preserve the submission with the response and protect and preserve the correspondence around both. A request sitting in an inbox has changed nothing. The procedure is usually straightforward but the timing is often inconvenient.

Whether courts outside New York weigh reconciliation the same way is a question for counsel under the law of the forum.

Counsel should ensure the request invokes the written procedure rather than asking for a favor. A courtesy reduction the funder grants and later withdraws leaves a different ledger than a contractual adjustment, and the ledger is everything when the balance is negotiated.

Reconstructing the Payment History

Set down funding, fees, collections, adjustments and the balance now asserted. Compare the schedule with bank statements and mark the differences that lack explanation. Any future negotiation, and any case brought against the business, will be decided from this record.

After the statements are gathered, after the provider's ledger is set beside the bank record, the comparison itself takes little time. Keep each advance separate where positions are stacked, and review and analyze the asserted balance before accepting it. The adjustment correspondence belongs in this file as well, beside the statements it explains.

Retain the date of every statement used. The statement dates, which lag the transactions by weeks in some files, should still reconcile to the bank record. Precision here is extremely useful and rarely achieved on the first attempt.

When the Structure No Longer Fits

Delancey Street offers a free confidential review of MCA payment concerns. The company provides debt relief services and coordinates legal questions with independently licensed counsel. It is not a law firm. Ask about eligibility, fees and the handling of stacked positions, and ensure the proposal addresses every outstanding advance rather than only the loudest collector.

Resist the urge to answer one rigid schedule with another advance. Fresh funds widen the present week while narrowing every week after it.

Every financing arrangement encodes a prediction about future receipts. The owner who reads the payment terms as that prediction, rather than as a price, understands the bargain before the receipts deliver their answer.
