How Payback Works When You Switch Processors
Stripe Capital Nonpayment

Stripe Capital loans and YouLend advances survive a change of processor, with loan minimums collected by bank debit, so owners should identify the instrument, budget for debits after migration, and review security filings before moving volume.

Leaving Stripe does not leave the financing. A merchant who moves processing to a new platform settles the operational question while the Capital balance continues under the agreement already signed, and the two matters resolve on separate tracks whether the owner acknowledges the separation or not.

Three months of Stripe history can summon a financing offer. A single afternoon can redirect every future sale to a different processor. The offer documents survive the afternoon.

The Processor Is Not the Creditor

Stripe Capital financing documentation distinguishes business purpose term loans issued by Celtic Bank or Lead Bank from merchant cash advances provided by YouLend, and the program name on the offer does not identify which structure any particular merchant accepted. Retrieve the signed agreement and locate the financing party before acting on advice about another merchant account, since counsel for the wrong instrument will misstate both the duty and the remedy.

An advance is the purchase of future receivables, not a loan or a credit transaction, with purchased amounts withheld from processing volume at the percentage stated in the YouLend agreement and no fixed payment schedule or periodic debits. A loan carries a maximum term with periodic payments, and where withholdings from processing receivables fail to meet the minimum, Stripe debits the shortfall from the linked bank account or the account balance, a mechanism that functions without regard to where the merchant now processes cards.

Minimum Payments on Loans

Loan minimums are measured on a thirty or sixty day basis under most agreements, with the sales percentage counting toward the minimum and any remaining amount due at the end of the period, collectible by automatic debit with additional manual payments available through the dashboard at any time. Stripe invites borrowers who cannot meet a minimum to contact support in order to return to compliance, while reserving further action under the agreement where minimums continue to go unmet.

Fixed payment loans operate on a stricter variant of the same logic. Withholding stops once the fixed amount is met for the period, and any gap at period end is debited without further notice under the agreement terms. Consider a sixty day period with a two thousand minimum and fifteen hundred collected through the rate. On the final day the remaining five hundred leaves the bank account by debit, and the next period begins with its own two thousand regardless of what the migration project promised.

The sales moved. The minimum stayed.

A processor migration planned around cash flow should therefore budget for debits that no longer correspond to visible withholdings, because the bank account does not know the sales went elsewhere. The forecast that omits this line is extremely optimistic and extremely common, in our experience though the sample is not scientific.

Security Interests and Filed Statements

Stripe Capital loan agreements include security interests taken as collateral, and a UCC1 financing statement may be filed depending on factors that include the size of the loan and the circumstances of the business. After full payment the borrower may request termination of the filing. For advances, a security interest may be taken under circumstances the advance agreement specifies.

Creditors sometimes file through a third party agent, and Stripe identifies Wolters Kluwer as its representative for this purpose (a detail worth confirming through the agent itself, since an unfamiliar secured party name on a search report causes unnecessary alarm when the underlying creditor is one the owner already knows). Performance or payment history may also be reported to the Small Business Financial Exchange, which builds a profile other providers consult, so the consequences of a missed minimum can travel beyond the Stripe relationship into future underwriting.

Eligibility and Future Offers

Minimum eligibility requires three months of Stripe processing, yearly volume of five thousand with a one thousand average across the last three months, good standing and a domestic business with a domestic representative address. Meeting these gates does not guarantee an offer, and a banner suggesting a future offer is on track guarantees nothing at all.

New offers may still arrive while an existing balance is being repaid. I drafted a response to one such overlapping offer on a wet Tuesday in March, which may account for my view that a second advance during a processor move deserves more suspicion than celebration.

Review With Delancey Street

Before redirecting volume, the owner should assemble the Capital agreement, the minimum schedule, the bank records showing prior debits and the cost of the new processing setup. Delancey Street offers a free confidential initial review of business debt concerns and can assess whether the Stripe obligation fits its settlement practice.

The company acts as a settlement company rather than a law firm, coordinating legal work with independent counsel. The confession of judgment, which defenders of platform finance will insist is freely negotiated, appears in some instruments in this market and its presence or absence changes the posture of every later negotiation, so counsel should ensure the review identifies the actual enforcement terms. The steps the owner takes, or does not take, before the switch will determine whether the migration reads as a business decision or as evasion, and the documents should be reviewed and analyzed together, not in isolation.

Against a creditor with direct access to the bank account, a change of processor is a change of scenery. Simply confirm what is owed, arrange how it will be paid, and then move the sales. The bank records will reflect the order of operations.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
