Lockbox and Split Funding Holds on Card Revenue
the Control Agreement Behind Them and the Consents Needed to Release It
Changing where customers pay does not restore the right to spend the money. Control agreements, assignment notices, and the funding contract divide a single receipt, and only documented consents change the route.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
Changing where customers pay does not restore the right to spend the money. The funding contract, the processor arrangement, and the bank instruction with its own paperwork can divide a single receipt before the owner sees a balance. A business that treats the shortfall as a routing error chases a correction without a document to support the request.
Map the Receipt Route on Paper
The money left the customer before the dispute produced a theory about its destination. A single sale passes through the processor, suffers the agreed deduction, and arrives as a net deposit that the bank statement reports without explanation. The processor report may show the gross receipt with deductions that appear nowhere else, which means the bank statement alone cannot prove what the arrangement withheld.
Retain several settlement reports beside the statements for the same period. Preserve and protect the processor files with the bank files, since each record explains what the other omits. Compare the funding agreement with the processor terms and the deposit account terms. A collection authorization in one document can operate beside obligations in another, and the person selling a replacement processor has examined neither agreement, in our experience, though the sample is not scientific.
The first product of this work is a record of the parties and the instructions each follows. That record separates money withheld under an existing arrangement from a payment delayed for another reason, and it puts the consent question before any new instruction.
Control Agreements and the Bank Instruction
In the New York enactment of UCC section 9-104 on control of a deposit account, the starting language for counsel describes control through a signed record among the debtor, the secured party, and the bank, under which the bank follows the secured party instruction without further consent by the debtor. The same section preserves the debtor right to direct disposition beside that control, so morning access proves nothing about the instruction. Counsel can map the instructions, test the asserted default, and build a reply that covers the contract and the cash behind it.
The bank owes only the duties stated in the record in express terms, which means a telephone objection from the owner, however forceful, cannot compel the institution to disregard an instruction the signed agreement requires it to follow, and counsel must read the conditions in the agreement before advising the owner that a restriction described over the telephone has no effect under the paper.
The account stayed open. The money followed the paper the way water follows a pipe laid years earlier, without interest in the current owner.
Most owners learn about the control agreement after the restriction takes effect. I understand why. The funding documents were signed in a hurry and the bank paperwork drew less attention.
Why a New Processor Can Trigger Default
Missed or diverted payments can constitute default under the captured MCA terms, a point defenders of the industry will describe as the product of free negotiation, which changes nothing about the acceleration that follows. The Richmond record treated missed payments as default and enforced encumbrance terms with provisions against further pledges, drafted in order to keep every receipt inside the collection net. An order from the New York Commercial Division, a few years back now, shows the short distance involved. The economics behind that response are straightforward enough, and the consequences for the operating account are extremely immediate.
Stopping one debit can leave the control structure intact.
The FTC account of the January 2022 settlement that barred RAM Capital Funding and its owner from the MCA and collection industries described allegations of unauthorized withdrawals and debits larger than promised. The mirror risk runs the other way when the merchant redirects receipts without consent. There is a peculiar confidence in advice that begins with changing processors. This told counsel more than the balance did.
The owner stopped the debit. The obligation continued.
I have yet to see a redirected deposit end a dispute, though owners keep attempting it. What the owner signs, or declines to sign, in the week after the demand decides more than the demand itself. Resist the urge to open a new account and call the problem solved. Simply state which instruction must change, and ask the bank what paper it needs to change it. Bring the processor file to counsel. The collector will read it and use what it finds against the business.
The Consents a Release Requires
Through the contract amendment mechanics, with a new signed record and the consent of the secured party, a lasting change travels. Assignment notices must identify the rights assigned, with proof supplied on request. Ensure the file closes with written releases for each lien and judgment.
Whether a court would imply a revocation right the documents omit is a question worth carrying into the conference room.
The cited enactments are New York texts at stated revisions, and under the enrolled text of Texas HB 700, covered automatic debits require a perfected interest with first priority while the chapter creates no private action. Rarely does an online statute decide what the signed paper already settled. Whether that examination favors the owner is a question counsel must answer from the file, not from a summary.
A Settlement Conversation With Delancey Street
The settlement must address the collection route rather than the balance alone. Delancey Street is a settlement company, not a law firm, and it can assess a negotiated resolution of the MCA balance against payment capacity and the collection posture. Independent counsel handles control rights, disputed instructions, and the question of who may authorize the next change. No statement about the account, even casually, should precede advice on the control file.
Bring a cash forecast showing gross receipts beside the amount available after collection. A first discussion costs nothing and assumes nothing; it begins the financial assessment while counsel reviews and analyzes what the documents require. Ensure the written resolution names the old collection mechanism and states when replacement instructions take effect, a question that becomes extremely expensive when answered after the money moves. Revenue becomes useful when the business holds both the money and a defensible basis for spending it.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
