The keys change hands faster than the liens do.

An inherited business can arrive with receivables already subject to someone else asserted rights. The inheritance does not establish that the assets are unencumbered, and it does not require the recipient to sign a replacement guaranty. New York filing rules below illustrate the search, and New Jersey offices and succession law require their own inquiries through counsel.

What the Inheritance Actually Transfers

An ownership interest in a company is different from a transfer of selected assets. Determine what the estate documents and business records contemplate in substance before treating the inheritance as equipment and customer relationships.

Identify the entity that owns the receivables, the bank accounts, and the other property needed to operate. A familiar trade name may not be the legal name appearing in those records.

Counsel should assess the transfer structure and any successor liability question (renaming the operation, which advisers sometimes present as a fresh start, creates no clean break the filings will honor). Those outcomes cannot be established by changing a sign or opening another account.

Do not choose a new entity merely because it appears to offer cleaner books.

First Check: Match Every Filing to Its Agreement

The New York Department of State filing office maintains Article 9 financing statements and amendments. It describes a financing statement as notice that a creditor has or may have an interest in personal property of the debtor.

That wording matters. A filing signals an issue requiring investigation. It does not by itself establish the balance, the validity, or the complete scope of the underlying obligation. The filing supplies notice, and the agreement alone supplies proof.

Pull the filing records and match them to the agreements. Record the debtor name, the filing number, and the secured party. Amendments may reflect assignments, continuations, or other changes that affect whom the successor should consult and contact, a clerical task that decides more than most negotiations do.

A filed financing statement remains effective with respect to collateral that is sold or otherwise disposed of where the security interest continues (the uniform text of UCC section 9-507, which counsel should confirm in current New York enactment language, preserves effectiveness even where the secured party knew of the disposition, a result that surprises most recipients). Get any free and clear authorization in writing, and do not assume a bill of sale extinguishes the lien.

New York UCC section 9-315 addresses continuation of security interests after disposition and rights in identifiable proceeds, subject to its rules and exceptions. A transfer should not be assumed to remove an existing interest merely because the recipient never signed the original agreement.

An outlandish creditor name on the search report deserves investigation before acceptance or denial (the distinction is routine in our files, though no dataset quantifies it). This does not mean every MCA holds a valid perfected lien. Keep the search results with the agreements they concern.

A list of filing numbers without the agreements leaves the central questions unanswered.

Second Check: Establish What Clears the Filing

Where payoff or settlement is proposed, identify the required release and the financing statement action. The New York termination statute imposes duties when its conditions are satisfied, including provisions governing nonconsumer transactions.

The agreement should explain who will provide or file the termination statement and when. A release of specified assets and termination of an entire financing statement are not necessarily the same event. Confirmation belongs in the closing records. Whether the asserted interest reaches the assets the inherited operation needs is a question the documents answer file by file.

There are exceptions to the demand procedure, though in practice they tend to confirm the rule that payoff alone authorizes nothing.

A successor should not file a termination merely because the inheritance occurred or the family believes the obligation was paid. Filing authority is a separate legal question, so counsel can ensure the filing rests on proper authority before anything is filed.

Third Check: Refuse Any New Personal Obligation Before Counsel Reads It

Receiving an interest is not signing a guaranty. A successor should distinguish the two acts with care, since the latter can create a separate obligation that never existed merely because of the inheritance.

Three weeks after the funeral, a funder representative may present an assumption agreement as a routine update. Nothing about that presentation is routine. The assumption agreement is drafted in order to bind a new individual before counsel examines the old obligation. Ask counsel to review any proposed guaranty, acknowledgment, or assumption agreement before execution. Any signature obtained in a ten minute meeting, even casually, can outlast the meeting by years.

Identify the capacity in which the successor is asked to sign and the terms and conditions it imposes. The creditor willingness to continue an arrangement may involve negotiation. It does not make every requested signature administrative, and any dispute about the signature will run against the person who signed. I am less certain about assumption clauses than the preceding paragraphs might suggest.

The keys were the easy part of this transfer.

A Review Priced Against the Operation

Delancey Street offers an initial discussion of MCA settlement possibilities through its business debt settlement service. Its commercial role is distinct from succession advice and legal representation through independently licensed counsel. Confirm scope and fees before engagement. Simply assemble the agreements, the search results, and every letter the funder sent since the death before the first conversation.

An authorized representative can bring those papers to that discussion. Compare expected receipts with operating expenses and the payments proposed for the MCA obligations, so counsel can ensure the arrangement fits the operation the successor intends to continue, even where the succession feels extremely tangled and the cash position feels extremely thin.

Control arrives when the obligations attached to the business are identified, priced, and assigned to a payer. Everything before that is possession.
