A confession of judgment signed before any suit was filed is void in Florida, and any out of state judgment that arrives afterward must earn its standing through the domestication statutes.

Powers to Confess Are Void

All powers of attorney for confessing or suffering judgment to pass by default or otherwise, and all general releases of error, made before action brought by any person whatsoever within or without the state, are absolutely null and void. The text of section 55.05 draws no distinction between consumer and commercial paper at this threshold, and the adverb absolutely does the work the Legislature intended, leaving a pre suit confession clause with no force a court could recognize.

The voidness rule is, if we are being exact, a rule about timing rather than about wording.

The clause is void. The collection continues.

A New York confession that a funder seeks to enforce against Florida property or accounts therefore arrives as a foreign judgment candidate rather than as a domestic confession, and the analysis moves to the enforcement of foreign judgments act rather than remaining with the law of confessions, an oblique route the Legislature left open for paper it would not originate.

Recording the Foreign Judgment

As used in the act, foreign judgment means a judgment, decree, or order of a court of any other state, territory, or commonwealth of the United States, or of the United States itself, where the judgment is entitled to full faith and credit in Florida, and the act neither impairs the alternative of suing upon the judgment nor alters the limitation period for enforcement. A certified copy of such a judgment may be recorded in the office of the clerk of the circuit court of any county, with the clerk filing, recording, and indexing it in the same manner as a judgment of a circuit or county court of the state.

Once recorded, the judgment carries the same effect as a Florida judgment and stands subject to the same rules of civil procedure, the same legal and equitable defenses, and the same proceedings for reopening, vacating, or staying judgments, and it may be enforced, released, or satisfied on identical terms. So exact is the parity the recording statute creates that every defense survives the recording stamp, a parity the recording statute states without qualification. Before the ledgers were reconciled, before counsel for the lending party had tested the rendering court jurisdiction, the owner who treated the New York paper as a distant problem had already given the Florida file its shape.

Recording domesticates the paper, while validation of the underlying confession remains a separate inquiry.

Affidavit, Notice, and the Thirty Day Bar

At recording, the creditor records an affidavit giving the name, social security number where known, and last known post office address of the debtor and of the creditor. The clerk mails notice by registered mail with return receipt requested and notes the mailing in the docket.

No execution or other enforcement process issues until thirty days after the clerk mailing, together with payment of a service charge of up to $42, from which the clerk remits $4.50 to general revenue. The bar is short and the sums are small, and both facts reward the debtor who uses the interval instead of spending it.

The creditor may also mail notice and record proof of mailing, which cures a clerk failure to mail. The paperwork matters more than it looks.

Lien Timing and the Contest Stay

A recorded foreign judgment operates as no lien until thirty days after the clerk mailing, and the filing of a contest action stays both enforcement and lien. Where the debtor, within thirty days after recording, files an action contesting the jurisdiction of the rendering court or the validity of the judgment and records a lis pendens directed toward the judgment, the court shall stay enforcement and the lien upon filing.

The automatic stay is not the only door. A showing of any ground upon which enforcement of a Florida judgment would be stayed earns a stay for an appropriate period upon like security, so the statute gives the diligent debtor two doors rather than one, though the first door closes quickly and the second demands funds to secure it, a pairing the stay provisions state in sequence. Whether service defects in the underlying New York action qualify under either door is a question for counsel in the receiving county, and this article leaves it there.

A lien that has not yet attached cannot be executed upon, and time the statute gives should be spent rather than watched.

Funders who describe domestication as a formality misunderstand the thirty days completely. The interval exists in order to let objections reach a judge before accounts are restrained, and the notice the clerk sends by registered mail tells the recipient, in substance, that objection remains possible.

Steps the owner takes, or does not take, in those thirty days will shape the case against the signer. Resist the urge to call the creditor to explain, even casually, before counsel has tested jurisdiction and validity. Simply bring the recorded judgment, the affidavit, and the clerk notice to the first meeting.

Delancey Street offers a free confidential initial review of business debt concerns, and a merchant facing a domesticated judgment can ask whether the account qualifies for settlement assistance. The company operates as a settlement company and refers legal questions to independent counsel, as it is not a law firm. We review and analyze the domestication papers, identify the defects in the chain from confession to recording, and construct a response that addresses both the validity challenge and the practical pressure of enforcement, and the objective is to ensure no lien attaches unopposed before counsel has tested the rendering court jurisdiction and the thirty day clock, while counsel ensures any contest action is filed and recorded within its window.

Florida voids the pre suit confession and gates the foreign judgment behind notice, patience, and proof. The order of those operations is extremely deliberate, and extremely favorable to the debtor who moves inside it, since the law rewards examination over acquiescence at every step.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
