New York MCA Laws and Borrower Rights in Practice

New York MCA rights turn on contract substance, confession procedure, and whether enforcement relief covers the exact account, so a borrower should match the entity, preserve reconciliation records, and resolve the actual obligation with counsel.

The label on the agreement decides less than the payment obligation inside it. In LG Funding v United Senior Properties, the Second Department looked past the purchase language and examined whether repayment was absolute. Reconciliation practice, a finite term, and recourse in bankruptcy supplied the test.

The Second Department opinion on absolute repayment preserved the asserted criminal usury defenses and denied summary judgment because factual issues remained. It dismissed the criminal usury counterclaim, a result that separates a defense to collection from an affirmative ground of recovery. Citation to the decision, without the agreement and the payment history beside it, proves nothing about another advance.

New York authority governs New York transactions; counsel in another forum decides what travels. The file arrives after the date that mattered in most cases. That timing is ordinary. Counsel needs the executed agreement and the ledger of withdrawals before characterizing the transaction.

The Yellowstone Settlement and Its Limits

The Attorney General announced a settlement with Yellowstone Capital in January 2025 after an action alleging loans disguised as advances, and the headline figure traveled further than the order itself. Relief reaches covered Yellowstone obligations and named subsidiaries. It does not reach every advance from every funder, a distinction the official materials state and the marketing summaries omit.

The official Yellowstone settlement implementation page reports payments mailed to qualifying claimants in April 2026, after a claim deadline of January 9, 2026 that closed to new filings (a deadline marketers continue to reproduce as if it were still open). An owner reading an old invitation to file should measure it against the current page.

A peculiar risk of enforcement headlines is that they make the provider name appear incidental. Here the legal entity is everything. Delta Bridge and Cloudfund accounts sit outside the Yellowstone relief, and the broader case moved through the spring of 2026 without producing the final word anyone quotes. Whether similar facts support relief against a different funder is a question counsel must answer from that file.

A denial of a motion to dismiss in March 2026 changed nothing about who qualifies for cancellation (the ruling decides that claims survive pleading, nothing more, a distinction lost in most retellings of the docket). The covered class is extremely narrow beside the market the headlines describe.

Simply match the entity on the contract to the entities the order names. Nothing else in the file substitutes for that comparison.

Confession of Judgment Requirements

CPLR 3218 conditions entry on a sworn affidavit that states the sum authorized and the facts of the obligation. Filing belongs in the county where the defendant resided when the affidavit was executed or filed. For an entity, any county with a place of business satisfies the rule.

Resist the urge to describe the statute as a prohibition on every confession. A lending party deprived of that route may still proceed in court in order to obtain what the affidavit procedure no longer supplies. A defect in the confession leaves the ordinary claim where it stood.

You obtain the judgment and the affidavit first, and then you argue about what they permit. The collector description of the entry is not the entry.

Reconciliation Records and Regulatory Complaints

Before any argument about characterization, counsel assembles the provision, the revenue records, the request, and whatever response the funder supplied. The chronology should show what information reached the creditor and when, because an unanswered request and an accepted modification are different documents.

We ensure the file distinguishes the two before counsel evaluates absolute repayment (our experience on this point is suggestive rather than statistical). Three requests across two months, each acknowledged and none answered, present a different posture than silence on both sides.

The ledger tells the story the label obscures. Protect and preserve the accepted terms and the closing evidence alongside it.

I reviewed such a file on a Friday afternoon, which may account for my view of reconciliation clauses. It is extremely useful to keep each requested result distinct in the working file.

Any discussion of the balance with the collector, even briefly, can narrow the positions available to counsel. Rarely does a complaint to the regulator substitute for representation in the proceeding.

The Attorney General accepts complaints. Acceptance of a complaint is not representation of the merchant. A complaint should not be assumed to pause an unrelated proceeding. Forward notices to counsel and preserve the response dates. Demands against the business continue while complaints pend.

Resolution for the Actual Obligation

Resolution begins with counsel review and analysis of the executed agreement, identification of the defenses the record supports, and construction of a negotiating position that reflects both the legal posture and the cash position of the business.

Delancey Street offers a free confidential initial review for MCA debt concerns. The company supplies debt settlement services and arranges legal questions for independently licensed counsel; it is not a law firm. Counsel should ensure any proposal names the accounts, the parties, and the relief sought.

Rights under New York law become usable when attached to the correct entity, procedure, and document. What a borrower pursues, or leaves unpursued, in the weeks after learning the facts decides more than the headline that first brought the statute to attention.
