Resolution, Restructuring, Subchapter V, Article 9, and Assignment for the Benefit of Creditors
4 Exits Compared
Private resolution, Subchapter V, Article 9 disposition, and assignment for the benefit of creditors exact different prices for the same departure, and the measure of each path is what survives it.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The exit is chosen before it is negotiated, and owners who leave comparison of the paths until after the cash is gone discover that each door exacts a different price for the same departure.
Private resolution keeps the keys in the owner’s pocket. Reorganization keeps the business alive under court supervision. An Article 9 disposition sells the collateral to satisfy the lien. An assignment for the benefit of creditors hands the assets to a state officer who liquidates for the creditors as a group, and the measure of each path is what survives it.
Private Resolution and Restructuring
Control is the asset a workout protects, and every concession inside a negotiation purchases a measure of it. The owner trades money, time, or collateral position to keep the doors open without a judge setting the schedule.
Delancey Street debt relief services operate in this space as a settlement company rather than a law firm, opening with a confidential review of the balances and the paper behind them, while independent counsel handles the legal work the review uncovers.
Consider a hypothetical machine shop with two advance balances and a blanket lien across its receivables. The owner offers a reduced lump payment for a written release and a termination of the filing, then learns the release left the filing on the record. That is the entire negotiation in most workouts, and the payment matters less than the documents that follow it.
The tax code, if we are being precise, treats the forgiven portion as a separate event from the settlement itself. IRS guidance on canceled debt explains that a canceled balance can count as taxable income, with bankruptcy and insolvency exclusions available under stated requirements, so entity structure and solvency shape the true cost of any discount (the sample here is not scientific, though the pattern holds).
Most funders understand the lien they filed better than the merchant ever will. Owners sign forbearance terms they have not read, and fatigue explains most of it.
A payoff without a filed termination leaves the owner explaining a dead lien to the next lender. The statute gives the secured party a duty to send or file the termination within twenty days after a signed demand when the stated conditions are met, which makes the demand letter as important as the wire itself.
Subchapter V Reorganization
Federal court guidance on Chapter 11 describes a reorganization process that permits a business to continue while it restructures, and the filing itself triggers an automatic stay with stated exceptions. Daily debits that collect a prepetition claim fall inside that stay, subject to relief for cause and to adequate protection.
Subchapter V shortens the case for qualifying small businesses through accelerated deadlines and faster confirmation, with no automatic creditors committee absent cause. The statute reserves plan filing to the debtor, and no separate disclosure statement is required unless the court orders one for cause. A trustee guides the plan in every such case, while the owner remains in possession.
Confirmation without creditor acceptance is available where the plan is nondiscriminatory and fair and equitable, which requires committing projected disposable income or equivalent value across three to five years. Eligibility carries a combined debt ceiling that adjusts over time, so counsel must confirm the current figure before any filing decision. Whether a given advance survives characterization as a purchase is a question the papers decide, not this article.
No exit removes the debt without paying it, forgiving it through a court order, or outliving its enforcement.
Characterization decides how each advance is treated inside the plan, because courts test whether repayment was absolute through reconciliation rights, finite term, and bankruptcy recourse rather than accepting the funder’s label. The owner who enters reorganization expecting every advance to join trade debt in a single class has read the petition caption but not the schedules.
Article 9 Disposition
Six months after a default, the argument concerns the collateral rather than the promises that encumbered it. The statute permits the secured party to sell, lease, license, or otherwise dispose of the collateral after default, and every aspect of that disposition, including method, manner, time, place, and remaining terms, must be commercially reasonable.
New York law on disposition of collateral after default allows public or private proceedings, in parcels or as a unit, on any terms that satisfy the reasonableness standard. The secured party itself may purchase at a public disposition, while a private purchase by the secured party is confined to recognized market collateral. A coordinated private sale of an operating business back to its owner sits outside that safe harbor.
Before any sale, the disposing party must send reasonable authenticated notification to the debtor, any secondary obligor, and other recorded claimants in nonconsumer transactions. The owner who first learns of the sale from the buyer at the door has a notice question worth raising with counsel.
New York law on application of sale proceeds directs cash through expenses of retaking and disposition, then the secured obligation, then subordinate liens on authenticated demand, with any surplus paid to the debtor. The deficiency survives the sale and remains the obligor’s liability, and a related party purchase at a price significantly below the complying range gets its surplus or deficiency recalculated on the complying price.
A transferee that acts in good faith takes free of the enforcing lien even where the secured party failed to comply, while one that does not takes subject to the debtor’s rights. An owner orchestrated buyer therefore carries the burden of the good faith question, and the signed guaranty stands apart from the collateral sale as a separate instrument under separate analysis. The official comments might refine these duties further, though no copy was at hand when this was written.
Assignment for the Benefit of Creditors
The assignment transfers the business assets to an assignee who liquidates and distributes to creditors under state court supervision, a wind down with a referee rather than a reorganization with a future. The mechanism supplies no bankruptcy style automatic stay, and no discharge order issues at the end of it, so personal guaranties survive until counsel resolves each on its own terms and the owner still answers for the signed promise after the estate closes.
Procedure, deadlines, operating authority, and fees are creatures of the filing state’s statute, and one state’s bar date proves nothing about another’s. Counsel there must confirm every deadline before execution, because the assignee’s sale will not wait for an owner who assumed otherwise.
Each door above opens onto a different remainder. Choosing with the remainder in view costs one payment, while choosing by speed alone costs two, and the second payment comes with no door at all.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
