Scammed by an MCA Broker? Actions to Take to Protect Your Business

A complaint about an MCA broker turns on the file the owner preserves. Offers, funding records, compensation facts, deadlines, and a consistent chronology decide what counsel can establish.

Suspicion about a broker arrives without proof attached. It takes the shape of a monthly debit that matches nothing in the offer, or a fee absent from every signed page.

What the owner preserves in the first days, or neglects to preserve, decides what counsel can establish in the months that follow.

Preservation of the Offer and Funding Record

Before the representative is confronted, before any message is deleted from embarrassment over how the transaction was sold, the complete correspondence should be retained in original form.

Written offers, fee explanations, signed authorizations, and the agreement presented for execution belong in one file, together with every message that addresses funds, charges, or timing.

Screenshots can display an exchange. They may omit dates, attachments, or the surrounding conversation that gives the message meaning.

Compare the file against the amount that reached the business account. As illustration only, three deposits reduced by three different deductions tell a clearer story than any later summary. An unexplained difference between offer and deposit can be extremely important, although its cause requires separate proof.

The file should also identify who made each representation and for which business. A broker, a funder, and a collection representative perform different roles even when their messages concern the same advance. That is where most complaints succeed or fail.

A precise complaint carries force without inflation. The smaller discrepancy can prove more useful than the larger accusation, though counsel alone can judge its usefulness after seeing the exchange.

Simply retain originals where possible and mark recollection as recollection.

Compensation and Authority of the Intermediary

A commission paid on placement creates an incentive to close the transaction. It does not by itself establish misconduct, and authority to bind the funding party to promises made in order to close the placement is a separate question the documents must answer.

Most intermediaries understand their compensation to the dollar. They prefer the owner never ask about it.

The owner should ask how the intermediary was paid and whether that payment was deducted from proceeds. The answer belongs beside the disbursement statement, where it can be tested against the statute.

Under the enrolled text of Texas House Bill 700, effective September 1, 2025, covered sales based financing offers under one million dollars require disclosures, including broker compensation information. Counsel must assess coverage and timing for the particular transaction, since the statute creates no identical duties nationwide.

For recommendations presented as endorsements, FTC guidance on material connections supplies a separate framework. A marketing relationship can affect the weight of a recommendation without proving every statement false.

The intermediary, whose defenders will describe every fee as standard practice, still must answer for the specific representation on which the owner relied.

Distinguish a disclosed payment from an unexplained deduction before alleging concealment. The distinction matters because the file must carry it.

A Costly Agreement and a Misrepresented One

Federal enforcement supplies the clearest illustration of the difference. The January 2022 FTC action against RAM Capital Funding ended in permanent industry bans, a required payment of 675,000 dollars, and orders to vacate judgments and release liens, after allegations of deceptive seizures from small businesses.

That history supports examination of misconduct without suggesting that every expensive advance is fraudulent.

Describe the particular statement believed false. It might concern an outlandish promise about funds available, a charge, the payment arrangement, or a claimed relationship with the funding company.

Resist the urge to label every unwelcome term a concealed one.

I am less certain that every missing disclosure proves intent, though the absence invites the question. What was disclosed, what was represented, and what the record establishes are three inquiries with different answers.

Memory of the sales call grows more confident with time. The file was written on the date it occurred and has not changed since.

Obtain any missing explanation in writing and retain the response with the original material.

Banking Deadlines and Court Deadlines

An authorized debit does not become unauthorized because the financing proves unaffordable. The bank will apply the process that governs the account as classified, and the owner should obtain that process in writing at once.

Court papers impose a separate duty with a separate clock. A complaint to a regulator does not alter the response date. Mention of the complaint in correspondence, even briefly, changes nothing on the docket.

The Complaint File and Its Chronology

Prepare a chronology that references originals and identifies recollections as recollections. Attach supporting documents in the order events occurred.

Keep messages that show the owner understanding at the time alongside those supporting the concern. Counsel must evaluate the full exchange, including disclosures the broker may invoke.

Review and analyze the chronology for accuracy before sending it anywhere.

When descriptions differ across recipients, confusion follows that later corrections cannot repair.

Delancey Street, a settlement company and not a law firm, offers a free confidential initial review where MCA obligations require a commercial response. Ask the reviewer to ensure earlier offers appear beside the executed agreement, while independently licensed counsel examines any claim against either party. Confirm eligibility for the account through the Delancey Street initial review.

The useful submission is accurate and consistent across every recipient. That consistency can be extremely important when filings are compared.

The Obligation That Remains While Conduct Is Examined

A disputed sales process leaves the account in place. The business needs an assessment of current obligations, available funds, and the next procedural step.

Whether the broker intended deception or repeated assurances never verified is a question the file may never answer with certainty.

But the commercial response cannot wait for that answer.

Some owners hesitate to describe how the offer was accepted. The full exchange serves them better than a flattering account.

Any communication with the funder about the dispute, even casually, can alter the posture of later discussion. A consultation with Delancey Street can establish whether negotiation fits the present situation. No review can ensure a workable result if a material obligation remains outside the calculation.

The durable response preserves both questions: what occurred during the sale and what the business must now do about the resulting obligation. The file that answers both is the file that protects the business.
