  4. Counsel Before the Missed Debit
  5. The Settlement Review Before Default

The cheapest telephone call in an MCA file is the one placed before the missed payment, and the dearest is the one placed after the judgment.

The owner who senses the coming shortfall needs sequence before courage, with independent counsel engaged before the first debit fails rather than after the first papers arrive. No verified ranking identifies which companies deserve that call, so this framework names the five inquiries the call must cover, in the order the file will demand them.

The Reconciliation Request Comes First

Before the balance is disputed, before counsel has measured the exposure, the contract language controls. Some agreements are, if we are being precise, purchases of future receipts rather than loans, though the debit schedule reads like one. Some condition the fixed debit on revenue and provide a procedure for adjustment, though the procedure reads differently in every file we have opened.

When asking whether repayment was absolute, New York appellate judges weighed reconciliation alongside finite term and bankruptcy recourse. The New York appellate analysis of MCA repayment terms governs where New York law applies, and counsel confirms whether another forum reads the clause the same way.

Simply send the reconciliation request in writing before the account runs short.

The Confession and Judgment Check

New Jersey prohibits business financing contracts that contain a judgment by confession for concerns in the state, and noncompliant confession terms are invalid and unenforceable against the concern. The New Jersey statute barring confession clauses in business financing reaches loans, lines of credit, advances, factoring, and asset based transactions made for a business purpose, which covers the instruments most MCA files are written on.

Where New York procedure governs instead, entry requires a signed sworn affidavit stating the authorized judgment and the facts of the debt, with residency and county restrictions on where the paper may be filed. The New York statute on confession of judgment procedure sets those gates, and counsel checks dates, residence, and affidavit validity before conceding anything (whether this holds for a sister state judgment domesticated into New Jersey is a question counsel must answer from the docket, not from this page).

The confessing attorney (who, it should be noted, files papers the owner never sees until the bank account answers for them) moves without notice in forums that permit it. The papers are filed in order to fix the claim before negotiation can discount it. The review should therefore identify every confession and guaranty before the first debit fails, since the paper signed long before distress decides the pace of everything after it, when counsel inventories the warrants, when each affidavit is tested against the statute as written, when the owner learns which forum will hear the challenge, while the debits continue through the entire inquiry.

Six months after the contract was signed, the owner discovers what the signature authorized. That order is backwards. Rarely does a signature receive its reading before the shortfall, and the case against the guarantor proceeds on paper signed long before the distress began.

We do wish to negotiate from strength, though the signed confession sets the floor beneath every discussion.

Cash, Creditors, and the Shared Account

Business debt relief may address vendor balances, unsecured loans, cards, and some advances through settlement, restructuring, consolidation, or negotiated terms, with the path set by debt type, agreement terms, and cash flow. The CuraDebt account of business debt options states that order, and the forecast must respect it.

What the owner spends, or refuses to spend, in the final weeks before the shortfall decides the negotiation fund. And the fund is smaller than the statements suggest, because each payment to one creditor leaves a smaller reserve for the others. No concession survives contact with a creditor outside the plan, and the shortfall the owner felt for months arrives in the statements all at once.

Fee timing grows extremely delicate where daily debits continue during review. The reviewer should collect and compare the statements across funders before approaching any of them.

Counsel Before the Missed Debit

In January 2022, federal enforcers barred MCA defendants from the industry after charges that included deceptive seizures from small businesses. The federal account of the RAM Capital Funding enforcement action explains why a licensed attorney must stand beside the commercial negotiation.

Opposing counsel in these cases tends to open the first conference with the confession rather than the contract. In most of the files we have seen, though the sample is not scientific, the owners who engaged counsel before default kept options the later files had lost, and the exposure grows extremely personal where the guaranty reaches beyond the company. There is a particular quiet in a conference room when the bank statements arrive before the demand letter, and it favors the side that scheduled the meeting.

Resist the urge to stop payment on your own, even briefly, before counsel weighs the default consequences. The objective is to ensure counsel sees every agreement before any debit is refused.

The Settlement Review Before Default

A settlement company resolves commercial debt through negotiation, and a law firm defends proceedings through counsel, and the distressed file usually needs both before the end. Delancey Street offers a free confidential initial review for MCA distress. Its site account of the settlement work describes a settlement company rather than a law firm, so proceedings travel to independent counsel under a separate engagement.

We review and analyze the agreements, protect and preserve the defenses, and the consultation asks for nothing but the statements. The reviewer needs every agreement, every statement, and an honest answer about revenue the owner has stopped checking.

You call before the missed payment and then you negotiate from paper rather than panic. The objective is to ensure the file is read before it is argued, since the call placed early costs nothing and the call placed late costs the advantage.

Consultation is where this sequencing begins, with a first conversation that costs nothing. Early files reward the reviewer that reads everything, and the file read early is the file that keeps its options.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
