  1. 1. The Three Papers Owners Confuse
  2. 2. Confessions and the Counties That Accept Them
  3. 3. What the Firm Must Show Before It Is Hired
  4. 4. The Account After the Freeze

Three different papers can each freeze the same account, and the owner who cannot tell them apart hires blind.

The filing claims an interest. The judgment declares a debt. The court order directs the bank. Each paper answers a different question, each arrives through a different procedure, and the firm worth retaining is the firm that identifies which paper moved before proposing what to do about it.

1. The Three Papers Owners Confuse

The financing statement gives notice of a claimed interest in collateral and proves, by itself, neither the balance nor the enforceability of the underlying agreement, a limit the New York statute on interests that survive disposition preserves by describing continuity of a claimed interest rather than proof of it (our files cluster in New York courts).

The filing claims. The order commands. Between those two verbs sits the entire selection problem: the filing sits atop the search results like a name misspelled in a headline, while the order that moved the money may be a page the owner has never seen.

Out of state filings complicate the picture, though the complications rarely help the owner. Tell the firm what the bank said before telling it what you think, and watch whether the firm sorts the papers before sorting the fees.

2. Confessions and the Counties That Accept Them

A confession of judgment follows its own track, and the affidavit behind it must state the facts of the debt under oath with limits on where the judgment may be entered, which means the funder files the confession in order to convert paper into command without argument. The New York confession procedure sets the requirements, including the county restrictions and the rule that a business resides, for this purpose, wherever it keeps a place of business.

The affidavit is everything.

Counsel examines dates, signatures, the residence of the business entity, and whether the paper was entered in the county the statute permits (entered, in the files we have seen, in the county where the business kept its storefront rather than the county named in the agreement, a variance that decides motions). Seldom does the venue clause survive contact with the statute, and venue is an extremely local question that no ranking can answer for the owner.

In the end the paper either authorizes the restraint or it does not, and everything else is commentary. The competent firm says which of those outcomes the file supports before discussing compensation.

3. What the Firm Must Show Before It Is Hired

Most firms can describe a UCC filing. Few can describe what they will do about it on a Friday afternoon. The firm was qualified. It was also wrong for this file. Both judgments fit firms the owner has already interviewed, which is why the tests below precede any engagement.

First the firm should question and test the bank letter and the agreement together, since the letter states what moved and the agreement states what was permitted. I ask owners for the bank letter first, before the agreement, because the bank writes plainly and funders do not.

Next the firm should state its view of the confession and the venue in plain terms, with the defects it sees and the forum where it would raise them. What the firm files, or fails to file, in response to defective paper reveals its posture faster than any brochure.

Delancey Street offers a free confidential initial review for MCA distress and coordinates legal matters with independently licensed counsel. It is a debt relief company, not a law firm, and the owner should ensure any restraint is challenged in the proper forum and ensure no payment is presented as settlement without counsel present. Owners hire the first firm that returns the call. The impulse is human, and the second call is usually the better hire.

Rankings enter here as a caution rather than a guide. The federal endorsement guidance on material connections requires disclosure where a relationship shapes a recommendation, and a badge purchased by the firm under review certifies visibility rather than fitness. Simply ask who paid for the list before trusting its order. We test the filing, trace the order, and tell the owner which paper commands and which paper merely claims, and a direct answer on each account is extremely useful before funds move.

4. The Account After the Freeze

By March the statements had thinned to a single page, which the owner read as progress. The restraint lifts by order or by agreement, and the aftermath decides whether the freeze was an episode or a preview.

UCC filings appear on business credit reports alongside judgments and collections, and the bureau account of business credit contents treats the filing as one entry among several. The timeline below reflects disputed files, not a study of all frozen accounts, and the mottled history of the account updates on the bureau schedule rather than the owner hopes. That is the afterlife of a commercial freeze: the money moves again while the search results remember.

Resist the urge to move the money the morning the restraint lifts without counsel present, and volunteer no facts about other accounts to the funder, even casually, since any statement becomes paper the collector will read against the business. Copy and keep every letter, ask for the termination of any surviving filing in writing, and carry the complete file into the next loan application. Credit reports remember the filing the way a sidewalk remembers gum, flat and dark and adhered long after the flavor is gone, and the owner who closes the record with the same attention as the balance keeps the freeze from becoming a condition.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
