The Yellowstone Capital Settlement
What It Means for Borrowers

A covered Yellowstone balance may already be canceled. Verification of the entity, the relief, and the public record decides what the borrower owes and what is owed no longer.

A Yellowstone balance covered by the Attorney General settlement may already be canceled. Paying a canceled balance is a donation to a closed file. Ignoring an uncovered demand invites the docket to decide in the owner absence.

The borrower task is therefore verification before action. The settlement, the implementation materials, and the business own records divide every account into one of two groups, and the group decides everything that follows.

The Parties and Obligations Covered

The Attorney General implementation page identifies Yellowstone and the named subsidiaries covered by the settlement. Often the name on the bank statement differs from the name on the agreement, and the broker trading name remembered by the owner differs from both. The legal counterparty on the executed agreement decides coverage, not the name on the advertisement that produced the loan.

Simply start with the executed agreement. Verify and confirm the counterparty against the covered parties before concluding the account qualifies. Bank statements and correspondence can help locate the record where the agreement is missing, though they should not replace it.

The agency materials distinguish Delta Bridge, also known as Cloudfund, from the settled Yellowstone companies, an extremely consequential distinction for borrowers holding paper from both enterprises. Ask counsel to ensure the entity match is exact. A similar name, or an asserted connection in older reporting, does not extend one company relief to another account.

Automatic Cancellation and the Closed Claims Process

Covered outstanding Yellowstone debt was canceled without any action by the borrower, including covered guarantee obligations and remaining balances under prior Yellowstone settlements. The settlement was entered on January 16, 2025, following the 2024 action concerning loans allegedly disguised as advances. The consent order runs to thirteen pages, and its coverage language repays close reading.

Monetary claims followed a separate process with its own deadline. Claims closed on January 9, 2026, and payments to qualifying claimants were mailed on April 3, 2026, arriving with the spring mail. The owner should distinguish the canceled balance, which required nothing, from a claim payment, which required a timely submission. The absence of a payment does not prove the absence of cancellation, and the presence of older correspondence inviting a claim should not be read as an open invitation today.

A canceled balance requires no payment plan.

Counsel should review and analyze the account together with any notices received before the business responds to a continuing demand. A collector may present a covered balance as current in order to obtain payment before counsel examines the file. No payment should issue on such a demand until the entity match and the cancellation are verified.

The settlement is entered and binding. What it means for a particular ledger still depends on papers no press release describes.

Judgments, Liens, and the Public Record

Vacatur of judgments and termination of liens carry their own procedures and limits. The final batch of judgments was vacated on December 18, 2025. Lien termination requests ran under a separate process whose deadline closed on July 8, 2025 (the request required the borrower to identify the specific lien and the county where it was filed, a task no general recollection of the settlement can perform).

Where a public entry still appears, the owner should obtain the actual docket or filing record rather than inferring its status from a general description of the relief. Whether every county clerk has processed the December vacaturs at the same pace is a question no statewide page can answer. Ask counsel to ensure any lien search postdates the vacatur batch, and retain the search alongside the agreement. An extremely old title search, pulled before December, answers none of these questions.

A historical entry takes another meaning once its later orders are laid beside it. That is the work the file requires.

Debts Outside the Settlement

Some callers will present a covered balance as current long after cancellation. They count on the owner never reading the agency page. Other balances sit outside the settlement and keep their own schedule.

Resist the urge to fold every MCA obligation into a single assumed cancellation. Advances from nonsettling parties, including Delta Bridge or Cloudfund, remain subject to their own contracts and to litigation that continued into 2026. A ruling allowing claims to proceed decides nothing about final liability, and the business should not treat it as either victory or defeat.

The remaining balances keep their own schedule.

Verification Before Payment or Silence

And the practical result, once the file is sorted, is plain. The covered Yellowstone obligation stands canceled, with the agreement, the notices, and the docket search kept together as proof. The unrelated advances remain live, with a negotiation assessment or a defense posture built from the remaining schedule. Relief already established deserves no fresh payment, and exposure still live deserves no hopeful disregard.

What the owner pays, or declines to pay, in the months after cancellation shapes the ledger for years. Counsel can confirm the entity, trace the relief, and draft a response that addresses both the demand on the desk and the history behind the account. Delancey Street offers an initial review for the obligations that remain outside the settlement; the company is not a law firm, and independently licensed counsel handles legal work and any response a proceeding requires.

A continuing collection attempt on a covered canceled debt can be reported through the agency complaint process, though the Attorney General does not serve as any borrower individual lawyer (our reading of the posted materials is necessarily incomplete; the file for the specific account governs). The January 2025 settlement announcement describes the scope of the action, while the implementation page supplies the current posture. Where no vacatur appears on the docket, the owner needs counsel, not optimism.

Most borrowers first hear of the settlement from a caller who prefers the old balance. The order of discovery is understandable.

Rarely does a press release answer the question the ledger poses. Consultation answers it from the papers, and the papers here are unusually decisive for owners willing to assemble them.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
