New York Confession of Judgment Limits
What Borrowers Outside the State Should Verify

New York confession limits turn on affidavit validity and entity residence at execution or filing, so a borrower outside the state should verify dates, locations, and the court record with counsel before assuming a judgment stands or falls.

The judgment entered against a company outside New York may rest on a procedure the current statute no longer permits in that county. CPLR 3218 conditions entry on a sworn affidavit that states the sum authorized and the facts of the obligation. Counsel begins with that document because the file, not the headline, controls the result.

The affidavit must bear proper authorization and speak to the underlying facts. Evidence used against you in enforcement begins with those sworn statements. That decides more than the balance printed on the first page of the agreement.

We ensure the owner distinguishes the text of the law from summaries written for other facts, at least where the facts permit comparison.

The Affidavit and Filing Requirements

The affidavit is the foundation of the entry, and the statute treats it as such. A confession obtained without the sworn statements the law requires leaves the judgment exposed to challenge. Whether exposure becomes relief is a question for counsel on the actual record.

Obtain the signed paper and the court record before forming any view of validity. Counsel compares the authorization and the factual statements with the statutory requirements. A review limited to the financing agreement can miss the very document on which entry depended.

Entity Residence Under the Current Statute

In 2019 the legislature narrowed the counties where a confession against a borrower outside the state may be entered. Much commentary since has treated that narrowing as a prohibition without remainder. The statute is more exacting than the commentary, and it restricts filing to the county where the defendant resided when the affidavit was executed or when it was filed.

A company headquartered in another state, if we are being precise about the corporate form rather than the commercial reality, may reside in a New York county for purposes of the statute whenever it maintained a place of business there during the relevant period, because the law provides that a nonnatural person resides in any county where it has a place of business, and that single clause, overlooked in most summaries, decides more challenges than any other sentence in the section.

The county of filing must be proved from records of the relevant dates.

Most funders understand this distinction before they file. They prefer that the borrower does not. The contract ran to fourteen pages in a matter reviewed this spring, most of them devoted to a Queens warehouse the owner had forgotten he leased, a detail that sat in the file like a stone in a shoe.

This distinction is extremely consequential where operations moved between signing and filing. Whether it controls an entity with only transient contacts is a question we cannot answer from this desk. Preserve leases, utility records, and whatever correspondence shows where the business stood at execution and at filing.

There are exceptions in the case law, though in practice they tend to confirm the limits described here. Attach a date to every address.

What a Procedural Defect Decides

A successful challenge to the confession vacates the judgment entered through that procedure. The underlying obligation can support an ordinary lawsuit by the lending party. On the record counsel assembles, though no two records present the same gaps, the distinction between procedure and substance decides the next move.

A funder deprived of the confession route may pursue the account in order to obtain through litigation what the affidavit once supplied without contest. The lending party (which, it should be noted, selected both the procedure and the county when it drafted the confession language) is slow to volunteer the defect. The practical effect is that the owner needs two plans instead of one, or at any rate needs counsel to say whether one plan covers both fronts.

Resist the urge to read a restriction on one procedure as forgiveness of the balance. We have seen no successful challenge built on a mailing address without dates. The guaranty can outlive the judgment.

Records to Preserve and Dates to Establish

Gather the judgment, the affidavit, the underlying agreement, and every collection notice received since. Note the date the business learned of each event. The chronology matters more than any single document.

Counsel should review the record, identify the defect if one exists, and construct a course that addresses both the pending enforcement and the underlying balance. Counsel should ensure the engagement covers the steps needed to obtain that conclusion (our experience on this point is suggestive rather than statistical). You obtain the judgment and the affidavit first, and then you argue about what they permit.

Ask what result the challenge seeks and how that result affects current enforcement. An objection to the procedure differs from a dispute about the amount owed. Do not assume collection has paused while papers are prepared.

Most owners call after enforcement has begun. The delay is understandable.

Any communication with the lending party, even casually, can alter the posture of the matter. Simply state that counsel will respond. It is extremely useful to fix each address to a month and year.

The current text of CPLR 3218 repays close reading, and the working file should hold each document described above.

Settlement Review Alongside a Legal Challenge

Settlement answers a question the statute cannot. Steps taken, or not taken, in the first weeks after learning of the entry shape both the legal challenge and the commercial negotiation.

Delancey Street offers a free confidential initial review for MCA debt concerns. The company provides debt settlement services and coordinates legal questions with independently licensed counsel; it is not a law firm. Consultation is where the commercial assessment meets the legal one.

The 2019 limits matter because they confine a particular route to judgment. Borrowers who read them with precision keep the file, and the dispute beyond it, in proper proportion.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
