What Small Merchants Get Wrong About Payback
Clover Capital and Fiserv

Clover Capital advances purchase future sales with daily percentage remittance rather than loan installments, so merchants should confirm the provider identity, reconcile the remittance base, and review enforcement rights under the signed agreements.

The advance and the loan are different instruments wearing similar clothes. A merchant who treats a Clover Capital advance like installment debt will misread the payment rhythm, misjudge the parties and miss the questions that actually determine what happens when sales fall.

Future sales can be sold before they occur. That single proposition supports the entire structure, and every misunderstanding in the file traces back to an owner who never quite accepted what was sold.

The Advance Is Not a Loan

Fiserv Clover Capital program materials state the proposition in plain terms: Clover Capital is not a loan but an advance of funds based on future sales, with repayment through a percentage of daily sales that adjusts to volume. The brochure advertises no fixed term and no personal guarantee, alongside funding within two to three business days of approval through a fully digital application.

Marketing terms describe an offer, not a signed obligation. The agreement controls the purchased amount, the remittance percentage, the receipts included in the base and any adjustment for refunds or chargebacks, and a merchant who relies on the brochure where it conflicts with the executed papers will lose the argument before it begins. Counsel should ensure the review starts from the purchase agreement and the processing agreement together (the public figures describe current offers and may not match the papers in any given file), since the two documents divide the economics of each sale between them. Often we see the purchase agreement read last, though it should be read first.

Provider Identity and Roles

A current Clover partner disclosure identifies First Data Merchant Services LLC as the exclusive provider of merchant cash advances under that offering, with financing decisions, offer terms and eligibility resting solely with that entity. Santander Bank is not the lender or servicer of the advance, is not affiliated with First Data Merchant Services LLC for this purpose, and the merchant processing agreement stands as a separate instrument with its own terms.

The allocation of roles answers the first question any reviewer asks, namely who can modify the obligation and who merely moves the money. A bank logo on the shared offering page does not make the bank a party to the purchase, and a software name on the terminal does not make the software company the creditor. Opposing counsel in these cases tends to open with the processing agreement rather than the purchase agreement, which tells an attentive reader where the weight in the dispute sits.

Use of Clover processing requires a merchant processing agreement in any event. The advance rides on rails the merchant already granted for another purpose, and that convenience is precisely what makes the structure easy to enter and difficult to examine. In short, the instrument a merchant understands least is the one taken from each deposit without a separate decision, day after day, from sales already rung.

Repayment Mechanics

Payback occurs as a share of daily sales, rising with strong volume and falling when trade slows, without the fixed installment schedule that characterizes a term loan, and because collection runs through the same processing relationship that settles card transactions, the merchant experiences the remittance less as a payment decision than as a feature of the deposit itself, which explains why so many owners discover the true cost of the advance only when they attempt to reconcile a month of thin deposits against obligations negotiated in better weeks.

The agreement should identify which receipts enter the remittance base, across card types, refunds, adjustments and sales collected through other channels, and the fact that a transaction appears in the point of sale software does not by itself establish its treatment under the purchase. Refunds processed after the original sale has already entered a remittance calculation require their own accounting, with the original transaction and the reversal kept together so the discrepancy can be explained rather than merely resented. This is where thin months turn treacherous. The pattern is extremely legible in hindsight.

A merchant with several locations should confirm which storefronts feed the remittance and which accounts settle the deposits. The task is clerical and it repays attention, even briefly given, before the month end press of bills.

What the Sources Do Not Establish

The inspected materials establish no general authority for the advance provider to disable processing equipment or close the point of sale operation on nonpayment. Enforcement rights, cure provisions and remedies live in the signed agreements, and no outcome should be assumed from the collection mechanics alone. Few owners grasp the structure before the deposits thin. That order of learning is natural.

Review With Delancey Street

When daily remittances leave too little for wages, stock and rent, the owner should gather the purchase agreement, the processing agreement, statements separating advance remittances from ordinary processing charges, and a forecast of sales against operating costs. I assembled such a file on a grey Friday in November, and the pattern in the deposits was visible within the hour, though one file proves nothing about the next.

Delancey Street offers a free confidential initial review of business debt concerns, and a merchant can ask whether a Clover Capital advance fits its settlement practice. The company acts as a settlement company rather than a law firm (a distinction its critics sometimes blur in order to discredit private negotiation as such), coordinating legal questions with independent counsel. What the owner does, or leaves undone, while sales still flow will determine the options available when they no longer do, so simply ask the adviser to review and analyze the remittance base before authorizing any change to processing. The objective is to ensure no change to processing occurs without advice. A diverted stream is extremely difficult to defend without it.

Against a creditor already inside the deposit stream, the merchant negotiates from inside the same stream. Resist the urge to divert sales to a new processor without advice, since the purchase agreement may already address that maneuver. The receipts were sold before they existed. The task now is to account for them honestly and settle the balance on documented terms.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
