The decisive promise sits pages past the funding figure, where the agreement states what the provider may demand once performance slips.

An MCA contract functions as a set of operating duties joined to a set of enforcement rights. The caption on the opening page settles neither.

Reconciliation Terms

In 2020, a New York appellate court weighed whether repayment under a merchant agreement was absolute, examining reconciliation, a finite term, and recourse in bankruptcy. The opinion in LG Funding v. United Senior Properties of Olathe rewards reading before argument, because the court tested substance rather than headings.

Locate the request procedure, the records required, and any condition that narrows when the business may invoke it. The answer is extremely material both to operating cash and to legal characterization where relevant law applies. Ask whether the mechanism adjusts future withdrawals, returns excess collections, or offers a request the provider may decline under stated terms.

The file in the drawer describes flexibility while the bank record shows an unchanged debit through thin weeks. That gap deserves scrutiny where the governing law gives it meaning, though the gap alone decides little.

Simply retain proof of every request and response. Counsel needs the clause beside its operation, including the stated reason for any refusal.

Default, Guarantee, and Security Provisions

Read each event of default instead of stopping at missed payments. Agreements reach representations, account changes, and conduct an owner might regard as routine administration, and each of those triggers carries consequences the funding conversation never mentioned.

A personal guarantee warrants separate study (the business obligation and the owner obligation answer different questions, and the same signature can create both). Its scope may exceed the company debt, and the acts that trigger it may differ from the acts that place the company in default.

Security language deserves equal care. The New York commercial code rule on disposition of collateral provides the starting illustration: an interest continues in the collateral after transfer unless the secured party authorized disposition free of the interest or an exception applies, with rights attaching to identifiable proceeds. Governing law and the granted rights in the particular papers require their own assessment.

There are exceptions, though in practice they tend to confirm the rule.

The contract, read whole, tells the owner what the funding call never mentioned. Counsel should ensure the liable parties stand identified and ensure incorporated schedules receive the same attention as the signed pages, since the guarantee page sometimes lives in an attachment the owner never forwarded.

Funding Amount Against Total Repayment

A restaurant owner borrows against card receipts, repays from a strong season, then learns the early payments bought no reduction in the total. The schedule answered the question all along. Nobody turned to that page until the dispute.

Separate cash received from the purchased amount and from charges retained at funding. A factor figure is no annual rate, and early payment terms may leave charges intact.

The Paper Behind the Signature

Renewals, amendments, and settlement drafts can replace terms the owner remembers from the original funding. Arrange every document by date and mark which provisions each one supersedes, because a reduced withdrawal can leave the purchased amount, the security grant, and the guarantee where they were.

Often we see files where the website version and the executed version part ways. The signature page may point to terms held elsewhere, and the owner should keep the accepted version rather than trusting whatever the portal displays today.

And the drawer where the contract sits grows crowded while nobody reconciles the versions. Ask counsel which notice invokes adjustment, what conduct triggers the guarantee, and which duties survive an accepted payment, and put the answers in writing before any payment changes.

Dispute Procedure and Settlement Review

Choice of law, forum, and any arbitration clause determine where a fight occurs and under which procedure. An operating address does not select the forum. The parties did that at signing.

Where arbitration appears, Section 2 of the Federal Arbitration Act supplies the federal starting point for covered written provisions, subject to applicable defenses and statutory exceptions. It resolves formation, scope, and delegation for no particular dispute by itself.

The New York appellate decision on absolute repayment shows why operation matters more than labels. A heading called reconciliation proves little where surrounding language leaves adjustment to discretion.

Keep court notices apart from collection correspondence. Negotiation extends no deadline by itself, and discussion should never be mistaken for a stay.

Delancey Street offers a free confidential initial review for MCA distress, with legal matters handled through licensed counsel on a separate engagement. It is a debt settlement company, not a law firm, and the review suits an owner who wants the commercial path assessed beside the legal one. An unfavorable clause can be extremely revealing without supplying an immediate solution.

Some clauses repel negotiation. Most invite it once the owner can state, from the drawer outward, what was promised and what remains open.
