Debt Resolution and Debt Consolidation
The Difference That Controls the Decision

Resolution asks existing creditors to change their claims while consolidation introduces a new financing obligation. The movement of money and the rights that remain identify the route.

One arrangement asks existing creditors to change their claims. The other introduces a new financing obligation, which is why a single reduced payment never identifies the route on offer.

A business comparing resolution with consolidation should follow the movement of money and the rights that remain after it moves. The labels become useful only after the actual structure is clear, though the structure is not always disclosed at the outset.

The sections below trace that movement: whether new money enters, what the two routes cost on one forecast, what threatens each while it is pending, and what record should remain when the transaction closes.

Whether New Money Enters the Picture

A consolidation loan supplies proceeds intended to retire several obligations. The business then performs the new agreement, with its own charges, term and security requirements, and the old creditors leave the picture only to the extent their balances are actually paid.

Resolution seeks changed terms from the existing creditors, potentially including a reduced amount. Acceptance is not guaranteed, and the business needs resources to fund whatever agreement the existing creditors accept, since no new lender enters the picture.

Simply ask which contracts end and which begin. If old providers continue collecting while another company supplies periodic funds, the structure differs from a completed refinance and deserves separate examination. A consolidation loan laid over unresolved creditor claims resembles fresh paint over a wall with water behind it, improved on the surface while the pressure behind it remains.

A fourteen page consolidation agreement devotes eleven of its pages to covenants and default terms. The proportion is worth noticing before the payment amount.

The owner should not assume fewer payment destinations means a lower total obligation. The count of payees is, if we are being precise, a matter of convenience rather than a measure of cost.

Cost and Capacity on One Forecast

The comparison fails most often at the spreadsheet. For consolidation, identify net proceeds, old balances retired and the total repayment with charges over the full term. For resolution, include creditor payments, service fees and potential legal expenses, with existing payments retained until terms actually change.

Both proposals belong on the same forecast.

A longer consolidation term can reduce installments while increasing total cost. A resolution discount may require a payment schedule the business cannot support without additional borrowing, and the cheaper total can demand the faster cash. Often we see the cheaper payment chosen before the full obligation is counted.

The SBA 7(a) guidance describes qualifying uses that include working capital and refinancing of current business debt through participating lenders. Eligibility and underwriting remain necessary, and the existence of a program does not establish that every advance balance can be refinanced through it. Whether a lender will refinance stacked advances is a question no general guidance can answer.

Have an adviser review and analyze both proposals against the weak period as well as the expected performance. We have yet to see a forecast survive first contact with the weak month. Counsel should ensure guarantees receive attention, and should ensure any proposed payoff addresses security and release requirements rather than the balance alone.

The cheaper payment is not always the cheaper transaction.

The comparison is extremely useful when it exposes what each side assumes, or omits. A proposal cannot be judged fairly if one side counts all its costs while the other names only the most attractive payment.

Risk While the Route Is Pending

A consolidation application can be declined, or it can produce terms different from the initial illustration. Most illustrations show the payment the lender wishes to discuss. They omit the covenants that decide whether the loan survives. Existing obligations continue unless an effective agreement changes them or payoff occurs. An extremely consequential default provision can hide inside a familiar form.

A resolution process can meet creditor refusal, continuing collection or litigation. Enrollment in a program supplies no automatic stay of the kind a bankruptcy filing can trigger (program descriptions vary, and the business should confirm the actual terms in writing), a distinction the court description of Chapter 11 reorganization helps keep clear. Private negotiation and court protection perform different work.

A creditor that files suit during talks acts in order to preserve its position (a step its counsel will describe as routine diligence) rather than to announce the end of discussion. Resist the urge to read a filing as a verdict on the strategy. That reading costs the business its position.

January brings a particular kind of collection letter, dated in the new year and answered from the old cash position. Ask what happens if the chosen approach fails. Anything conceded in a financing application can be used against the business if resolution follows, so confirm whether fees remain payable before committing resources.

Delancey Street and the Resolution Route

Delancey Street offers a free confidential initial review focused on merchant advance distress, and coordinates legal matters with independently licensed counsel. The company is a debt settlement company rather than a consolidation lender.

Confirm eligible accounts, fees and the proposed negotiation process. The review can establish whether resolution deserves consideration alongside financing offers. The creditor must accept the actual terms before they become the agreed outcome.

The Record After the Transaction

You sign the new papers and then you discover what the new papers mean.

Ask which accounts stand confirmed closed under the chosen route and what evidence establishes that result. A replacement loan can fund before every intended payoff completes. The loan closed. The debt remained. A resolution proposal can remain conditional until the creditor agrees and the required performance occurs.

The IRS guidance on canceled debt explains that cancellation can create income, subject to exceptions and exclusions. That consequence belongs in a resolution assessment and should be reviewed for the relevant taxpayer.

Retain and preserve the comparison that supported the decision and update it when a material assumption changes. A useful debt strategy can be explained through the accounts it addresses, the funds it requires and the obligations left afterward. The name of the route supplies less information than that completed record of where the money moved and which rights remained.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
