Why It Fails and How to Unwind It
Stacking MCAs

Stacked advances fail when each new commitment consumes receipts the earlier ones require. One schedule, a survivable forecast, and coordinated negotiation give the business a path out.

A stack of advances fails for one reason that arrives disguised as many. Each new commitment consumes receipts that earlier commitments require, and the deposit creates a brief sense of capacity while operating cash continues to contract.

Unwinding the arrangement demands a complete view of every obligation. Negotiation that addresses the loudest account first can leave the business unable to perform the next agreement.

One Record of Every Active Position

Before any settlement is proposed, before any sum is described as available for a particular funder, every active agreement and its current payment demand should appear on a single schedule.

Include amendments, collection arrangements, and amounts retained through processors. A figure drawn from an old statement may no longer describe the claim or the amount withdrawn.

The schedule should distinguish the company asserting the claim from any intermediary communicating about it. Only one of them can authorize compromise, and only one of them must receive payment. Any discussion of the schedule with a collector, even casually, can narrow later options.

You sign each agreement alone and then you meet them together.

I have yet to see a stack resolve through the loudest account. The complete schedule decides the order, and everything after depends on that decision.

Simply place the schedules beside the bank history and note each discrepancy.

The Cash the Operation Can Preserve

No plan survives a forecast that starves the operation. Identify the payment dates as well as the amounts, because a month that appears affordable in total can still contain a shortfall before a major customer pays, and a single mistimed withdrawal can undo an arrangement every party intended to keep.

Collected receipts after essential expenses form the only base from which proposed agreements can be performed. The calendar of withdrawals can be extremely consequential when two debits fall on the same morning.

Resist the urge to allocate the entire reserve to the first creditor willing to discuss a discount. A signed settlement becomes another default when it leaves no room for remaining obligations.

Delancey Street, a settlement company and not a law firm, offers a free confidential initial review where multiple MCA positions require a coordinated commercial assessment. Ask the reviewer to ensure every active account appears in the proposed scope, while independently licensed counsel addresses any proceeding or claim against the business. Confirm eligibility for the account through the Delancey Street initial review.

Most stacked funders understand the arithmetic of the position they accepted. They prefer it unexamined.

Some receipts will remain uncertain. The proposal should reflect that limit rather than require the owner to promise the most favorable forecast.

A new advance taken to cover stacked withdrawals functions the way a second lock functions on a door with no wall around it: hardware in place, protection absent.

The operation needs enough capacity to continue producing the revenue from which the proposed agreements will be performed.

Adjustment Rights Across Different Contracts

A reconciliation provision may address collections that no longer match actual receipts. The records and submission procedure differ by contract and require separate treatment (responses, in the matters we have seen, vary more than identical contract language would suggest), since no single request governs the stack.

No two funding parties respond to the same information in the same way.

In LG Funding v United Senior Properties, a New York appellate analysis of MCA repayment terms considered reconciliation among the factors bearing on legal character. The decision does not render every stacked arrangement unlawful or every disputed payment unenforceable.

Preserve each request and response. Steps taken, or not taken, in the first week after a shortfall shape what counsel can establish later. The bank history, read against the schedule, shows the amount the business kept.

Another Advance as the Apparent Answer

Each advance was affordable on the day it funded. Together they describe a company paying for the same receipts several times over.

A replacement transaction should identify which obligations it retires and which remain active. Money that funds existing withdrawals without discharging earlier agreements, which proponents of replacement financing will describe as breathing room, adds a creditor without removing one.

Some intermediaries recommend another advance in order to earn another placement fee.

Review and analyze the total commitment and the point at which new proceeds are exhausted. A lower initial payment misleads when a burden the same receipts cannot support follows it. That is the calculation the sales conversation avoids.

The written payoff and release terms should correspond to the transaction proposed. Retain them with the closing record. Small differences in payoff language can be extremely costly when the final document arrives.

Each accepted change should leave the remaining schedule performable. No review can ensure a workable overall result if a material obligation remains outside the calculation.

Completion Terms and the Point of Resolution

Six months after the final settlement is signed, the owner will care about documents rather than discounts.

Record accepted terms, payment dates, and documents due after performance. Confirm which withdrawals have changed and keep proof of payment.

After a payoff, obtain the acknowledgment and any promised release or filing. A lien filed against the company requires separate action after payoff. An account can show a zero balance while documentation remains incomplete.

The last advance was accepted because no time seemed available for another decision. A review creates the interval that urgency had removed.

A useful resolution leaves the business with obligations its operations can perform from existing capacity. That condition, once reached, needs no further explanation.
