The best San Jose MCA debt relief lawyers are licensed in good standing with the State Bar of California. These attorneys have defended MCA lawsuits filed in New York and in the Santa Clara County Superior Court and know how to move within the 30 days you have to answer or to vacate a judgment. Hire one if you have been sued, if a judgment has been domesticated in Santa Clara County, or if your account has been levied.

Many people search for the best San Jose MCA debt relief lawyers after a short payout, a demand letter or a frozen bank account. If you want to negotiate before you are sued, compare the best San Jose business debt settlement companies, and for the statewide rules read our guide to the best California MCA debt relief lawyers.

Is the "capital" in your Stripe or Shopify dashboard actually an MCA?

Not necessarily, so a good lawyer will first review the heading of your agreement to determine how you were funded. If you received capital from Shopify, you actually received a loan from WebBank, repaid via a percent of your daily sales. According to Stripe, whose loans come from Celtic Bank or Lead Bank and whose advances come from YouLend, an offer "might be a loan or merchant cash advance," and "You can't request a particular financing type," while YouLend describes its product as a purchase of your business's future receivables that "isn't a loan." PayPal Working Capital refers to its funding as a "loan."

A bank loan is harder to defend, and so is an advance from YouLend, which is repaid not with fixed debits but with a percent of your sales. It will be easier to defend a case where your advance is paid back via fixed daily debits. If your advance is paid through a platform like Shopify, Stripe or PayPal, payments come out of your payouts before they reach your bank, so there is no ACH authorization to revoke.

Where will an MCA funder sue a San Jose business?

Most MCA funders sue in New York and then domesticate the New York judgment in the Santa Clara County Superior Court. Under Code of Civil Procedure Section 1710.40, you have 30 days after being served with notice of entry of the judgment to file a motion to vacate based on any defense you would have had if the case had been brought in a California court. That includes an incorrect interest calculation.

The Santa Clara County Superior Court hears civil matters at both the Downtown Superior Court and the Old Courthouse. The Downtown Superior Court is at 191 North First Street, and the Old Courthouse holds Civil Departments 17 through 22. Since the court has no commercial division, MCA collection actions go to the regular civil departments. Under Code of Civil Procedure Section 85, cases of $35,000 or less are limited civil cases, and larger ones are unlimited civil cases.

As of January 1, 2023, a confessed judgment cannot be enforced in a California superior court unless it was obtained or entered before that date (Code of Civil Procedure Section 1132). In New York, a confessed judgment can only be filed in a county where your business has a place of business (New York Civil Practice Law and Rules Section 3218). So a San Jose company should expect a regular New York suit, then domestication on North First Street.

What deadlines should a San Jose MCA lawyer be tracking?

Triggering eventTime to respondCitation
Service of a summons in California30 days to file a written responseCCP 412.20
Service of notice of entry of a New York judgment30 days to file motion to vacateCCP 1710.40
Service of notice of levy (if served personally)15 days to file exemption claimCCP 703.520
Service of notice of levy (if served by mail)20 days to file exemption claimCCP 703.520

If the funder files in New York, that court sets its own answer deadline, so involve a lawyer admitted there.

What can a funder take from a San Jose business or guarantor?

With a California judgment, a funder can levy on bank accounts, collect the business's receivables, garnish a guarantor's wages and lien real estate for 10 years. A bank levy only captures the funds on deposit when the bank is served (CCP 700.140). The automatic exemption for funds in a deposit account is $2,325 per judgment debtor as of July 1, 2026 (Judicial Council Form EJ-156).

For a SaaS or other B2B company, perhaps the most impactful tool is a demand under Commercial Code 9607 that your account debtors, your enterprise customers, pay the secured party directly after a default. A funder can also garnish the lesser of 20% of a guarantor's weekly disposable earnings or 40% of disposable earnings over 48 times the hourly minimum wage under CCP 706.050.

San Jose homeowners are unusually exposed. Under CCP 704.730, the homestead exemption equals the county's prior year median home price, up to $600,000, or $300,000, whichever is greater, adjusted for inflation since 2022. California CPI data puts this at roughly $741,000 in 2026, an estimate rather than an official figure, so confirm it with counsel. Since the median home price in Santa Clara County was $1.9 million in August 2026 according to the California Association of Realtors, the cap applies. Take a guarantor with a median-priced home and a $900,000 mortgage: about $1,000,000 in equity, of which around $259,000 sits above the estimated exemption before sale costs. The other problem is a recorded abstract of judgment, which creates a 10-year lien on your home under CCP 697.310 and may make it difficult to refinance or take out a HELOC to raise cash for a settlement.

Can California usury law or recharacterization help your MCA case?

Perhaps. Article XV of the California Constitution caps interest on loans not made to household consumers at the greater of 10% or 5% plus the advance rate set by the Federal Reserve Bank of San Francisco, but it only applies to loans, with exemptions for banks and a number of other lenders. That rules out a usury argument against the bank-issued platform loans. For a true MCA, you may argue it should be recharacterized as a loan because it has fixed daily payments without a true reconciliation, but no California appellate case recharacterizing an MCA as a loan turned up in the research for this guide, so don't be fooled by any lawyer who promises a recharacterization.

The DFPI's Advisory to Small Businesses with Merchant Cash Advance Contracts notes that many fixed daily payment contracts give you the right to trigger reconciliation by notice of lower sales. California's Commercial Financing Disclosure Law (Cal. Fin. Code 22800 et seq.) applies to offers of $500,000 or less, including purchases of receivables. As of January 1, 2026, Fin. Code 22806 requires an APR disclosure when a charge or pricing metric is stated. Non-compliance is not stated to be a ground of rescission in the statute, but it may give you negotiating leverage or be the basis of a complaint to the DFPI.

How do you vet the best San Jose MCA debt relief lawyers?

Check the State Bar of California attorney search, then ask:

  • Have you defended a client in an MCA suit in New York, and who is on your team on the New York side of the case?
  • Have you moved to vacate a sister-state judgment in Santa Clara County Superior Court, and what was the result?
  • How would you handle a Stripe or Shopify financing product differently from a traditional daily-debit MCA?
  • What will you do if the funder sends 9607 notices to my customers?

A "DFPI registered" badge means little, as the DFPI's debt settlement registration only applies to consumer debt and exempts attorneys. If you are pursued as a guarantor, ask whether the lawyer will argue that the Rosenthal Act's 2025 extension to commercial credit of $500,000 or less owed by an individual covers your case; the funders will argue an advance is not "credit." The Bankruptcy Court for the Northern District of California has a San Jose division.

Frequently Asked Questions

Can an MCA funder get a confession of judgment against my San Jose business?

As of January 1, 2023, new confessions of judgment are not enforceable in California and cannot be entered in any California superior court (CCP 1132). A confession of judgment for an MCA can only be filed in a New York county where your business has a place of business.

How long do I have to fight a New York MCA judgment filed in Santa Clara County?

You have 30 days after service of a notice of entry of the sister-state judgment to move to vacate it in Santa Clara County Superior Court under CCP 1710.40. A motion to vacate can raise any defense that would have been good in a California suit on the judgment, including an incorrect interest figure.

Is Stripe Capital or Shopify Capital a merchant cash advance?

Stripe's offer may be a bank loan from Celtic Bank or Lead Bank or a merchant cash advance from YouLend. A Shopify Capital offer is a loan from WebBank. Read your offer to see which it is.

Does the California homestead exemption protect my San Jose house from an MCA guarantee?

Only up to the cap. The California homestead exemption started at a $600,000 cap and increases with inflation, while the median sale price of a home in Santa Clara County was $1,900,000 in August 2026, so equity above the cap can be reached by a judgment against you as guarantor.

Best for MCA Defense — Attorney-Founded Not a Law Firm

Please note: Delancey Street is not a law firm and does not provide legal services or legal advice.

Delancey Street understands San Jose's unique MCA exposure: this is a city where a tech startup can take a $500K MCA to bridge a funding gap and a Vietnamese restaurant on Story Road can stack three $50K advances in six months. They serve both ends of the spectrum. For startups, Delancey Street has negotiated MCA settlements that preserved venture funding relationships and avoided the UCC lien problems that can tank a Series A round. For Main Street businesses, they deploy SB 1235 violation arguments and California UCL claims. Their Santa Clara County practice has grown 300% in two years, with settlement reductions averaging 48% across all MCA types.

"Our IT consulting firm in downtown San Jose took a $320K MCA to cover payroll between two major contracts — the funder was pulling $2,800 per day and we were bleeding out. A UCC lien was blocking us from getting the line of credit we actually needed. Delancey Street froze the ACH, got the UCC lien removed from the California Secretary of State within 3 weeks, and settled for $147K. We closed the credit line and never looked at another MCA."

Many business owners dealing with MCA funders also carry significant traditional business debt that NDR can address while a specialized MCA firm like Delancey Street handles the merchant cash advance portion. Best Value — Business + Tax Combined BBB A+ Rated Since 2000 Bilingual Staff

CuraDebt has been in the debt relief industry since 2000 and offers a unique combination of business debt settlement and tax resolution under one roof. For San Jose businesses dealing with MCA debt alongside tax obligations, CuraDebt can handle the tax portion while coordinating with MCA-specific counsel. Their MCA capabilities are limited compared to Delancey Street — they can negotiate some MCA settlements but lack the litigation infrastructure to vacate confessions of judgment or freeze ACH withdrawals through court orders. Where CuraDebt excels is in handling the full spectrum of business financial distress: credit card debt, vendor obligations, equipment financing, AND IRS/state tax problems, all under one team.

MCA Debt Relief: Frequently Asked Questions

California's SB 1235 applies to all commercial financing transactions under $500,000 made to California-based businesses, including tech companies in San Jose. This means MCA funders must provide standardized disclosures of total repayment amount, estimated APR, payment frequency and amounts, and prepayment terms before funding. For San Jose tech companies, SB 1235 is particularly powerful because many took MCAs during urgent funding gaps and never received the required disclosures — the speed of the transaction worked against disclosure compliance. Defense attorneys use non-compliance to argue contract voidability or to create settlement leverage. The California DFPI has been actively investigating MCA funders targeting Silicon Valley businesses, and Santa Clara County Superior Court judges are experienced with commercial disputes involving tech companies. Additionally, for venture-backed startups, the UCC lien implications of MCAs are catastrophic — a UCC-1 filing can trigger anti-dilution clauses, violate investor agreements, or block subsequent fundraising rounds. Experienced MCA defense attorneys prioritize UCC lien removal for these clients, often negotiating emergency lien releases even before the underlying debt is settled.

Yes, MCA debt can absolutely be settled — but it requires specialized legal expertise that most general debt settlement companies do not have. Attorney-led firms like Delancey Street consistently settle MCA obligations for 40-60% of the outstanding balance. The key is legal leverage: MCA contracts often contain provisions that are arguably unenforceable, and MCA funders know that defending against a well-prepared legal challenge is expensive and uncertain. When an attorney-led firm credibly threatens litigation — challenging the MCA as a de facto loan subject to usury laws, contesting the validity of confessions of judgment, or filing counterclaims for fraud or unconscionability — most MCA funders prefer to negotiate rather than fight. General settlement companies like National Debt Relief and CuraDebt typically do not accept MCA clients because they lack the legal infrastructure needed to push back against MCA funders effectively.

Stopping daily ACH withdrawals is the most urgent concern for businesses drowning in MCA debt, and there are several approaches. The most effective method is having an attorney send a formal cease-and-desist to the MCA funder and, if necessary, obtain a temporary restraining order (TRO) from a court blocking further withdrawals. Delancey Street has perfected this process and can typically freeze ACH withdrawals within 5-10 business days of engagement. Another option is revoking the ACH authorization with your bank by filing a written revocation under NACHA (National Automated Clearing House Association) rules — however, this can trigger immediate legal action from the MCA funder, including filing a confession of judgment. Simply closing your bank account or opening a new one is risky: it may constitute breach of contract and can accelerate the MCA funder's collection efforts. The safest approach for San Jose businesses is to work with an attorney who can freeze the ACH withdrawals while simultaneously opening settlement negotiations, so you are protected on both fronts.

A confession of judgment (COJ) is a legal document that most MCA contracts require business owners to sign, which allows the MCA funder to obtain a court judgment against you without a trial, without notice, and without any opportunity to defend yourself. If you default on the MCA, the funder files the COJ with the court (typically in New York, regardless of where your business is located), and a judgment is entered immediately. With that judgment, the funder can freeze your bank accounts, garnish business receivables, and place liens on business and personal assets. For San Jose businesses, this can be devastating — a frozen bank account means you cannot make payroll, pay vendors, or keep the lights on. The good news is that COJs can often be vacated (set aside) by a skilled attorney. Common grounds for vacatur include fraud in the inducement, lack of meaningful consent, or procedural defects. New York banned COJs for out-of-state businesses in 2019, and several other states have followed suit, which gives attorneys additional arguments for vacatur. Delancey Street specializes in COJ vacatur and has successfully overturned confessions of judgment for businesses across the country.

This is one of the most common concerns for San Jose business owners, and the answer is nuanced. Most MCA funders do not report to business credit bureaus (Dun & Bradstreet, Experian Business) because MCAs are structured as purchase agreements rather than loans. This means that settling an MCA typically has no direct impact on your business credit score. However, if the MCA funder has filed a UCC lien, obtained a judgment through a confession of judgment, or reported the debt to any credit agency, those records can affect your creditworthiness. The settlement process should include removal of UCC liens and satisfaction of any judgments, which actually improves your credit profile. For businesses that also have traditional credit card or loan debt being settled through firms like NDR or CuraDebt, those settled accounts will be reported as "settled for less than full balance," which can temporarily lower credit scores. However, most business owners find that resolving the debt and eliminating the daily cash drain of MCA payments puts them in a much stronger financial position within 6-12 months of completing settlement.

MCA settlement timelines are significantly shorter than traditional debt settlement. Attorney-led MCA firms like Delancey Street typically resolve MCA cases in 3-9 months, compared to 24-48 months for general debt settlement companies. The reason for the faster timeline is twofold: first, MCA funders are motivated to settle quickly because they make their money on volume and velocity — a prolonged legal fight ties up resources they would rather deploy on new deals. Second, the attorney-led approach creates immediate pressure through legal motions, court filings, and credible litigation threats that accelerate negotiations. The typical timeline breaks down as follows: Week 1-2, the attorney reviews your MCA contracts, files ACH freeze motions, and sends demand letters; Month 1-3, active negotiation with MCA funders while legal protections are in place; Month 3-9, settlements finalized, UCC liens removed, and COJs satisfied. For San Jose businesses with multiple stacked MCAs, the process may take slightly longer as each funder must be negotiated individually, but the ACH withdrawals are typically frozen early in the process so your business can breathe while negotiations proceed.
