A settlement company that instructs a business owner to cease payments on an MCA obligation without reviewing the confession of judgment, without assessing whether the funder has already assigned the receivable, without understanding the specific contractual exposure that attaches to a default, isn’t settling a debt. It is allowing a default and describing it as a strategy.
Whether the current regulatory environment will produce clearer protections for business debtors or whether the ongoing constraints on CFPB and FTC enforcement capacity will leave the gap unchanged is a question I ain’t positioned to answer with confidence.
Triage Before Settlement
We don’t recommend settlement companies to our clients, a conclusion drawn not from principle but from the cases that arrive after the settlement company has finished its work, or abandoned it.
The standard advice in this area is to enroll all debts in a program and permit the company to negotiate on its schedule. What we observe, in something like forty percent of the business cases we review (though the sample is not scientific, and the percentage shifts depending on the year and the type of debt involved), is that at least one enrolled creditor was never going to negotiate. The debt was secured, or the creditor held a personal guarantee and had no economic reason to accept a reduction, or the obligation had already been transferred to a buyer whose collection model begins with litigation. The settlement company enrolled that debt regardless, collected its percentage upon settling the others, and left the business owner exposed.
The first step, the one that settlement companies omit because it doesn’t generate revenue, is triage:
Identify which debts are negotiable and which aren’t.
Determine which creditors have filed or are likely to file.
Assess whether personal guarantees place the owner's assets at risk.
This information doesn’t need a settlement fund. It requires someone who has reviewed the contracts and who can distinguish a debt that will settle from a debt that will litigate. The distinction is often visible within a single reading of the agreement, though not every agreement makes it easy.
Our clients call when a creditor has filed suit despite six months of fund accumulation. They call when the settlement company has gone silent. They called on a Friday because the letter showed up that morning and the settlement company wasn't answering anymore.
Wilmington's Particular Position
Wilmington is a city where more business entities are incorporated than people reside. The legal infrastructure here was constructed for corporate disputes, for fiduciary claims, for the commercial disagreements that the Court of Chancery resolves with a sophistication other jurisdictions study and attempt to reproduce. The small business owner on Market Street, carrying six figures of combined debt across four creditors and a merchant cash advance funder, doesn’t occupy that architecture. That business sits in the gap between consumer protections that don’t apply to business debt and corporate rules that don’t fit a small company with about eleven employees and a shrinking line of credit.
The debt settlement industry occupies that space. Whether it occupies it well is a question most owners answer only after the engagement has ended.
