Distance from the funder forum does not reduce the debit schedule. An El Paso merchant hires MCA defense counsel to read the paper, control the calendar, and convert collection noise into a negotiation conducted on documents.

Five distinctions between pressure and obligation carry that work.

The Funding Agreement and Reconciliation Record

The file opens with the contract, not with the balance. Counsel tests whether repayment was absolute or contingent under the screen a 2020 opinion from the Second Department supplied, weighing a reconciliation provision, a finite term, and recourse should the merchant enter bankruptcy. The opinion is New York authority of extremely limited reach. The full Second Department opinion on absolute repayment deserves reading before it is cited, and its translation into Texas motion practice belongs to licensed counsel here.

The reconciliation clause was, if precision matters, a procedure for demanding an adjustment rather than a promise that receipts alone would trigger one. Demands need dates, receipt figures and the response each received, and counsel will review and analyze that record against the signed procedure before pricing anything.

Texas now requires specified cost and payment disclosures for certain covered offers under $1 million under Finance Code Chapter 398, effective September 1, 2025, with coverage, timing and remedies to be assessed agreement by agreement. The enrolled text of the Texas sales based financing law states the duties in full.

Bring the paper. Everything else follows.

Debit Pressure and Bank Posture

The debit schedule keeps time the way a metronome keeps time in a room where nobody plays along: steady in tempo, destructive in effect. Counsel makes an extremely careful separation between the duty to pay and the method of taking, then asks the bank for the classification of each transaction in writing.

Deception about balances, authority or settlement terms has a Texas address. False, misleading or deceptive acts in trade or commerce are unlawful under a long enumerated statute enforceable by the Consumer Protection Division as well as private claimants, and the Texas statute on deceptive trade practices gives misstatements about the debt a pleading home where the facts support it, which defenders of the industry will dispute in order to keep every dispute inside the contract and outside the statute.

I drafted a response to a turnover threat on a Friday in August, which may account for its brevity. The bank letter went out Monday, and the posture of the case changed before the funder replied.

Resist the urge to move funds or invite returns to manufacture room. Most owners consider it. Counsel forbids it, and the account record outlives the tactic.

Confession of Judgment and Filing Posture

On September 1, 2025, one Texas exposure narrowed. A confession of judgment or similar provision in a covered contract is void and unenforceable under Section 398.055 of the Finance Code, though the chapter creates no private right of action, so relief runs through the designated channels. Counsel tests coverage, execution date and forum before advising any client to relax.

Clerks in high volume courts process paper the way it arrives, and how opposing counsel in these cases tends to behave in the first conference call, all deadline and no documents, tells experienced counsel where the file stands. Often we see the response date arrive before the merchant retains counsel, so the objective is to ensure the earliest deadline is answered before the loudest letter.

Whether paper signed before the effective date will be pressed with the same appetite after it is a question for the first conference, and coverage for any single account requires direct confirmation.

Liens, Exempt Property and Settlement

Post judgment collection in Texas runs through turnover orders, application of property, or a receiver empowered to take possession, sell and pay proceeds to the creditor, with exempt property fenced off from the order. The Texas statute on turnover and receivership states both the sword and its limits, and counsel plans around it from the first week rather than the first writ, a peculiar mercy of timing that favors the prepared.

The homestead shield is central for an owner guarantor. A homestead with burial lots is exempt from seizure for creditor claims apart from properly fixed encumbrances such as purchase money, taxes, written improvement liens and qualifying extensions, and the Texas homestead exemption statute states those boundaries. Settlement then trades payment for writings, meaning release of the claimed balance, release of each lien, and release of the guaranty where one exists, always in writing, and counsel should ensure each release is executed before funds move.

Delancey Street, a business debt settlement company rather than a law firm, states a focus on merchant cash advance debt and offers a free confidential initial review, with independently licensed counsel handling legal questions. The Delancey Street account of its settlement focus states the scope in its own terms. A first conversation costs nothing and assumes nothing; it is the beginning of a diagnosis.

Records, Fees and Scope

Simply bring the agreements with amendments, bank statements showing each debit, the reconciliation file, tax material the owner will disclose to counsel, and every collection letter with dates preserved. What the owner discloses, or withholds, at the start shapes everything counsel can do later, and each paper signed may be used against the business.

Ask what the fee covers, which forum the lawyer will enter, and the point at which settlement authority must be sought. The engagement letter answers before funds move. No statement about the debt, even briefly, should reach the funder without counsel present.

The ledger closes the meeting. Counsel keeps it open.
