7 Disclosure and Documentation Defects That Weaken an MCA in New York in Practice

New York disclosure defects weaken MCA agreements through courts, regulators, and negotiation rather than voiding them outright. Seven documented pressure points decide what the file supports.

No disclosure violation in New York voids an MCA by itself. The defects that matter weaken the agreement in front of a judge, a regulator, or a counterparty that prefers settlement to an opinion.

Under the statute, under the regulation that implements it, the duty attaches before consummation rather than after default. The Department of Financial Services adopted the commercial financing disclosure regulation under Article 8 of the Financial Services Law with mandatory compliance from August 2023, while the courts test every agreement by its substance rather than its label. Preserve and produce the disclosure with the agreement, because counsel reads the two together or not at all.

The Disclosure Duty and Its Documented Limits

The regulation arrived through adoption in February 2023 with mandatory compliance the following August, which means transactions on either side of that month answer to different versions of the same duty, and the funding date on the signature page decides which version governs before any other question gets asked. Corroborating alerts place covered commercial financing at or below $2.5 million, a figure to confirm in the section text rather than to quote from this article (the section text retrieval failed in this record, so confirm thresholds in the current code before citing them).

Most owners discover the disclosure duty after signing. I understand why the order runs that way. The duty exists on paper from 2023 forward. Its contents in any given file come from the statute and the signed agreement together.

Funded Amounts Against Purchased Amounts

The funded amount is the only number that ever entered the account. The trial record in the Richmond matter showed an amount actually funded to the borrowers that was not the full amount described as purchased, and the gap between those two figures is extremely difficult to explain and extremely easy to document. The agreement is a purchase. On that record the court examined its economics line by line.

Bank statements settle the comparison in an afternoon. The disclosure states the terms while the statements state the transfer.

Blank Percentages and Shifting Terms

Some agreements in that same record left the space for the specified percentage blank. A percentage that was never filled in cannot have been bargained over, and a payment term that shifts without a stated measure leaves the merchant servicing a number the file does not explain.

The blank space is the term.

How often blank percentages appear in current paper is a question this record cannot answer. Counsel test the copy in hand rather than the market at large, which is slower work and the only kind that counts.

Reconciliation Promises Tested in Court

In 2020, three years before mandatory disclosure compliance, the Second Department weighed three factors that still frame the inquiry: whether the agreement carries a reconciliation provision, whether the term is finite, and whether any recourse survives bankruptcy. The decision weighing reconciliation, term, and bankruptcy recourse held that a sole discretion adjustment clause, paired with absolute repayment terms, stated a triable defense rather than a purchase beyond question. Before the first payment, before counsel reviews the disclosure, the characterization question is already half answered by the reconciliation term.

The court called the reconciliation genuine. The bank statements will say whether it was.

A later majority found two reconciliation provisions genuine where no sole discretion language cabined them, while the concurrence (which proposed an estimate based test the majority never adopted) reads well and binds no one. A reconciliation clause operating at sole discretion sits in the agreement the way a lifeboat sits on a painted ocean: present, regulation size, and unavailable in weather. That is where files get decided. The test looks at what the contract does. Counsel test and document the reconciliation in operation, because the clause on the page and the debits on the statement are two different witnesses.

Confession Affidavits and County Defects

Six years after that appellate decision, confession practice still generates the thinnest papers in the file. Affidavit and county requirements for confession of judgment demand a signed sworn statement of the sum and the facts of the debt, entry in the county of residence within a three year window, with joint debtor confessions binding only those who confess. Texas voids confession provisions in covered contracts outright; New York procedure tests them instead, and the test is often failed on the first page.

Opposing counsel in these cases tend to lead with the confession and negotiate from the judgment, a habit formed after years of unopposed entries. The confession was filed in order to convert a disputed balance into an uncontested judgment, which the Richmond court treated as fraud on its record. The affidavit carries an almost ceremonial confidence. Clerks in some counties now check the residence allegation against the filing stamp before anything else. The three year window often runs from a date the file leaves unclear.

Guaranty Scope and Enforcement Pressure

The guaranty is where the business debt becomes a personal one. The Second Department record showed guarantors bound to performance of representations and covenants, while the trial record showed performance language enforced at full payment pressure through confessions. Federal charges in 2022 added that personal guarantees were demanded after merchants were told otherwise, an allegation the settlement neither admitted nor denied.

Consider the guarantor who signs a promise of performance and meets it again at enforcement dressed as payment. The distinction fills pages of the agreement and a paragraph of the judgment. No side payment, even briefly agreed, should leave the account without counsel reviewing the release language.

Remedies That Require Counsel

What a disclosure gap buys is pressure, not erasure. The 2025 settlement over loans disguised as cash advances canceled covered outstanding balances by operation of its terms while excluding other funders and continuing against parties that never settled, which is the shape of regulatory relief: bounded, party specific, and automatic only inside its borders. The office accepts complaints but supplies no individual representation, and commercial paper carries no consumer right to validation on demand, so the file needs complaints, defenses, and the counterclaim analysis counsel builds when the disclosure record is thin.

Resist the urge to treat settlement headlines as personal relief. Simply bring the disclosure, the agreement, and every notice the customers received. Delancey Street offers a free confidential initial review of MCA files with New York disclosure questions as a settlement company, while independent counsel handles legal work and ensures the affidavit gets read before the judgment gets paid. The statute promises candor before consummation. The practice tests whether candor arrived.
