7 Laws That Move Your Restructuring Position (2026)
Business Debt Restructuring in New Mexico
An operating New Mexico company argues from revenue. These seven rules, from possession to the tax shadow, price that argument before counsel states it.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
Revenue is the only argument every creditor understands.
A New Mexico company that keeps its doors open while restructuring carries that argument into every meeting, and federal law plus state property rules decide how far it travels. Possession, stay borders, marital property, discharge limits, lien survival, enforcement history and tax effects price the argument before counsel states it.
Reorganization Without Closure
The Code treats continued operation as the normal state of a reorganization case. The federal court account of Chapter 11 reorganization describes the debtor remaining in possession while contested motions over cash collateral, credit and unfulfilled contracts arise precisely because the business still runs. The exact value of continued operation varies by docket, and no honest article prices it here.
Against a closed file the funder brings arithmetic and a calendar. Against an operating company it brings patience, since records accumulate, statements post, and counsel reviews each one as it arrives, which is an extremely practical reason to keep the doors open.
But operation imposes its own discipline. What management reports, or fails to report, during the case decides whether possession continues. The trustee watches the registers the way a landlord watches the lobby: present, silent, and impossible to evade.
The Stay Exceptions That Matter
Filing suspends judgments, collection activity, foreclosure and repossession on claims that arose before the petition, under the automatic provision of the Code, with stated exceptions that counsel maps before promising quiet.
The exceptions matter because a creditor that believes its conduct falls inside one will not wait for a judge to agree, and the debits that follow a disputed reading of the statute create a second dispute on top of the first, which means the owner litigates the exception before ever reaching the underlying balance. Often we price the exception fight before the balance fight.
Whether the stay protected any particular transfer is a question the docket answers months later. The owner acts now.
Community Property and Separate Income
Marriage changes the collection map in New Mexico before any guarantee gets signed. The Internal Revenue Service publication on community property names New Mexico among the nine community property states for married taxpayers, and places it in the group where income from separate property remains separate income.
The classification, if we are being precise, answers the tax question rather than the creditor question, since management and control rules and creditor reach principles live in state law the publication never purports to state.
A funder pursuing the personal guarantee (which the funder will describe, in the demand letter and again in the first conference, as the end of every property discussion) still must confront titling, control and signature questions that the guarantee form never mentions.
Three accounts titled three ways produce three different answers, and counsel traces each one under New Mexico law before advising what the household keeps. The tracing starts with the oldest statements rather than the newest demands.
Discharge and Its Limits
The federal court explanation of discharge in bankruptcy states that the debtor is no longer required by law to pay the covered obligations, and bars collection action on them.
Beyond the bar lie its borders: fraud type objections threaten the personal discharge of an individual owner, and liens may pass through where the underlying security interest survives. This decides nothing beyond the covered balances.
I have yet to see a discharge order read the same way twice by opposing counsel. Read the order against each balance.
Liens That Survive a Sale
Buyers discount what liens cloud, and the inspected New York text of the lien survival rule provides that a security interest continues in the collateral despite disposition unless the secured party authorized a transfer free of it, and attaches to identifiable proceeds subject to stated exceptions.
Counsel confirms the New Mexico version before the owner sells equipment, assigns receivables, or transfers the operation to a buyer whose lender will read the same record. The filing outlasted the payment schedule.
Clear title is negotiated. It is never assumed.
Sale agreements, payoff letters, written authorizations and guarantee releases each answer a different question. Collect all four before asserting the record is clear.
An Enforcement Order and Its Borders
Federal enforcers barred named merchant funding defendants from the industry after charges that included unlawful seizures from small businesses, and the federal account of that enforcement action repays reading.
The order binds its defendants. It voids no other contract. Allegations in a complaint are not findings of a court, and a settlement is not a statute.
Into negotiation travels only what the order decided, which counsel cites for what it proves about industry practice rather than for what it decides about the balance at hand. The order is an extremely narrow precedent for any other file.
Forgiveness and Its Tax Shadow
The discount arrives with paperwork of its own that few owners examine. Canceled debt can count as taxable income, with exclusions for bankruptcy case cancellations and for insolvent taxpayers, each subject to its own requirements. Most owners celebrate the settlement before reading the tax letter that follows it.
The Internal Revenue Service discussion of canceled debt frames the question as whether the forgiven amount is taxable, and entity classification alters the result. Six months after settlement, the owner learns whether the celebration was premature. Whether the insolvency exclusion covers the facts is counsel's call on complete records.
A company level resolution can leave a personal residue. Model the residue before signing.
Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street description of its debt relief work presents a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure the property tracing, the lien record and the tax posture are reviewed and analyzed together, and to ensure no statement reaches the other side without counsel present.
Resist the urge to accept the discount before the tax arithmetic closes, even briefly. Simply bring the settlement draft, the returns and the insolvency workpapers to the first meeting. A first call costs nothing and assumes nothing, and consultation is where this accounting begins.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
