7 Laws That Change Your Bargaining Position (2026)
Business Debt Restructuring in Arizona
Federal protections do the heavy work in an Arizona restructuring, from the stay to the tax code to the property regime. These seven rules decide what the owner can credibly demand.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The restructuring ends before it begins, in the documents the owner has not yet assembled.
An Arizona company carries federal protections into every negotiation, and the protections matter only when counsel can cite them against a specific balance on a specific date.
The Automatic Stay as Negotiating Time
The collection calls stop by operation of law the moment a petition is filed, though the relief lasts only as long as the case earns it. The federal court account of Chapter 11 reorganization describes the stay as a suspension of judgments, collection activity, foreclosure and repossession on claims that arose before filing, imposed under section 362 upon filing, and the same page calls the resulting interval a breathing spell in which negotiation can take place.
Before the first offer, before counsel has priced the exposure, the debits continue, and after filing the docket fills with the motions that test whether quiet continues, motions for relief from the stay where the creditor asserts cause or inadequate protection, contests over cash collateral where operating revenue itself becomes the subject of argument, litigation over unfulfilled contracts and unexpired leases where assumption or rejection redraws the obligations of the enterprise, each one capable of consuming the very time the stay was meant to create.
Certain categories of action proceed despite the petition under stated exceptions, so counsel maps those exceptions before promising quiet. The stay buys time and forgives nothing.
Subchapter V and the Absent Committee
Often we see owners assume reorganization means surrendering the business to strangers. The small business provisions keep the debtor in possession while a trustee guides the plan, investigates where necessary, appears at major hearings and ensures payments reach creditors, which leaves management operating under supervision rather than replacement.
Only the debtor may file a plan, and no separate disclosure statement is required unless the court orders one for cause. No creditors committee forms automatically. The combined debt ceiling adjusts over time, and the current figure must be confirmed with counsel before eligibility is asserted, since an expired number misstates the doorway.
The streamlined case still demands complete reporting. Acceleration is not leniency.
Discharge Language That Binds Collectors
A discharge order provides that the debtor is no longer required by law to pay the covered obligations, and it lays a lasting bar on any form of collection action on them. The federal court explanation of discharge in bankruptcy states the rule in those terms, and collectors in the case against the company deem it prudent to read the order twice.
Not every obligation falls within it. Fraud type objections can threaten the personal discharge of an individual owner, and liens may pass through where the underlying security interest survives, so counsel reads the order against each balance rather than announcing freedom in general.
The order ends collection. It does not end diligence.
Canceled Debt and the Tax Bill Inside the Discount
A discount computed without the tax code misstates its own price, and the correction arrives after the celebration. Canceled debt can count as taxable income, with exclusions for debt canceled in a bankruptcy case and for debt canceled while the taxpayer is insolvent, each subject to its own requirements. The Internal Revenue Service discussion of canceled debt frames the question as whether the forgiven amount is taxable or not, and the entity structure changes the answer.
Whether the insolvency calculation survives review with complete bank records in the file is a question worth carrying into the meeting.
The publication on canceled debts, foreclosures and repossessions supplies the longer treatment, and the sample of cases we have seen, though the sample is not scientific, suggests few owners price this consequence before accepting terms. Settlement posture improves extremely early when the tax effect is modeled first, and extremely few owners model it at all.
Arizona Community Property and the Spouse Who Did Not Sign
A signature on a personal guarantee creates direct liability on the contract in every state, and no property regime analysis is needed where that signature exists. The harder question concerns the spouse who signed nothing.
The guarantee bound the company. The marriage may have bound the rest.
Arizona stands among the nine community property states identified in federal tax guidance, in the group where income from separate property remains separate, and the Internal Revenue Service publication on community property names the state in clear terms. That publication addresses federal tax treatment only (a distinction with consequences, since the tax classification of income does not decide which assets answer for a commercial guarantee).
Management and control rules, creditor reach principles and the treatment of wages and accounts titled in one name all belong to state property law, which counsel must review and analyze before advising that household assets stand clear. A funder pursuing the guarantee in order to reach beyond the business will test these boundaries without apology.
The marriage certificate deserves the same attention as the payment schedule.
The Arizona Filing Office Search
Six months after funding, the filing still reads as current. Arizona maintains its own lien search inside the secretary of state filing application, and the Arizona lien search portal allows the owner to see what the public record claims before negotiating payoff or release language.
And the record sometimes claims more than the agreement supports. Stale filings linger after balances resolve, and the procedure and fee for clearing the record must be confirmed with the filing office as it stands now, since schedules change without notice.
Search first. Negotiate second.
Arbitration Clauses Under Federal Law
The written arbitration provision in a commercial agreement is generally enforceable under federal law, subject to generally applicable contract defenses. Formation, scope, delegation and waiver all require review, and a clause that sends the dispute to a private forum does not establish that the underlying advance was lawful.
Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street account of its settlement work describes a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure no statement reaches the other side without counsel present, and to ensure the filing office record, the guarantee stack and the tax posture are reviewed and analyzed together.
You sign first and you understand later. Resist the urge to explain the file to the funder, even briefly, before counsel weighs what the explanation concedes. A first call costs nothing and assumes nothing; it begins with the statements, not with a promise, and consultation is where this examination begins.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
