8 Points That Happen the Week After a UCC Claim Notification Hits
The notice instructs customers to pay the funder, and the statute gives the instruction force before any court rules. The week after it lands is when the filing becomes a redirection of cash.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The notice does not request cooperation from your customers. It instructs them to pay the funder instead of you, and the statute behind the instruction gives it force before any judge has ruled on the debt.
Often we see the notice arrive on a Friday. What arrived is an assignment notice, and the week after it lands is when a filing becomes a redirection of cash. Counsel review and analyze the notice before the agreement, because the notice sets the deadline that every later argument must meet.
Customers Told to Pay the Funder
The statute speaks before the argument begins. Notification of assignment under Article 9 provides that an account debtor may discharge its obligation by paying the assignee after receipt, and may not discharge it by paying the assignor. A customer who pays the old payee after that point remains exposed to pay again, which is why customers obey the letter the same day they open it.
Before the first customer calls, before counsel has seen the paper, the obligation has already changed address. The funder sequences the notices in order to compress the response window. What a customer chooses to disclose, or to withhold, shapes the next dispute over who received what and when.
Defective Notices and Proof on Request
A notice that fails to identify the rights assigned has no effect under the statute, and the assignee on request must seasonably furnish reasonable proof of the assignment or watch the customer keep paying the original party. Defense practice starts with the envelope and its contents. Rarely does a customer request that proof without prompting, so the request as a rule comes from counsel within days.
Most owners call counsel after the second customer pays the wrong party. I understand the delay. Resist the urge to telephone the customer and countermand the notice in your own words, because any instruction to a customer becomes part of the record that later testimony must explain.
Customer Terms Against Assignment
Terms in customer contracts that forbid assignment, or that treat it as a default, fail as a rule against the statute (the processor cases form a small sample, so treat this limit as caution rather than rule). Card processor arrangements stand apart, because the processor role turns on a processor agreement that no captured file in this record contains. The notice governs account debtors on accounts and payment intangibles. It does not govern every waterfall by its own force.
Filing on Record and Control of the Account
Control of the account, not the notice, decides where the money sleeps. A signed control agreement with the bank gives a secured party command of the funds through a record in which all three agree the bank obeys without further consent from the debtor.
But the bank answers to the signed record, not to the filing. The distinction is extremely instructive, because owners as a rule treat the two as one act. Control means the three signed a record in which the bank agreed to obey the secured party without further consent, even where the debtor kept a right to direct funds.
The notice is lawful. It is also the week the business loses command of its cash. Most funders know what a Friday notice does to a payroll account. They send it on Friday regardless. Authority gathers the way damp spreads through a warehouse, first a stain and then the whole wall. The starting figure, if memory serves, surprises every owner who opens the ledger. By Friday the business understands the new arrangement, or begins to.
The Business Credit Report Entry
The filing will outlive the dispute. Business reports carry UCC filings alongside judgments and collections, and the filing is distinct from any report of how the debt was repaid. Review ensures the search, the report, and the notice match one another before anyone disputes a line. A signed personal guarantee can put the individual file in play, so counsel examine both files.
Termination of the statement later does not rewrite the history the report already carried. Whether the entry will cost the next facility, and on what terms, is a question no report answers in advance.
Failed Debits and the Return Code Record
Six days after the first notice, the debit record tells its own story. Each failed transfer gets a name: insufficient funds, uncollected funds, and authorization defects. Consumer windows do not transfer to commercial accounts. Whether this holds outside New York is a question I cannot answer from this desk.
There is a peculiar optimism in paying the old account number after the notice arrives. The bank follows the paperwork it has on file. Never mislabel an authorized debit as unauthorized; the code on the return, not the explanation attached to it, is what the next reader believes. Patience with these files, I confess, is not my habit.
Diverted Receipts Treated as Default
A restaurant owner moved card deposits to a new account on a Monday. The agreement treated the diversion as a default and the full balance fell due before Friday. Counsel met the owner the following week.
Every week brings the same question from an owner who moved one deposit: whether a single transfer can be undone before it becomes a default.
One authorized fifteen percent of daily revenue, capped at $2,499 per week, with acceleration of the full uncollected amount plus fees on default. Another treated any encumbrance and any missed payment as a trigger for the entire balance. A redirection discussed with bank staff, even briefly, enters the record that these provisions read. By the second Friday, the arrangement the owner meant to pause has become the arrangement that governs.
Termination Demands and Written Releases
Termination within twenty days of a signed demand binds the secured party of record where the stated conditions are met. Payoff by itself files nothing. Federal orders of 2022 required termination statements among other relief for the affected customers. Commercial paper carries no consumer right to validation, so the settlement file must create in writing what the statute does not supply, and only signed releases protect and preserve the account afterward.
Simply gather the notice, the agreement, and the bank records before the first call. Delancey Street offers a free confidential initial review of MCA and business debt files as a settlement company, while independent counsel handles legal work and ensures no statement to the funder becomes an admission. The week passes either way. The record it leaves is the one every later proceeding reads first.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
