The forum decides where the dispute will be heard. It decides nothing about who is owed what, and confusing those two questions is where most damage begins.

An MCA disagreement can travel to arbitration or to court depending on the papers signed long before the dispute. Each route carries its own calendar, its own cost, and its own consequence for delay.

The Clause That Chooses the Forum

Find the arbitration provision before reading anything else in the demand. The signed agreement, together with any incorporated rules and later amendments, defines which parties and which disputes the clause covers.

Section 2 of the Federal Arbitration Act generally gives effect to covered written arbitration agreements, subject to grounds for revocation of a contract. The text of Section 2 of the Federal Arbitration Act states the federal starting point, though formation, scope, delegation, and waiver remain questions for counsel on the actual papers.

The presence of the word arbitration settles neither the validity of an objection nor the validity of the underlying claim. Those are separate inquiries, and they proceed on separate tracks.

What Was Actually Filed

A collection letter, an arbitration demand, and a court complaint can arrive in similar envelopes and require entirely different responses. Simply sort every paper by sender and date before counsel maps the applicable process. A demand from an unfamiliar organization still requires an answer, since delay only narrows the options the forum leaves open. And resist the urge to treat an unfamiliar letterhead as permission to wait.

Often we see objections raised by letter that the forum never reads. Some agreements contain delegation language directing threshold objections to the arbitrator (a provision whose significance requires assessment by counsel on the full text, since a single paragraph lifted from the remedies section cannot answer who decides enforceability when the surrounding amendments point elsewhere).

What Counsel Needs at the First Conference

The objection to arbitration (which counsel for the funding party will describe as a delay tactic) must still be raised through the channel the forum recognizes, or it may be treated as waived while the merits move forward. Counsel should confirm the forum, calendar the dates, and assign responsibility for watching them while settlement is discussed.

An owner may need to preserve an objection while meeting scheduling requirements. Counsel should explain which act protects the position without accepting a disputed premise. The margin for procedural error is extremely narrow once dates are set, and a claimant may file in a distant forum in order to raise the cost of response.

Keep the envelope where service is disputed. That habit has saved more objections than any single rule of procedure.

The Practical Difference Between Routes

Arbitration and litigation differ in fees, motion practice, discovery, and the routes for reviewing the result. No general claim that one forum runs faster or cheaper survives contact with the actual agreement and the actual forum rules.

You sign the papers in an afternoon and spend a year learning what they required. Ask counsel to estimate the work each route demands, since a modest claim can become extremely consequential when the business must fund a defense while meeting payroll and the existing debits.

Most MCA arbitration clauses were drafted for the funder's convenience and presented as mutual agreement. Gather and preserve every notice, submission, and receipt in one file before answering any communication from the tribunal, even briefly, without advice.

Delancey Street offers a free confidential initial review of the settlement questions that surround an MCA dispute, and an owner can ask whether the matter qualifies for settlement support. The company acts as a settlement company and coordinates representation questions with independent counsel, since it is not a law firm.

Defenses Beyond the Forum

A dispute about where the case will be heard leaves the underlying demand untouched. Arbitration was available to the claimant. What the business owes under the agreement remains disputed, and counsel needs the payment records and the signed terms alongside the procedural papers.

The forum fight cannot become the entire defense, because the claimant still seeks relief under the underlying transaction and the response must address that demand. State objections through the process counsel identifies, since a message sent to a collector may accomplish nothing the forum recognizes.

Whether the tribunal that decides the objection will view delay as strategy or as confusion is a question worth carrying into the first conference. How a given tribunal exercises that discretion is difficult to predict from the rules alone.

Settlement While the Case Moves

A commercial discussion suspends nothing unless the forum orders a pause. Any extension must be confirmed through the process the tribunal recognizes, and the owner should know who may authorize an offer before authority matters. What the owner authorizes, or withholds, before the first conference will shape the settlement range.

A payment agreement should name the underlying claim and the proceeding already begun. Read any default provision for what resumes if an installment fails, and test the schedule against receipts before signing. I drafted one such response during a week of steady rain, which may account for its caution.

The settlement discussion suspends nothing in either forum while it continues.

A dismissal with prejudice ends the dispute. A paused case waits for a missed payment.

Ask the adviser to ensure the engagement letter states what settlement support includes and which legal work requires separate counsel. Counsel should ensure the objection is preserved in the manner the forum requires. Most owners call after the deadline has passed. I understand the impulse to wait.

The durable objective is a resolution whose terms address both the claim and the proceeding used to pursue it, including any defense against enforcement the lending party will contest and the records that may be used against the business at a hearing. That record follows the business into every later financing conversation, whether this account of forum practice holds outside the contracts reviewed here or not.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
