Lump Sum vs. Structured Resolution
Trading Price Against Feasibility

No verified premium prices extra time in MCA settlements, so the owner should compute the spread from the actual offers, test each schedule against operating cash, and secure matching tax and release paperwork.

The cheaper settlement can leave the business with the more expensive problem.

An owner comparing a lump payment against installments needs more than the difference between two totals, because the schedule, the release conditions, and the ability to perform without borrowing again each belong in the comparison. A larger nominal settlement may still be affordable, while a smaller one can exhaust the account operations require the following week. The cheaper settlement saved the business. The cheaper settlement closed it.

Price and feasibility pull in opposite directions through every paragraph below, and the honest answer honors both pulls rather than pretending they align.

The Price of Certainty

A lump payment offers the funder speed and finality, two commodities no installment schedule can match, and funders routinely accept a lower total in exchange for money that arrives at once without further administration. Certainty has a price.

The concession must still be captured in writing: the scope of the release, the application of the payment, the treatment of any guarantor, and the disposition of collateral filings.

Before promising immediacy, the owner should confirm the funds exist without stripping the operating account. The register still must meet payroll after the wire leaves. That is where affordable agreements fail.

The Feasibility of Installments

A structured settlement spreads the obligation across months the business can plausibly fund, and feasibility of that kind is worth real money, because a promise the account can keep outperforms a promise it cannot, even where the feasible promise costs more on paper, even where the funder extracts a premium for patience, even where counsel advises that the total embarrasses the discount forgone.

The risk travels with the duration. A missed installment can revive the full claimed balance under the contract's default terms, collapsing months of performance into a single breach. The cure provisions, where any exist, deserve the closest reading in the file, and counsel should ensure the cure procedure is identified before the schedule is signed.

Opposing counsel in these cases tends to open the call by asking for the lump figure first, a habit worth anticipating, and the opening number usually assumes cash the business does not hold. In most cases we have seen, though the sample is not scientific, the first structured counter is rejected before the funder has examined the cash flow behind it.

The payment plan sat on the books the way a spare tire sits in a trunk: reassuring until the road turns. The owner promised the schedule, though the cash flow never agreed.

The Arithmetic on Your Desk

Extra time has no universal price. A funder may accept installments at the same total, require a larger amount, or decline a schedule entirely, so any premium belongs to the particular proposals rather than to the market.

Consider a hypothetical choice between a $60,000 payment now and $75,000 paid through 24 equal monthly installments of $3,125. Choosing the schedule would add $15,000 to the nominal settlement, a 25 percent increase over the immediate payment. A present value analysis would complicate the comparison, though the complication rarely changes the decision. The figures illustrate arithmetic alone, not customary terms, and they state nothing about interest rates or the time value of money.

For an actual comparison, write each offer's total beside its due dates, reserving operating expenses rather than treating every projected deposit as settlement money.

Tax Paper and Collateral Paper

Under the IRS guidance on canceled debt, an amount forgiven for less than the balance owed is generally taxable income, with exceptions and exclusions, including bankruptcy and insolvency subject to their requirements, that must be tested against the facts (the exclusions carry requirements this article will not summarize, and entity classification changes the answer, so I am less certain about the tax treatment than this section might suggest). A creditor files an information return showing the amount and date of cancellation, and any error in that return should be verified with the creditor, though the duty to report the correct amount remains regardless of the paperwork.

Which of the exclusions, if any, fits the business is a question the settlement table cannot answer.

A structured settlement needs the same written protections as a lump agreement, including the trigger for clearing any financing statement. Under the New York rules for termination statements, a secured party must generally act within 20 days after a signed debtor demand when the stated conditions are met, though payoff alone does not authorize every self filed remedy, and termination of a filing is not identical to forgiveness of the debt or release of a guarantor. Counsel should confirm the governing law before anyone promises a filing will disappear.

Structured Review With Delancey Street

Pay the smaller amount you can repeat before promising the larger amount you cannot.

Rarely does a structured plan fail in its final month. Failure arrives early, when the schedule meets the season the forecast ignored. Funders price patience as a confession that immediate collection would fail.

I have recommended the larger number more than once. I remember each file.

Delancey Street offers a free confidential initial review of MCA settlement structure questions. It is a settlement company rather than a law firm, and legal matters are handled by independently licensed counsel, whether counsel the owner retains or counsel the company coordinates.

We compare the offers on the desk, test each schedule against the operating account, and prepare documentation that addresses the release, the payment application, and the consequences of a missed installment. Steps the owner takes, or does not take, before signing will decide whether the agreement survives its first difficult month, so resist the urge to accept a schedule built on peak receipts, and allow no assurance about flexibility, even casually given, to substitute for written cure terms. Counsel should ensure the default provisions are understood before signing, with the calendar reflecting every due date against the funds behind it.

Simply bring both proposals with a frank statement of monthly cash. An extremely honest forecast serves the owner better than an optimistic one, and no settlement performs without an extremely literal calendar behind it.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
