Unique Funding Solutions Resolution
8 Factors That Determine the Outcome
What a funder accepts reflects the file more than the phone manner. Eight factors the owner can document before negotiating determine the range of plausible outcomes.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
No funder publishes the price of peace. What Unique Funding Solutions accepts on an account depends on eight factors the owner can assemble before the first negotiation call, and the offer that emerges reflects the file more than the phone manner.
Each factor below changes the range of plausible outcomes. None of them can be established by assertion. The owner who documents all eight negotiates from a ledger, while the owner who documents two negotiates from hope.
The Agreement Form
The company presents small business financing with rapid decisions and intermediary relationships on its public website, and the same pages offer syndication to outside participants. That marketing identifies a structure. It does not identify this account, and whether any participant holds veto power over a settlement is a question the marketing never reaches.
Pull the executed agreement before characterizing anything. A revenue purchase with reconciliation rights negotiates on different terms than a term obligation with a fixed schedule, and the caption alone cannot tell the owner which one was signed. Counsel should ensure the form is established from the papers, since every factor that follows assumes it.
The Reconciliation History
In LG Funding v. United Senior Properties, a New York appellate court weighed reconciliation behavior, finite term, and bankruptcy recourse when testing whether repayment was absolute. The holding governs New York accounts, and its factors travel only as questions elsewhere. The answers still belong in the file.
Where receipts declined, gather the requests for adjustment and the responses received, with dates. A funder who ignored its own process negotiates from a weaker seat than one who followed it, though the seat is weaker by degree rather than by forfeit. There are exceptions, though in practice they tend to confirm the posture rather than reverse it.
The Payoff Arithmetic
Demand an accounting that states the funded amount, the sums collected to date, the charges added along the way, the balance now claimed, and the daily figure by which that balance continues to move, because a settlement percentage applied to an unverified balance is arithmetic performed on rumor.
The contract ran to fourteen pages, most of them concerned with remedies rather than funding, and the payoff figure lives in the shortest paragraph of the longest section. Match each debit against bank records before conceding the total. Something like forty percent of these disputes, in our experience, turn on a balance figure neither side has reconciled, though the proportion is impression rather than data.
The Guaranty and Its Names
A March 2022 federal securities filing once described two MCA agreements involving similarly named entities as separate obligations with separate guaranties, which supplies a standing warning against collapsing related names into one debt. Read the guaranty pages for who signed, in what capacity, and whether the obligation survives a business closure.
A personal guaranty widens the negotiation to household assets and credit. Its absence narrows what the funder can reach to the business alone. Either condition should be established from signatures rather than assumed from the caption.
The Claims Ahead in Line
Other creditors with security interests or judgments stand ahead of an unsecured funder at any distribution. A landlord with a judgment, a bank with a blanket lien, and a tax authority with a statutory priority each reduce what remains for negotiation. List them before offering anything. An offer that ignores them promises funds that are already spoken for.
The Stage of Collection
A 2022 federal enforcement settlement barred named MCA providers from the industry after abusive collection findings, which concerns those parties and no one else. The relevance here is narrower: collection posture affects price, and posture changes with time.
An account in routine servicing settles on different logic than one with counsel retained, a suit filed, or judgment entered. Each step the funder takes costs the funder money, and each step also hardens the position the owner must move. A filed suit sits on a negotiation the way a lien sits on title: quiet, and impossible to convey around. Early negotiation preserves options that litigation consumes, which is why delay functions as a decision with a price.
What would the posture support if the next filing happened tomorrow? That question sets the calendar for the offer.
The Tax Cost of Forgiveness
Canceled debt can count as taxable income, with exceptions for bankruptcy and insolvency subject to requirements, under IRS guidance on canceled debt. A discount that ignores the tax bill overstates its own value, and entity structure changes the analysis further.
Model the after tax result before accepting the headline figure. The owner should ensure a tax adviser reviews the consequences on the actual entity facts, since a settlement that creates an unpayable April liability has exchanged one creditor for another.
The Paper That Closes the Account
A settlement, if that is the accurate term for what the parties reached, must name the released claims, the released parties, the amounts, the dates, and the funder authority behind the signature. Oral assurances dissolve at the first staffing change. Require the release in writing before funds move, and confirm the writing binds the entity that owns the rights it surrenders.
Delancey Street offers a free confidential initial review where these eight factors can be organized into a negotiation posture, and its settlement services address the creditor discussions while releases receive counsel review before execution. The company is not a law firm and coordinates legal matters with independently licensed counsel. Simply bring the agreement, the statements, and the correspondence file to the first conversation.
Settlements close files. They also teach funders what an owner accepts, and those terms will be recalled when the next account seeks its own. Negotiate this resolution as if its terms will travel. They do.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
