Debt Resolution and Litigation Defense
Factors Behind Fighting or Dealing

Defense and settlement run on concurrent tracks sharing one calendar: counsel tests liability and procedure while the financial assessment prices what the business can perform, and neither track pauses for the other.

Fighting and dealing are not opposites. They are concurrent tracks.

A business can defend an MCA lawsuit while pursuing a settlement, and the owner who treats negotiation as surrender, or who assumes that a plausible defense removes the need to budget for an agreement, misunderstands both efforts at once.

Pleading and Default Risk

The calendar does not pause for negotiation. Once papers arrive, counsel must identify the forum, the named defendants, and the service facts, because the response clock runs from the papers rather than from the progress of any telephone discussion.

The summons, if we are being precise, is a timetable rather than an argument. The New York default judgment rule permits judgment where a defendant has failed to appear or plead, with claims for a sum certain traveling to the clerk with the requisite proof and stale cases facing dismissal as abandoned when a year passes without proceedings (the papers control, though service disputes can blur what was received and when).

Calendars, in my experience, defeat more defenses than judges do. The business needs a person responsible for the legal calendar and an engagement letter naming who owns the response, since a representative seeking a discount never becomes litigation counsel by talking to the creditor attorney.

Characterization and Forum Defenses

In LG Funding LLC v United Senior Properties of Olathe, LLC, a New York appellate court tested an MCA agreement for whether repayment was absolute, weighing the reconciliation provision, the finite term, and recourse in bankruptcy, so far as the reported decisions show. The first generation of MCA paper left reconciliation to implication, which is why current clauses receive the attention they do.

A useful defense assessment separates an incorrect balance from a challenge to enforceability and a service objection from a dispute about performance, because each needs different evidence and may produce a different kind of relief, and a corrected accounting may create room for settlement even where the larger characterization fight stays uncertain.

The agreement may also contain an arbitration provision (which the funder bar will describe as efficient and which defense counsel will read with narrower eyes). The federal arbitration baseline makes a written provision in a transaction involving commerce valid, irrevocable, and enforceable, save on grounds that would revoke any contract. Formation, scope, and waiver still belong to counsel, and a clause never proves the whole advance enforceable by itself.

A dismissal motion tests the complaint against documentary defenses, jurisdictional objections, and failure to state a cause of action under the New York dismissal motion rule. Motion practice of this kind turns on the specific contract and the specific procedure, which is why one funder loss never becomes every owner victory. Payment records deserve their own review beside the motions. Credits omitted during a disputed period, amounts collected after the demand, and gaps between the account history and the bank statements can narrow a balance without touching enforceability, and an owner who organizes those records by date gives counsel material that a bare denial never supplies.

The Settlement Track

While counsel tests liability, the financial assessment determines what resolution the business can perform. Delancey Street can assess MCA settlement options from the account history, the available cash, and the operating needs. It is a settlement company rather than the law firm conducting the defense.

A defense argues about the past. A settlement buys the future. The business needs both verbs.

The proposed payment must leave the operation alive. Ask that the offer reflect verified funds on a schedule the business can support, and counsel should ensure the draft introduces no unwanted admissions.

Some complaints are filed to be answered. Others are filed to be paid. A first discussion can produce the financial picture needed to evaluate a proposal without requiring the owner to abandon a defense, and no reduction should be assumed before terms are agreed.

Defense and Settlement Costs

But the defense also sends invoices. Legal fees are one part of the budget. The business also spends time gathering records, participating in proceedings, and responding to discovery, so obtain the attorney proposed scope and billing terms rather than relying on any generic estimate for MCA cases.

Litigation defends the business. It also bills it. A settlement carries its own costs in the amount paid, the provider charges, and the consequences of the schedule, with new financing used to fund the agreement adding another set of obligations. Compare the position after the transaction rather than the discount displayed at the beginning, an eerie discipline in a process built on optimism.

The decision can change as evidence develops. A defense that looked substantial at intake may narrow after the records arrive, just as a creditor claim may prove less clear than its demand suggested. Whether any of that spending moves the creditor is a question no honest estimate can answer in advance. Establish when the advisers will reassess the alternatives. Keep the invoices.

The Paper That Ends It

You answer the papers and then you decide what the answer was for.

A negotiated result should name the obligations released, the parties protected, and the treatment of pending process. Where a judgment exists, the New York satisfaction piece rule requires the satisfied creditor to execute and file an acknowledged satisfaction piece, with a copy to the debtor, and the one year abandonment rule for dormant cases exists in order to clear dockets no one pursues. Counsel will test service, probe the remittance history, and frame a position that addresses the forum, the timing, and the documents as one problem.

Rarely does a single tactic decide one of these disputes. Resist the urge to treat a strong defense as a reason to stop budgeting. Do not discuss the merits with anyone on the other side, even briefly, without counsel present. Simply keep both tracks on the same calendar, and protect and preserve every stipulation, receipt, and filing until the release matches the claim.

A settlement review with Delancey Street can supply one side of the comparison while independent counsel supplies the other. The choice was never between courage and surrender. It was always about what was owed and what the business can survive.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
