What Happens When Monthly Revenue Drops Below the Model in Revenue Based Financing
A revenue decline tests the payment provision rather than replacing it. This article separates estimates from obligations and explains the adjustment record a request requires.

A forecast explains an offer. It does not rewrite the payment provision.
When monthly revenue falls below the model used at funding, the owner needs the definition of the collection amount, the procedure for changing it, and the evidence the agreement demands. Hope is not a remedy. The contract may adjust collections, require a request with records, or impose an obligation the projection never mentioned. Each possibility calls for a different response.
Underwriting Estimate and Contract Obligation
The revenue figure used to assess an application can explain the size of an offer without establishing what the business must pay after a decline. Locate the provision defining the collection amount and any procedure for changing it. Keep the model, the offer, and the executed terms together so another reviewer can see which figures were estimates and which terms became obligations.
A provider may describe its product in revenue based language. Wayflyer repayment guidance presents variable repayment as a percentage of earned revenue alongside a fixed repayment option collected on a set schedule, with the available method set at the offer stage. That example illustrates the category. It does not establish the payment mechanism of every product that uses similar words.
If an amendment was signed later, retain it beside the original. The business may have accepted revised terms or an additional undertaking. There are exceptions, though in practice they tend to confirm the need to read the document in effect rather than the forecast remembered from the application.
What Declined and How the Agreement Measures It
Distinguish sales from collected receipts, because a business may book an order in one month and receive the money later, and the payment analysis should use the definition stated in the agreement with timing differences identified, while ordinary customer collections are separated from transfers, refunds, and money supplied by an owner, since a bank deposit can lift the balance without representing the revenue the model intended to measure, and the comparison should cover the period relevant to the contract rather than the week that felt worst.
Ask the accountant to examine costs alongside receipts. Revenue can decline while margins improve, or remain stable while the amount available after expenses falls. A request for revised terms should describe the actual pressure rather than assume the top line answers every question.
The business should distinguish a temporary delay from a continuing reduction in demand. An unpaid invoice expected to arrive may support a different proposal from a sustained loss of customers. Mark estimates as estimates and preserve the basis used. You sign the contract and then you discover what the contract means.
Adjustment Provisions and Reconciliation Factors
Locate any reconciliation or adjustment provision and identify the records required to invoke it. Preserve the request, the attachments, and the response. The owner should know whether the process has been completed or whether additional information remains outstanding.
In LG Funding v United Senior Properties of Olathe, a New York appellate court examined reconciliation, finite duration, and bankruptcy recourse when asking whether repayment was absolute or contingent. The opinion shows why the presence or absence of an adjustment mechanism matters. It does not grant every borrower the payment level preferred in a weak month.
A weak month tests the contract. It does not suspend it.
Before changing payment arrangements, before treating a shortfall as authorization to stop collections, obtain advice about the actual account. Counsel should ensure the review addresses which change requires consent and how any accepted modification will be documented. The provisions are written in order to protect the funder collection stream, not to excuse the month the model missed. An extremely compelling account of hardship cannot substitute for the records the agreement demands, and this is the point owners most often misunderstand.
The Month the Model No Longer Describes
A useful forecast shows what the company can support after essential expenses and other obligations. Build it from current books rather than from the underwriting model. The original projection may explain why funding was offered. The present records determine what the owner can propose now.
Prepare a version in which recovery arrives late. Show what happens if customers pay after the planned dates or if an interruption extends beyond the anticipated reopening. The owner should understand whether one late receipt recreates the shortfall. The sample here is not scientific, though the pattern recurs often enough to deserve a line in every plan.
Steps owners take, or do not take, when the first weak month appears will shape the options available in the third. Often we see the request for relief arrive after reserves are gone. Earlier is not always possible. It is almost always less expensive. Most funder portals acknowledge receipt with care and decide with silence. The asymmetry serves the party that already holds the funds, and any representation about revenue may later be used against the business. That outlandish stack of paper on the desk is the case. A weak forecast sits in the file the way dust sits on a ledger: unnoticed until someone needs the numbers. An extremely thin file invites an extremely slow answer, so resist the urge to file before the records are assembled.
Revised Cash Plan and Outside Review
Delancey Street offers a free confidential initial review of business debt concerns, with emphasis on MCA obligations and related private debt. The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm. Simply bring the agreement and the current ledger so the adviser can ensure the proposal addresses the provision that governs collection. I have yet to see a forecast substitute for that page.
Keep the provider commercial discussion separate from the legal engagement. We review the request record, identify the outstanding items, and construct the follow up. Update and maintain the withdrawal record while any request is pending. The file stays open.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
