What Happens When the IRS Refund Never Comes
ERC Advance Loans

  4. Planning Without the Refund

The advance survives the refund. Owners who financed operations against an expected Employee Retention Credit discover the order of events only after the Internal Revenue Service declines to pay, while the financing company continues to collect as if nothing changed.

Money put to use cannot be recalled, and that fact supplies the financing company with its advantage. The credit Congress created for wages paid after March 12 2020 and before January 1 2022 came with eligibility tests that differ by period, suspension orders or receipt declines depending on the quarter, and few promoters who estimated the refund explained which test the business met.

The owner therefore faces two records that answer different questions.

IRS Review of the Underlying Claim

The IRS guidance on the Employee Retention Credit states the agency subjects returns that claim the credit to close review and urges taxpayers to resolve incorrect claims without delay. Eligibility turns on suspension orders, receipt declines, or recovery startup status in the relevant quarters, and wages reported for Paycheck Protection Program forgiveness cannot support the credit for the same period.

The withdrawal window is extremely narrow. Employers that submitted claims the law does not support can withdraw them where the credit has not been paid or where a check arrived but remains uncashed and undeposited. The withdrawal route closes once the money has entered the account, a boundary the owner should confirm with a tax professional before assuming relief remains available.

The claim was, if precision matters, never money in the account. It was an application with a promoter estimate attached.

A disallowance arrives as a formal notice. The recipient who disagrees may seek administrative appeal, review in the Independent Office of Appeals, or suit, and each path carries its own deadline measured from the notice date. The notice deserves a calendar entry on the day it arrives.

Millions of valid credits paid without incident. The business file sits in a different queue.

Repayment Terms in the Financing Agreement

Before the first collection call, before counsel has seen the file, the signed agreement defines default, cure, and remedy. Labels vary. Refund advance, tax credit loan, purchase of future receipts: counsel must read past the label to the operative promise, a question of timing, of eligibility, and whether the agreement ever tied repayment to the refund at all.

Often we see guarantee pages signed without review, and the signature pages decide more than the term sheet ever disclosed, sometimes in extremely broad language. The provisions address a smaller refund, a delayed refund, a disallowed claim, and an alleged misrepresentation, and they do so in language that treats each event as a separate trigger with its own consequence.

In a hypothetical file, a fourteen page contract heavy with remedies converts a delayed refund into a present default. The financing company (which in some files acquired the position from a promoter that revised its estimate after funding or left the space) measures performance by the payment schedule rather than by the status of the agency queue.

Promoter assurances deserve preservation rather than reliance. The agency counts certain pitches among its warning signs.

There is nothing to lose. Every business qualifies.

A file containing that sentence beside a signed guarantee tells counsel more than either document alone. This is where delay does its damage.

Steps the owner takes, or does not take, in the weeks after the notice arrives decide whether the financing dispute remains negotiable. Any statement to the financing company about eligibility, even casually, can narrow later options, so the owner should consult and retain a tax professional for the claim while counsel reviews and analyzes the agreement. We ensure the tax file and the financing file receive separate attention from the professionals suited to each.

Whether the court that sees this file will treat the transaction as a loan or a purchase is a question worth considering.

Promoter Pressure and Refund Anticipation Loans

The agency warns against unsolicited contact, eligibility verdicts delivered in minutes, large fees demanded before filing, and charges computed as a share of the expected refund. Pressure to accept a refund anticipation loan belongs on the same register, since the promoter pressed it in order to convert a contingent credit into immediate fees.

The file should hold every advertisement, email, engagement letter, and fee agreement the promoter sent, with the names of the persons who gave the eligibility advice.

The peculiar arithmetic of the promoter treated an estimate as a deposit. You sign the estimate and then you learn what the estimate was worth.

Promoters who priced their fees as a share of the refund understood the incentive. They relied on owners not to notice.

Planning Without the Refund

Survival requires a forecast that excludes the refund. Ordinary collected revenue, necessary expense, and the continuing financing obligation belong in one view, with any later receipt treated as contingent.

Rarely does a financing company pause collection for a tax appeal it did not join. No advance agreement this writer has seen forgives the balance because the agency said no.

A Delancey Street review of business debt can help where the advance sits beside merchant cash advance balances or other eligible obligations. Delancey Street is a debt settlement company, not a law firm, and the owner should confirm whether the specific advance falls within its service scope while independent counsel addresses the tax position and the financing agreement. The objective is to ensure no payment is promised against money the agency has not approved.

The forecast should reflect funds the business can support. Contingent receipts belong in the offer as contingent. Simply keep the payment confirmations with the signed terms. Resist the urge to promise payment upon the next expected processing date.

We review the agreement, identify the parties, and construct a record that separates the tax claim from the financing demand across every notice the file contains. Receivables whose timing the owner cannot verify should never carry the weight of scheduled debt, and that discipline outlasts any single credit and decides whether the business survives a denied refund.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
