Venue decides the confession clause before the merits are reached, and counsel attacks the county named in the clause as a matter of course.

Illinois gives a restructuring business seven rules that price every collection threat, and each rule answers with a number or a venue.

Secured Transactions and the Threshold Question

The lien search comes first, and article 9 of chapter 810 of the Illinois Compiled Statutes governs what the search means.

The published Illinois secured transactions article governs creation, perfection, priority, and enforcement of security interests in personal property, receivables, and fixtures. The threshold question in every workout runs through this article: whether the funder holds an enforceable lien with rights against account debtors or only an unsecured contract claim. I am less certain about the priority fight among competing filings than the opening of this section suggests.

Counsel should collect and copy every filing and notice before answering the demand. That decides which threats carry weight.

Deception Unlawful Before It Succeeds

Deception is unlawful before it succeeds.

The published Illinois deception ban declares unfair methods of competition and unfair or deceptive acts unlawful in any trade or commerce, including deception, fraud, false pretense, false promise, misrepresentation, and concealment of material fact with intent that others rely, whether or not anyone was actually misled, with courts construing the section with regard to federal interpretations of the Federal Trade Commission Act. A collector misstates the balance in order to manufacture urgency, and this section answers that manufacturing with a counterclaim.

No victim need have believed the statement for the statement to violate the act.

The statement was false. No one needed to believe it.

The funder audited the borrower at underwriting and has not audited itself since.

The Nine Percent Baseline and Its Carve Outs

Nine percent is the baseline the Interest Act prints for written contracts on money loaned or due.

The published Illinois baseline rate provision then yields ground on two sides: banks and savings institutions may agree with borrowers on any rate, and any rate is lawful for loans to corporations and other listed commercial transactions, subject to stated exceptions. Little in the Interest Act helps the individual owner once the funder invokes the corporate and commercial carve outs, so the negotiation drifts from the rate itself to the character of the borrower and the transaction, and from arithmetic to classification, where the funder holds the prepared exhibits and the owner holds the signature page.

Counsel frames the usury fight around those exhibits before quoting any baseline. What the owner signs, or refuses to sign, after default matters more than anything signed before.

The Exemption Schedule of a Working Life

The exemption schedule reads like an inventory of a working life.

The published Illinois personal property exemptions shield necessary apparel and family effects, up to four thousand dollars of other property equity, up to two thousand four hundred dollars in one motor vehicle, up to one thousand five hundred dollars in trade implements and professional books, prescribed health aids, qualifying life insurance and annuity values, and rights to support, disability, veterans, and capped injury recoveries. Other shields exist, though enumeration here would blunt the point. What does the schedule shelter. The instruments of the next paycheck.

The Wage Deduction Ceiling

In the first pay period after a deduction order issues, the math matters more than the threat.

The published Illinois wage deduction ceiling limits collection from any work week to the lesser of fifteen percent of gross pay or the amount by which disposable earnings exceed forty five times the applicable minimum wage, with disposable earnings defined net of legally required withholding. Counsel runs that math against the pay records where the pay records support it, before conceding any deduction.

Counsel runs the math before conceding the deduction.

Confession Clauses Live or Die by County

A confession clause lives or dies by the county named in it.

The published Illinois confession limits permit confession for a bona fide debt in person or through an authorized attorney, then void the judgment unless application was made in the county of execution, a residence of the defendant, or where property of the defendant sits. Powers to confess given after late September of 1979 in consumer transactions are invalid, with judgments on such powers unenforceable. The confession clause (which counsel for funders will describe as a bargained term) transfers all procedural posture to the lending party before the first payment is missed, and the venue attack returns that posture for examination. Only the county of filing decides whether the clause lives.

The clause is a lopsided bargain dressed as consent. I have yet to see a consumer confession power survive a serious reading of the 1979 cutoff, though such powers continue to appear in commercial paper as routine terms.

Receivership Bonds and the Closing Posture

Receivership puts a stranger in charge of the business, at the request of the creditor and under bond.

The published Illinois receivership provisions require the applicant to post bond covering damages and attorney fees if the appointment is set aside, waivable for good cause after notice and hearing, permit the possessor to retain the property on bond instead, and permit suits against receivers for acts in carrying on the business without prior leave. The receiver operates the business the way a substitute teacher operates a classroom: with full authority and no expectation of return. Three contested receiverships in recent memory turned on the bond alone, and memory is all that observation claims.

Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street account of its settlement work describes a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure no admission reaches the other side without counsel present, and to ensure the lien search, the exemption inventory and the venue analysis are protected and preserved together with the bond calculation for the motion.

Resist the urge to explain the default to the collector, even briefly, before counsel weighs what the explanation concedes. Simply demand the venue facts before answering the merits.

A judgment entered against the owner ends the argument about liability. It begins the argument about collection, and consultation is the beginning of that argument.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
