Business Debt Restructuring in Louisiana
7 Principles That Control the Restructuring (2026)

A Louisiana marine services company that settled advances for half their face value meets seven principles controlling the restructuring: exclusion math, stay limits, SBA boundaries, buyer diligence, practiced reconciliation, orders versus allegations, and the forum clause.

Forgiveness is a tax event before it is a relief. A Louisiana marine services company that settled two advances for half their face value met the second half of the transaction the following April.

1. Canceled Debt Reconsidered: The Exclusions

IRS guidance on canceled debt states the general inclusion rule first and buries the qualifications where tired readers stop. Bankruptcy and insolvency exclusions exist, subject to requirements the file must actually meet, and entity classification decides which of them the taxpayer may claim.

The settlement saved, if we are being candid, less than the term sheet advertised once the excluded amount shrank to what the balance sheet could support.

I am less certain about the exclusion math than the preceding paragraph might suggest, since insolvency is measured the day before cancellation and the records of that day are often thin, so counsel should ensure the measurement date is fixed before the return is filed.

In the year of forgiveness the exclusion turned on the balance sheet, not the handshake.

2. The Stay and the Guarantor It Leaves Out

The Chapter 11 materials describe reorganization with the automatic stay as its general incident, exceptions noted. A court supervised stay protects the debtor that filed, while the guarantor who signed beside the company often discovers the stay stops at the corporate border.

The filing freezes the case against the company. Collection against the personal guarantee continues in the next room.

Guarantors need their own advice before the company files anything.

3. SBA Compromise and the EIDL Boundary

The Form 1150 offer in compromise materials require statements for each obligor. Compromise of an SBA obligation follows liquidation of the collateral, not sentiment about the business, and the loan center distinguishes 7(a), Express, and 504 workflows, which means the program name on the note selects the procedure. Only after liquidation is complete and the deficiency fixed does compromise enter the discussion.

Two programs, three forms, and one servicing office decided the fate of a file that the owner had described as a single loan.

COVID era EIDL balances sit outside forgiveness entirely, and charge off marks a change of collector rather than an act of mercy.

Delancey Street is a settlement company for MCA indebtedness offering a free confidential initial review, and legal questions arising in the review go to independently licensed counsel, not to the company. Owners reach it when the federal compromise route does not fit the paper; that mismatch is where a private review earns its keep.

4. What a Buyer Inherits

The New York proceeds statute is cited here for its statement of the general Article 9 rule: the interest continues in the collateral despite disposition and attaches to identifiable proceeds, with exceptions that reward the diligent and punish the hurried, since every ambiguity in the file is later read against the buyer who failed to ask.

The buyer who pays for the boats, the receivables, and the goodwill of the yard without demanding payoff letters the seller withheld in order to close before the search returned, filed terminations, and releases that name the guarantors will own the assets by noon and the liens by evening, which is an extremely fast education in a slow area of law.

Every August the Gulf reminds the state that inventory can vanish in a night, which is why buyers of coastal businesses read the lien search before the profit statement, or should.

Diligence means reading the filing (and the legal description inside it, which sometimes covers equipment the seller no longer owns and sometimes omits the equipment the buyer actually wants, a discrepancy worth an afternoon) before the price is final.

5. Reconciliation as Practiced, Not as Printed

Counsel reads the bank statements before the brief. The LG Funding factors treat reconciliation as evidence rather than as a slogan, and debits that never adjusted tell the story the clause declined to tell.

Pull and keep twelve weeks of statements, marking every debit that ignored a slow sales period.

Whether twelve weeks suffices in a given file is a matter of counsel judgment rather than of rule.

Reconciliation invoked late, or never invoked at all, reads differently to a court than reconciliation denied.

6. Orders Versus Allegations

The 2022 FTC action against an MCA provider and its owner ended in an industry ban. Charges describe what a regulator believed, while orders describe what a respondent accepted or what a court imposed, which proves the named conduct was addressed and proves nothing about the next funder in the stack, and that asymmetry is the point.

The ban named two respondents. The market kept its roster.

7. The Forum Clause

Section 2 of the Federal Arbitration Act enforces covered agreements subject to generally applicable revocation grounds. Written arbitration provisions carry federal favor, while formation, scope, delegation, and waiver remain live questions for counsel.

Funders draft these clauses with extremely broad strokes. They prefer tribunals they have visited before.

Whether efficiency for the drafter equals fairness to the signer is a question the file leaves open.

There is no mercy in the forum clause, only procedure, so counsel should ensure objections to scope and waiver are raised before the first filing answers the question of where.

What a Louisiana Owner Signs Next

I have watched owners sign settlement papers the way travelers sign customs forms: quickly, and with more confidence than knowledge. I understand the hurry.

Federal tax law, federal procedure, and general commercial principles carry most of this restructuring, while Louisiana exemptions, courts, and limitation periods belong to Louisiana counsel. Resist the urge to sign the next paper before that counsel has measured it against the file.

A signature ends the negotiation only when the release, the tax treatment, and the forum agree that it does, and the owner who verifies all three owns the outcome.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
