Is a Confession of Judgment Enforceable in Pennsylvania? 4 Standards

Pennsylvania confines confession practice to commercial paper, enters judgment by detailed complaint, requires thirty days of pre execution notice, and grants relief only through a single petition for strike or opening.

A Pennsylvania confession of judgment enters without a hearing and survives only through procedure, so the procedure repays the attention most signers never gave the paper.

The Commercial Boundary

The scope rule of chapter 2950 defines the covered action as a proceeding to enter judgment by confession for money on an authorizing instrument, while expressly excluding instruments executed by a natural person in connection with a consumer credit transaction, meaning credit extended for money, property, or services primarily for personal, family, or household purposes. A guaranty tied to a consumer purpose obligation cannot support a confessed judgment, and any consumer paper confession falls outside the chapter entirely.

The guaranty question follows the purpose of the underlying obligation rather than the sophistication of the signer, then follows the signatures to confirm every party stands on the commercial side of the line, and somewhere in that two part inquiry the character of the whole enforcement effort is decided before any defense on the merits is ever reached.

The chapter is broad. Its doorway is narrow.

The exclusion is discovered, as a rule, after entry rather than before.

How Judgment Enters

The action starts with the filing of a Rule 2952 complaint with the prothonotary, and two situations require prior permission of the court after notice: the instrument is more than twenty years old, or the original or a photographic reproduction showing the signature of the defendant is not attached to the complaint (the docket reveals no proportions, so frequency claims would be invention).

The complaint must contain ten elements: the names and last known addresses of the parties, the signed instrument or an explanation of its absence, an averment that judgment is not being confessed against a natural person in a consumer credit transaction, any assignment, whether judgment was previously entered on the instrument and where, default or condition precedent averments where required, an itemized computation of the amount due with interest and instrument authorized attorney fees where allowed, a demand for judgment as the warrant authorizes, a leave application for stale or instrument less filings, and signature with verification. No notice to defend is included, and that omission is the point of the device, since no responsive pleading is required and defects in these averments supply the classic strike grounds that the entry rule of 2951 and the contents rule of 2952 together create.

Lenders who treat the complaint as a clerical form invite the strike they assume no one will file.

Counsel checks the complaint before the confession.

The Thirty Day Warning

Before executing, the creditor must serve written notice substantially in the form of Rule 2964 at least thirty days before filing the praecipe for the writ of execution, through the sheriff or a competent adult, through the mail of the plaintiff, or through special court order where those methods fail, with return of service duly recorded and the execution praecipe certifying that notice was given.

Thirty days after proper notice, the warning period closes and the debtor petition clock, which runs from this same notice, is already running beside it. The notice ticks like a meter beside a parked car, indifferent to whether the driver sees it.

There are substitutions among the companion notice rules, though the details belong to counsel rather than to this article.

The notice should be kept with the entry papers.

Striking and Opening the Judgment

Relief runs by petition, with all strike and open grounds brought in a single petition except the involuntary waiver ground, which is reserved for stay requests and companion tracks, and venue lies in the county of entry, in any county of transfer, or in any county where the sheriff holds a writ of execution. A petition filed after notice is due within thirty days absent compelling excuse, the court issues a rule to show cause upon prima facie grounds and may stay proceedings, while unpleaded defenses are waived, the court decides on petition, answer, and evidence, and the judgment opens where the evidence would require submitting issues to a jury, while liens and levies survive pending decision.

Never does the chapter invite a merits inquiry at entry, reserving every substantive question for the petition stage, where the non consumer averment from the complaint returns for testing and where the affidavit supporting the motion must carry the weight the entry papers never had to bear.

Whether any excuse short of non receipt qualifies as compelling is a question the rule leaves to the motion court.

Once opened in whole or in part, the triable issues freeze to the complaint plus the petition, the answer, and the opening order, with no further pleadings permitted, and the jury trial right on the opened judgment is deemed waived unless a party files and serves a written jury demand within twenty days after the opening order, a deadline counsel must calendar immediately upon winning opening.

An unpleaded defense is a waived defense.

Procedure admitted the judgment without a hearing, and procedure alone removes it. The paperwork burden is considerable, and frankly it should be, since speed at entry is purchased with exactness at challenge.

I am less certain how arbitration provisions interact with the confession track, and this article does not reach that question. Steps the owner takes, or does not take, in the thirty days after notice will shape the petition, Resist the urge to discuss the debt with the creditor, even casually, in order to keep the petition grounds intact. Simply assemble and preserve the instrument, the complaint, and the notice for the first meeting.

Delancey Street offers a free confidential initial review of business debt concerns, and a merchant facing a Pennsylvania confession can ask whether the account qualifies for settlement assistance. The company operates as a settlement company and refers legal questions to independent counsel, as it is not a law firm. We review and analyze the entry papers, test the consumer boundary and the notice history, and construct a response that addresses both the judgment and the execution built upon it, and the objective is to ensure no ground is omitted from the single petition before counsel measures the affidavit and the computation of amount due, while counsel ensures the jury demand, where wanted, is served within its extremely short window.

The crooked path from complaint to execution straightens only under counsel review. The device endures because authorization signed at funding becomes judgment entered without suit, and that transformation deserves the extremely exacting scrutiny the petition rules were written to provide.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
