Is My Personal Guarantee Enforceable? 3 Defenses That Actually Work

A signed guaranty is real, but enforcement must cross three gates: an enforceable underlying contract, paper procured and enforced without fraud, and judgment procedures strictly followed.

  1. 1. Defeat the Contract Beneath the Guaranty
  2. 2. Expose Fraud in the Procurement or the Enforcement
  3. 3. Close the Procedural Gates to Judgment
  4. The Settlement Posture After the Defenses

The signature on the guaranty binds the signer, and the signature alone decides almost nothing about how the case ends.

That pair of truths governs every personal guaranty file that crosses a desk. The obligation is real because the hand was yours, yet enforcement must still travel through the underlying contract, through paper procured without fraud, and through judgment machinery with strict procedural gates, and a failure at any of those crossings ends the march even where the signature is undisputed.

Three defenses have carried weight in the captured authorities, and each one attacks a different crossing.

1. Defeat the Contract Beneath the Guaranty

The guaranty enforces the representations and covenants of the company, which means the funder must first prove the company breached something enforceable, a dependency the Bridge majority made explicit when it treated the breach of guaranty claim as rising or falling with the underlying contract claim.

The opinion in Bridge Funding Cap LLC v SimonExpress Pizza, LLC, 2025 NY Slip Op 04306, held the agreement a purchase as a matter of law yet reversed summary judgment for failure of proof on damages, and the text of the Bridge decision shows a guarantor surviving because the funder could not prove its numbers rather than because anyone excused the signature.

Reconciliation practice supplies the more aggressive variant. Where adjustment sits in the sole discretion of the funder, the LG court held that absolute repayment terms stated a triable defense, and a defense that voids or voids in part the company obligation starves the dependent guaranty claim of its foundation (a peculiar consequence, that the strongest guaranty defense never mentions the guaranty at all).

Counsel ensures the payment history is reconciled against the contractual procedure before any characterization is conceded, and ensures the damages proof is tested rather than assumed.

2. Expose Fraud in the Procurement or the Enforcement

Funders who misrepresent the requirements of the product, its fees, or the circumstances constituting breach operate under a federal restraining order that bans exactly those misrepresentations for its bound parties, and the FTC account of the RAM settlement recounts guarantees exacted after representations that none would be required, among other deceptive seizures from small businesses.

Enforcement fraud travels beside procurement fraud. Confessions filed against individual guarantors on false affidavits were held fraud on the record that produced them, and debits taken without express informed consent drew injunctive restraint, which gives counsel two distinct evidentiary hunts, one through the sales file and one through the court file, though defenders of industry practice will insist every affidavit was freely negotiated and every debit authorized.

Most guarantors assume the fraud inquiry ends at signing. It begins there.

There is a particular heaviness to the afternoon the owner learns the sales call was the first exhibit rather than background noise, and the file review that afternoon differs from every meeting before it.

3. Close the Procedural Gates to Judgment

New York confession practice demands a sworn affidavit stating the sum, the authorization, and the facts of the debt, with filing confined to the county of residence within three years, and the text of the confession statute adds that a joint debtor confession binds only those who confessed it, a limitation that matters enormously when spouses or partners signed different pages on different days.

Ten years of clerks accepting these papers without a glance has not softened a single requirement, a history visible in the docket stamps rather than announced in any opinion, and defects in the affidavit, the county, or the window defeat entry even where the debt itself is conceded.

Texas borrowers hold an additional gate. A confession provision in a covered commercial sales based financing contract is void under Section 398.055, and the enrolled Texas text pairs that voidness with a bar on private lawsuits under the chapter, so the defense arrives through counsel led motion practice rather than self help.

Releases, for their part, must arrive in signed writing to alter the creditor position, which is why oral assurances from collectors deserve the weight of the air that carried them. Whether a partial payment accompanied by correspondence can ever imply a release is a question I cannot answer from this desk.

The Settlement Posture After the Defenses

Defenses set the price of settlement rather than replacing it. The funder discounting its demand does so against the cost of proving the contract, defending the paper, and surviving the motion on the affidavit, and the guarantor who has mapped all three crossings negotiates from a ledger the other side can read.

The file review proceeds in an order that avoids wasted motion, and counsel will ask for the papers that decide each crossing:

  • The signed guaranty with every rider and amendment attached in execution order.
  • The underlying agreement with the full reconciliation request history beside the payment ledger.
  • Every court paper received, with envelopes and timestamps preserved for the county and limitations analysis.
  • Bank statements showing each debit, so unauthorized withdrawals can be isolated from authorized ones.

Delancey Street offers a confidential review of MCA guaranty and business debt concerns. The company provides settlement services and coordinates legal matters with independently licensed counsel, and it is not a law firm. We review the guaranty, identify the evidentiary gaps, and construct a posture that addresses both the defenses available and the practical limits of continued litigation.

Simply gather the four sets of papers before the first meeting, and protect and preserve each new notice afterward. Steps taken, or not taken, in the first weeks shape the demand that follows, and resist the urge to explain the default to the collector in a call, even casually, that becomes the admission at trial. The signature opened the case against you. The crossings will decide it.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
