Reconciliation Request Letter
Template, Records and Contract Requirements

No letter forces a funder to recalculate. The clause does that work where it exists, and a sound request invokes the clause with records the funder cannot ignore.

No letter forces a funder to recalculate.

The clause does that work, where the clause exists, and the letter is its invocation.

Lower revenue explains why the scheduled remittance no longer fits, but whether the funder must adjust it, refund an amount, or provide another form of reconciliation depends on the particular clause and the facts. A sound request puts the contractual basis and the supporting records in the same place, since the handling of the request can matter beyond the immediate calculation.

Locate the Operative Provision and Any Modification

There is a particular quiet in a bank portal at midnight, when the debits post and no one answers the phone.

Read the reconciliation clause beside the payment authorization, the definitions, and the notice section, since a defined term such as receipts may not correspond to every deposit in the account. The request places the figures on a scale the contract built. A later modification may have changed the process, so give counsel the complete sequence rather than the page with the most favorable phrase (the reported decisions describe only a handful of clauses, so generalization is hazardous).

The notice section looks like boilerplate until the method of delivery decides whether the request counts, and email that felt sufficient can fail a clause that required overnight delivery with tracking. Identify who receives the request and which records the agreement demands, then keep proof of transmission beside the eventual response. An extremely common assumption with extremely costly consequences holds that a phone call preserves rights the clause requires in writing.

Match Receipts and Remittances for the Same Period

The calculation needs a defined period.

Compare the receipts relevant under the contract with the remittances taken during that period. Bank statements may contain transfers, owner contributions, or other deposits outside the agreement measure of receipts. A deposit total may differ from the contract measure of receipts, and the records should permit the recipient to see the difference without asking.

Three months of processor reports, set beside three months of bank credits, expose the gap within the hour in most files. Use the supporting documents the clause calls for, whether account statements, processor reports, or other business records, and say what remains outstanding where information is missing. An uncanny precision in the worksheet persuades where argument does not. The business should ensure every figure in the worksheet traces to an attached record. A request built on incomplete figures should not present an estimate as a final accounting. The funder calculation deserves the same transparency, so ask for the period used, the applicable measure, and the credits included.

Use the Template to Invoke a Clause Rather Than Announce a Result

But the template cannot supply the clause it invokes.

Sample for adaptation: “Re: [business legal name], agreement dated [date], reference [number]. Under section [number] of the agreement, the business requests reconciliation for [identified period]. The attached records show [relevant receipts figure] and remittances of [amount], calculated as described in the attached worksheet.” Continue: “Please evaluate this request under the agreement and provide the resulting calculation. The requested adjustment is [describe the remedy supported by the clause]. If additional records are required, please identify them with the contractual basis for the request. Please direct the response to [authorized contact] through [applicable notice method].”

You cite the section and then you wait to see what the section is worth. That, in the end, is the whole of reconciliation: a defined measure, an honest count, and a clause that connects them. The proposed remedy should match the provision, so do not demand a refund where the clause addresses only prospective adjustment without first obtaining legal review. I am less certain about response times than any template admits. A contractual remedy described in the clause beats a deadline invented for the letter. Counsel should gather the agreement, assemble the records, and draft a request that ties each figure to language the funder signed. Simply attach what the clause requires, cite what it states, and request what it allows. Rarely does a clause reward the owner who paraphrases it from memory. Collect and preserve every transmission receipt with the worksheet it accompanied. The clause means what it says, not what the owner needs.

Understand What the Case Law Establishes

In LG Funding, LLC v. United Senior Properties of Olathe, LLC, the appellate court weighed reconciliation among the factors relevant to whether repayment was absolute, beside duration and bankruptcy recourse.

Reconciliation supported the purchase characterization. The absence of genuine reconciliation supported the opposite. That is the measure of the clause in actual practice between the parties. The decision does not establish that every advance is unlawful or that every request must be granted, and whether the same analysis governs outside New York is a question for counsel in the governing state. A filed 2022 future receivables agreement states that slowdown alone is not default subject to stated reconciliation conditions, but that specimen is historical and transaction specific, not a rule of law. Preserve the request and the response alike, including any refusal and its stated reasons.

Keep the Payment Decision Separate From the Request

Owners often want to stop the debits first and argue later. I understand the impulse. The order matters more than the argument.

A request for reconciliation is a separate step from any bank instruction. Review the authorization and default provisions before altering the flow of funds, since the authorization was drafted in order to survive a dispute over the amount. Nacha discussion of debit return reasons distinguishes errors in authorized entries from absent authorization across relevant account categories. Resist the urge to relabel an authorized debit as unauthorized because reconciliation remains disputed. Any remark to the collector about stopping payment, even casually, can narrow the options later. Anything the owner tells the bank may later be used against the business.

The business needs a plan for rejection: further documentation, a negotiated modification, or legal review. Keep the cash forecast current while the request is pending, so the owner knows what the existing remittance permits.

Use the Record to Evaluate the Next Resolution

A funder that answers a documented request with a higher debit has stated its position without ambiguity.

Delancey Street offers a confidential initial discussion of MCA resolution possibilities through its business debt settlement service. The company is a settlement company and not a law firm, and legal questions belong with independently licensed counsel. Bring the agreement, the submission, and the response, and confirm scope and fees before work begins. The owner should ensure the submission, the worksheet, and the transmission proof travel together, since what the business documents, or leaves undocumented, decides the next exchange. A reconciliation request may resolve a calculation or expose a larger dispute, and either result gives the business a documented basis for the next decision, reached before the scale tips toward litigation.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
