4 Points About MCA Forum Selection Clauses
Why You Were Sued in New York

A distant business address does not decide whether a New York court can hear the MCA claim. Owners should test the forum clause, separate jurisdiction from service, preserve objections, and examine any confession affidavit.

  6. A Response Date With Counsel Beside It

A Texas address does not answer whether a New York court can hear the MCA claim. The agreement, the asserted jurisdictional basis, and the response must be examined first.

Most owners learn the forum from the caption. I understand why nobody reads that far in advance. Preserve the agreement with amendments and the court papers, because a sentence selecting governing law raises a different question from a provision selecting a court. That is the cost of confusing governing law with consent.

A Distant Address Decides Nothing About the Forum

The business never left Texas. The case never entered it.

Rarely does the caption explain itself. The complaint should be compared against the contract, so counsel knows what basis the claimant asserts for proceeding in New York and whether the documents support that position. The clause was drafted long before the dispute, by one side, for this moment. A forum clause sits in the agreement the way a return address sits on an envelope. Unnoticed until everything comes back to it.

But the calendar does not pause for that analysis. The response date runs from service, and the analysis must proceed inside the timetable rather than ahead of it.

First Point: Read the Clause the Funder Cites

Read the agreement for the language concerning forum, jurisdiction, and governing law. Provisions that share a paragraph perform different functions at times, and counsel must read and construe each one on its own wording (which the funder will describe as consent, though the words may establish governing law and nothing else) before advising on the choice of court.

An agreement selecting New York law does not by its wording alone answer every question about consent to suit. The legal effect of the provision requires analysis of the text with the applicable authority, not assumption from the heading above it.

Collect and preserve the executed version with every amendment. A clause from a later renewal should never be substituted for the agreement behind the lawsuit. In most of these files the service affidavit runs several pages.

Second Point: Separate Jurisdiction From Service

The forum question is answered by paper, not by geography. That sentence reads like a closing though half the analysis remains.

Under the dismissal provisions for defective claims, lack of personal jurisdiction stands among the grounds for dismissal, with timing and waiver requirements that make the paper and the moment decisive. Receiving papers proves nothing about whether every jurisdictional requirement was satisfied.

Counsel examines jurisdiction with service as related but distinct questions. The owner should supply the documents received with the date and manner of receipt, while counsel obtains the process server filing for comparison. Whether a particular judge treats a thin affidavit as sufficient is a question I cannot answer from this desk.

Resist the urge to ignore a distant summons. Actions taken, or omitted, after service shape the jurisdictional record, and the same care applies to an individual guarantor, whose documents and service history may differ from the company record.

Third Point: Preserve Objections Before Responding

Under the appearance provisions for defendants, the defendant appears by answer, notice of appearance, or motion extending the time to answer, within twenty days after service in the usual case with longer periods for specified methods. Subject to preservation of the jurisdiction objection by motion or in the answer, an appearance equals personal service of the summons upon the defendant.

The response should therefore be planned before the owner sends an improvised filing, since a single misstep can surrender the very objection the owner meant to raise, and since each objection carries timing rules of its own that counsel calendars from the papers rather than memory, and since the funder opposition will test every procedural gap the response leaves open.

Retain proof of any agreed extension. A discussion with the funder representative is no permission to disregard the court timetable, and any call to the funder office, even briefly, can concede what counsel meant to contest.

Simply place every paper before counsel before answering anything.

Fourth Point: Test Confession Papers Under CPLR 3218

Where a confession stands behind the filing, test the affidavit on its own terms. Under the confession of judgment requirements, the affidavit states the sum for which judgment may enter with authorization, the county of residence, and the concise facts of the debt, and it may be filed only within three years and only with the clerk of the county where the defendant resided when it was executed or resides at filing.

A company resides in any county where it maintains a place of business, a rule that often decides the filing county. The clerk enters judgment for the sum confessed with fifteen dollars in costs besides taxable disbursements, and the judgment may then be docketed and enforced as a judgment in an action. A remarkable feature of the procedure is its speed: no action, no judge, only papers.

If the signature is disputed, preserve the supporting records. Evidence decides the issue rather than any statement that the owner never read the terms.

A confession signed for New York operates nowhere on its own. Pre suit powers of attorney to confess judgment are absolutely null and void under the Florida prohibition on confession powers of attorney, so counsel checks dates, residence, and affidavit validity before conceding that the paper traveled.

A Response Date With Counsel Beside It

If the parties settle, the written terms should identify the action with the steps required to conclude it. A lower figure alone ends no lawsuit.

Delancey Street can review the MCA obligation through its merchant cash advance settlement service, which offers a free, confidential initial review. Explain that litigation pends in New York and provide the response timetable with the forum papers.

The company is a debt settlement provider, not a law firm. Independently licensed counsel handles legal representation and should assess forum, jurisdiction, and service. Delancey Street ensures the negotiation stays consistent with counsel assessment, while independent counsel ensures no admission about a disputed clause is made without review. Counsel will collect the agreement, test the clause, and construct a response that addresses jurisdiction, service, and the calendar together.

The caption that named a distant court decides nothing until counsel tests the paper behind it.
